NEAH Power Systems to Provide Energy Solutions For Global Security and Defense

BOTHELL, Wash., June 5, 2015  NEAH Power Systems, Inc. (OTCBB: NPWZ) (OTC: NPWZ) (the “Company”) and Clear Path Technologies (‘Clear Path’) announced today that they have entered into a Teaming Agreement for business development and system integration, and a Memorandum of Understanding (MOU) for the distribution, resale, and support of the Company’s products, including its Formira HODTM (Hydrogen On Demand) fuel cell to the growing global security and defense market.

The main focus of business development effort undertaken with the Teaming Agreement is to jointly pursue security and defense business with the U.S. Department of Defense, U.S. Department of Homeland Security and U.S. Department of Energy, as well as with foreign government counterparts within regions where Clear Path has established strong relationships, including the Middle East, Africa and Asia Pacific Region. Under the Teaming Agreement, Clear Path has also agreed to support NEAH Power with expert systems integration, engineering, technical and operational support.

The MOU entered into by NEAH Power and Clear Path provides the framework and terms by which a Distribution and Reseller Agreement will be executed. Said agreement will include definitive terms related to the distribution, sales, marketing and support of NEAH Power’s products in select regions and is expected to provide NEAH Power with expansive distribution and sales channels and high-level access to governmental agencies and commercial end users.

Clear Path will work with NEAH Power to deliver a robust, reliable fuel cell system that will tolerate the conditions that systems experience in forward positions located in challenging environmental conditions, such that security and defense customers can unconditionally connect communications equipment, shelters, and control and surveillance electronics to NEAH Power’s systems.

We are extremely pleased to announce that we have been doing research and development on a lithium battery technology that appears to be far superior to any incumbent technologies (the PowerChip® Battery). At an appropriate time in the near future, once the Company has achieved the next round of performance targets, we will be sharing details with our shareholders. Once completed, we believe our Porous Silicon Battery will be a disruptive power storage system for a whole range of applications from consumer goods to automotive applications, as well as for scalable storage solutions for off-peak and back-up power usage.

Now more than ever, power storage and generating technologies, such as batteries, ultra-capacitors and fuel cells are being used to increase efficiency and reliability in transportation, infrastructure, industrial equipment, and portable electronics, with the aim of creating a more sustainable, environmentally responsible, and secure economic future. Furthermore, the global energy industry, governments and other stakeholders have recognized that fuel cell and battery technologies such as ours, offer an attractive option for reliable backup power to the electric grid.

Also in our favor is the growing global demand for reliable remote power, both in developed and emerging markets, where large swaths of land that off-grid are now being incorporated. This demand is even greater in continents such as Africa where nations are facing a real crisis of rapid growth amidst failing or inadequate power grids. Over the next 10 years, emerging nations are anticipated to account for $13.6 billion in new power infrastructure investment as they roll out massive electric grid modernization programs to meet demand.

With the demand for real-time communication, access to the internet, and remote security for developing communities rapidly growing, NEAH Power clearly sees itself as a front-runner , as we have the technologies and products available to best deliver remote power systems, including “community power grids”. With continued success in securing the proper relationships, distribution partners and capital, NEAH Power should ostensibly become one of the leading providers of clean, reliable, and low cost power to remote areas.

Our management with the support of several new consultants and advisors have been focused intently on capitalizing on this increased attention and interest, and expect that the increasingly favorable environment will translate into real economic benefits for our shareholders. Accordingly, over the course of the last six months, NEAH Power’s technologies have attracted new interest and attention from numerous governments, industry partners, companies and other end-users, who have come to recognize that NEAH Power’s smaller, lighter and more powerful solutions represent a practical and reliable path to upgrade power capabilities. In addition, the interest of the investment community in technologies such as ours has never been as intense as it is today.

As to specific applications, we have seen significant interest for our power technologies from manufacturers of unmanned vehicles. This is particularly due to the fact that the unique capabilities and flexible application of our proprietary technologies, makes NEAH Power one of the few, if not the only, fuel cell company that can address any application, whether aerial, land or undersea.

At present we are in discussions with various UAV manufactures that wish to extend flight times and/or increase sensor payload capacity with the higher power concentration of a hybrid fuel cell solution incorporating NEAH Power’s technologies. Importantly, the same product development efforts here can be readily translated to other vehicles, including automotive, maritime and rail applications.

We have also seen a tremendous interest in resellers worldwide who are interested in our high energy density Formira HODTM (Hydrogen-on-Demand) platform to supplement grid, solar and other hybrid energy platforms, as well as a stand-alone system in micro-grid applications. While we are growing our distribution and resale network for Formira HODTM, NEAH Power’s management has also been focused on securing strategic partners which will allow us to deploy and support our products worldwide and enhance our branding. We expect to announce several exciting strategic partnerships soon!

Clearly, there is a lot to be proud of and much to be excited about as NEAH Power advances its growth phase. In spite of the challenging financial environment and the contrarian pressure on our stock, we feel that our power technologies are on the brink of our most significant economic achievements.

Status of the Shorai Acquisition

We previously announced the signing of a definitive agreement to merge with Shorai, Inc., with a targeted completion date of June 15 2015. Shorai is a leading provider of lithium ion-based power sports and starter battery solutions for the consumer motorsport industry. This merger is expected to be immediately accretive with Shorai reporting over $4.0 million (unaudited) revenue for the twelve months ended December 2014 with positive cash flow in 4Q 2014. Further, the acquisition will allow us to realize product, marketing and operational synergies as NEAH Power rolls our products. We are endeavoring to negotiate with investors the best possible deal for our current Company shareholders while we secure the capital necessary to close this acquisition transaction.

PowerChip® Fuel Cell Product Acceptance

We recently announced the successful completion of testing of three PowerChip® units with the Defense Research and Development Organization (DRDO) of the Government of India. These units were manufactured and shipped against an open purchase order. Product testing, qualification and acceptance by a third party (a government owned entity) were completed December 2014. We consider this third party validation an important and key milestone for the Company. As planned, we have proceeded with discussions aimed at completing a licensing agreement with the Government of India, which if secured should result in significant supply contracts, licensing revenue and establish a broad, sustainable market in India and its territories. Completion of the ongoing discussions is pending on certain high level appointments at the DRDO expected in the near future.

Formira HODTM (Hydrogen on Demand)

Our Formira HODTM fuel cell continues to demonstrate best-in-class performance. As stated, we are in discussions with several leading manufacturers of unmanned aerial vehicles (UAVs), remote robotic vehicles, automotive, rail, off-grid power, and medical device companies. The Formira HODTM fuel cell has been proven as a safe, cost-effective and energy dense solution for the production of hydrogen for a variety of applications. It surpasses other sources of energy like compressed hydrogen, the most commonly used method of utilizing hydrogen to generate energy. We are presently designing the Formira HODTM system into UAVs with Silent Falcon, and are targeting a shipment of the first units around the end of June 2015 to our security and defense partner, Tectonica Australia, a leading global defense and security systems integrator. We are very pleased with the reception our Formira HODTM system is receiving from different commercial and consumer companies and expect this to translate to material sales.

BuzzBar Suite Gen 2 & Gen 3

As of date, NEAH Power has shipped all of the orders that we received through the website and our Indiegogo campaign. We also have presented the product to various big box retailers and end users, and have aggregated the feedback from them into BuzzBar Gen 3. Our Gen 3 BuzzBar has received very good feedback. Pending the completion of a satisfactory capital raise and upon completing the Shorai Acquisition, we expect shipping of the Gen 3 BuzzBar to commence later this year. Our objective is to leverage the Shorai brand and marketing prowess to launch the Gen 3 in a most significant way!

Irons in the Fire: NEAH Power Signs New Partnership Deal

WHITEFISH, MT / March 24, 2015 / The global market for fuel cells is expected to grow at a 22.6% clip between 2014 and 2020 to reach 664.5 GW in size, according to Grand View Research, due to an increasing shift toward renewable energies. Portable applications dominated the market for the energy sources, accounting for 71.2% of total unit shipments in 2013, driven by military applications and other markets requiring energy on-the-go.

In this article, we’ll take a look at NEAH Power Systems Inc.’s (OTC: NPWZ) innovative power solutions and some recent deals that could generate significant shareholder value over the short- and long-term.

Formira HOD(TM) Integrates with BANTAM

NEAH Power Systems’ Formira Hydrogen on Demand – Formira HOD(R) is a reformer platform for direct on-site generation of hydrogen gas. Using the platform, customers can carry a liquid with a better safety profile and generate hydrogen gas at the point of use rather than carrying around dangerous high-pressure gas cylinders. PowerChip(R) is Validated by DRDO

NEAH Power Systems’ PowerChip(R) is a silicon-based fuel cell is capable of operate without air, which makes it ideal for applications where the quality of surrounding air is unpredictable or unavailable. In addition to these unique properties, the fuel fells have higher power densities, lower costs, and more compact form factors that make them perfect for underwater or other critical air-less applications.

In November 2013, the company announced initial orders from India’s Department of Defense Organization (“DRDO”) estimated to be worth $172,000. Management shipped and completed the testing of these units in February of 2015, which represents a critical milestone in the licensing agreement. In the release, the company hinted toward a potential “significant contract” in the future.

The completion of the DRDO order also represents a critical validation of the technology. With a commercial proof-of-concept in place, the company can leverage the deal when selling the same type of units to other customers across a wide range of industries, including many different private sectors. The combination of the short-term DRDO contract and long-term adoption yields a great opportunity.

Buzzbar(TM) Moves into Production

NEAH Power Systems’ BuzzBar(TM) technology suite is designed to take power inputs from a variety of source – from wall outlets to solar panels – and use it to charge a convenient fuel cell that’s comparable in size to many smartphones. After launching on IndieGoGo as the only compact off-grid recharging solution for USB devices, the company has shipped most of its initial orders and is iterating on the product.

According to its 10-K SEC filing, the company has already presented the product to “Big Box” retailers that have expressed and interest and sent proposals to move the purchasing process along. No official agreements have been announced so far, but the potential for a large consumer distribution agreement creates a big potential catalyst for potential investors and existing shareholders.

Shorai Acquisition Adds Revenue

NEAH Power Systems signed a definitive agreement to acquire Shorai Inc., a leading provider of lithium-ion power sports and starter battery solutions for the consumer motorsport industry. With over $4 million in unaudited 2014 revenue and cash flow positive operations, the acquisition provides shareholders with immediate and likely accretive revenue, as well as product and operational (manufacturing, shipping, distribution, brand recognition) synergies between the companies.

Shorai plans to introduce an exciting new control technology in 2015 to improve their competitive position within the performance lithium-ion battery space. In addition, the firm is nearing production of an all-new product that addresses wider markets in motorcycle, automotive, and military sales channels, which could significantly expand its top-line performance and unlock even more value.

Finally, there are many potential synergies between the companies given the similarity of their product lines. Management anticipates numerous product, operational, and marketing synergies, including cross-marketing opportunities with its Formira(TM) and BuzzBar(TM) product lines. Investors may want to keep a close eye on these developments given the potential to accelerate organic revenue.

Valuation & Looking Ahead

NEAH currently has 12 patents, 4 patents pending, and 8 patent applications covering the Formira HOD®, PowerChip(R) and BuzzBar(R) products. The Company has a strong differentiation in the space for its unique technology, has won various awards including Best of What’s New 2010 Popular Science award and MIT Magazine of Innovation and it has already received funding from the likes of the US Navy and Intel Capital.

NEAH Power Systems trades with a market capitalization of just $7.8 million, despite its promising products and potential near-term catalysts. Last quarter, the company reported $179,261 in revenue, which could expand to reach a quarterly run rate of over $1 million following the Shorai acquisition alone. The company’s high gross margins mean only its fixed costs remain to be covered before profits.

With advanced battery companies like Ultralife Corp. (NASDAQ: UBLI) trading at 0.6x EV/Revenue, energy storage companies like ZBB Energy Corporation (AMEX: ZBB) trading at 1.0x EV/Revenue, and fuel cell companies like Plug Power Inc. (NASDAQ: PLUG) trading at nearly 7x EV/Revenue, the company’s modest $9.8 million EV and at least $4 million in revenue suggest it could be undervalued.

We continue to be very enthused about our accomplishments, the opportunities ahead of us and the difference we can make in people’s lives through our patented and disruptive technologies. These technologies have the potential to transform the fuel cell market, and the costs associated with electric power for a variety of industries from defense to automotive and even distributed power generation. We are continuing to seize new opportunities to increase shareholder value by growing revenue, while carefully managing expenses. For our fiscal Q1-2015 we generated revenue around the shipments to the DRDO (Government of India). We believe this was an important milestone and further validation of our technology. Overall, these are very exciting times for Neah, as we are now moving rapidly from a development stage company to full commercialization across our product lines. As such, I would like to draw your attention to some very exciting developments below including the recent Shorai acquisition, the Buzzbar Suite, the Formira Hydrogen on DemandTM (HOD) system and the PowerChip technology.

The Shorai acquisition

We announced the signing of a definitive agreement to merge with Shorai, Inc., in January 2015. Shorai is a leading provider of lithium ion-based power sports and starter battery solutions for the consumer motorsport industry. Neah Power has until February 28, 2015 to make the $1,000,000 cash payment and close the merger transaction. This merger is expected to be immediately accretive with Shorai reporting over $4.0 million (unaudited) revenue for the twelve months ended December 2014 and the company was cash flow positive for the fourth quarter of 2014. This allows us to realize product, marketing and operational synergies in the near future.

PowerChip® Product

We recently announced the successful completion of testing of three PowerChip® units with the Defense Research and Development Organization (DRDO) of the Government of India. These units were manufactured and shipped against an issued open purchase order. Product testing, qualification and acceptance were completed by December 2014. This was a key accomplishment in the history of the Company, and we have proceeded to discussions related to completing the licensing agreement.

BuzzBar Suite Gen 2

We have shipped most of the orders that we received through the website and our Indiegogo campaign. We also presented the product to various big box retailers and end users, and have aggregated the feedback from them into BuzzBar Gen 3. We will reveal details later, but BuzzBar Gen 3 features some exciting innovations! We expect the first run of these units to be available in April 2015.

Formira Hydrogen on Demand

Our Formira HODTM continues to demonstrate best in class performance and we are in discussions with leading unmanned aerial systems (UAS), automotive, off-grid power, and medical device companies. The Formira HOD is a safe, energy dense solution for production of hydrogen for a variety of applications and surpasses other sources of energy like compressed hydrogen, the most commonly used method of utilizing hydrogen to generate energy. We continue to progress with the integration of the fuel cell in the UAS (Drone) as previously discussed.

Licensing opportunities forthcoming

Bothell, WA (January 22, 2015) – Neah Power Systems, Inc. (OTCQB: NPWZ) an emerging leader in fuel cell-based power generation and lithium ion-based storage solutions for the unmanned aerial vehicles (defense and commercial), military, transportation and portable electronics industries, today announced that it had successfully completed testing of the PowerChip® units at a Defense Research and Development Organization (DRDO), Government of India facility and it had received payment of approximately $165,000 for these initial test units. This successful completion of testing is a critical milestone in completing the licensing agreement with the DRDO. The DRDO is an agency of the Republic of India, responsible for the development of technology for use by the military.
