(“PyroGenesis”), a clean-Tech company that designs, develops, manufactures and commercializes plasma waste-to-energy systems, plasma torch products and the PUREVAP(TM) Quartz Vaporization Reactor (“PUREVAPTM“), from whom Uragold has been granted the worldwide exclusive rights for the One Step Production of Solar Grade Purity Silicon Metal from Quartz, announced today that early test results of their PUREVAPTM process has demonstrated that it can transform high purity quartz into silicon metal.

In their press release, Pierre Carabin, Director of Engineering of PyroGenesis statedWe are very pleased by these early results,” and then further stated Our ability to demonstrate that our process can produce metal at such an early stage is encouraging and is the first step towards the Company’s objective to produce a silicon product of solar grade purity.”

As previously noted, PUREVAPTM is a proprietary process that uses a plasma arc within a vacuum furnace to produce high purity, metallurgical grade silicon (MG-Si), solar grade silicon (UMG Si) and polysilicon from quartz in just one step.

NEXT STEPS

The dynamic test protocols, which called for a first series of metallurgical tests to be completed at different operational settings, are still ongoing. Having validated that the process works, the program continues to its second stage whereby the operational parameters of the reactor are adjusted in order to achieve the transformation of Uragold Quartz into Solar Grade Purity Si.

The High Purity Silicon Metal produced by the reactor during this second stage will be sent to an independent laboratory for ICP – MS “Mass Spectrometry” analysis for final validation.

Today’s news from PyroGenesis is in step with previously disclosed theoretical modeling of the process, that indicate that transforming Uragold Raw Quartz into High Purity Silicon metals for solar application is within reach.

The study was conducted by PyroGenesis Canada Inc. (“PCI”), a clean-Tech company that designs, develops, manufacture and commercializes plasma waste-to-energy systems, plasma torch products and the PUREVAP(TM) Quartz Vaporization Reactor (QVR).

The analysis2 shows that the PUREVAP(TM) QVR process would generate 14.1 kg CO2 eq/Kg SG Si, while the Siemens process normally generates 54.0 kg CO2 eq/Kg SG Si of emissions. This represents 3.8 times, or 75% fewer greenhouse gas emissions, which is justified by elimination of the emissions emanating from the use of chemicals, as well as, energy consumption from the additional purification step. Bernard Tourillon, Chairman and CEO of Uragold Stated: “Reducing the carbon footprint of manufacturing Sg Si by 75% opens up Uragold to Green and Cleantech investment funds. Furthermore, eliminating approximately 40,000 Ton of CO2 eq/per Ton SG Si produced could represent an opportunity for Uragold to benefit from carbon tax credits and incentive funding for green technologies.”

Tourillon further stated: “In addition to the Carbon footprint reduction, Uragold is going to replace the traditional toxic process with a one step direct transformation of Quartz into Sg Si using the PyroGenesis PUREVAP(TM) QVR process, thereby providing a green manufacturing process for the Solar industry. This is important because – In addition to be energy heavy process – it is a well-kept secret that the traditional manufacturing process to make Sg Si is not a very environmentally friendly process. Specifically, three to four tons of silicon tetrachloride (a very toxic compound) is generated for every ton of polysilicon produced.

Study Methodology

The environmental advantages of the PUREVAP(TM) QVR are demonstrated by comparing its theoretical carbon footprint with the baseline process.

The conventional process considers the procurement (the extraction of quartz and reducing agents), the quartz reduction in an atmospheric electric furnace followed by the chemical purification and deposition using a Siemens process deposition reactor.

Montreal, Quebec, Canada /March 11 2016 – Uragold (TSX Venture: UBR) is pleased to announce the start of an exploration program focused on the detection of deep sulphide mineralization targets on the Company’s Beauce Gold project located in the Beauce region of Southern Quebec. The research program, approximately 80% of which is funded through governmental grants, will bring together an international world-renowned multi-disciplinary geophysical team oriented on studying and identifying the location of potentials hard rock sources of the Beauce Gold property.

GOLD PROJECTS TO BE SPUN OUT TO UNLOCK VALUE

Bernard Tourillon, Chairman and CEO of Uragold stated, “Our decision to participate in this government funded exploration program at this time represents the official start of the Company’s plan to spin out its’ gold assets into a separate publicly traded company, first contemplated in our press release of December 1, 2015. BEAUCE GOLD PROPERTY-SEARCHING THE SOURCE OF THE LARGEST PLACER GOLD DEPOSIT IN EASTERN NORTH AMERICA

The Beauce Gold project area hosts a six (6) km long unconsolidated gold bearing sedimentary unit (a lower saprolite and an upper brown diamictite) holding the largest historical placer gold deposit in eastern North America. Uragold exploration work to date identified delicate gold in saprolite, indicating a close proximity to a bedrock source of gold providing significant potential for further exploration discoveries. (Please refer to Uragold National Instrument 43-101 report dated January 8, 2015).

Patrick Levasseur, President and COO of Uragold stated, “For the past 150 years, every 50 years has seen the occurrence of major placer gold mining operation on the property. Regardless of this, there have been few attempts made to identify the bedrock source of this prolific historical placer gold deposit.” Mr. Levasseur further stated: “Having such a team of world renowned professionals working on our project and using the latest in geophysical technology for gold exploration on our Beauce Gold property is outstanding.”

WORLD RENOWNED GEOPHYSICAL TEAM

The multi-disciplinary geophysical team is composed of members from:

  • -INRS-ETE,(Eau Terre et Environnement) ;-UQAT (Universite du Quebec en Abitibi-Temiscamingue);-The Geological Survey of Canada (GSC);

    -MERN (Energie et Resources Naturelles du Quebec) ;

    -Paris VI – Sorbonne (Universite Pierre et Marie Curie) and

    -Zonge International from Tucson Arizona (Zonge.com)

The multi-disciplinary geophysical will take magnetic and gravimetric measurements along different sections, perpendicular to the geology of the St-Simon-les-Mines gold placer area. Subsequently, they will complete an electromagnetic survey, from 0 to 2,000 m, to document the geoelectric characteristics of Bellechasse gold belt in St-Simon-les-Mines.

The Beauce Gold project has been the subject of exploration by UBR and INRS. The INRS electrical resistivity and IP survey demonstrated the presence of strong chargeability anomalies in the bedrock located below the gold placer quaternary units (News release 2013-05-23, Uragold’s Beauce survey indicates vertical anomaly).

The geophysical and petrophysical study is majority funded through a grant from the FQRNT-Mines (Fonds de recherche du Quebec – Nature et technologies) (FRQNT) with a contribution from Uragold.

Marc Richer-Lafleche PhD, P. Geo, is a qualified person as defined by National Instrument 43-101 and has reviewed and approved the technical contents of this press release.

The Raw Quartz material was taken from Uragold’s 100% Owned Martinville property, located in the Eastern Townships region of Quebec. The analysis completed at the INRS – ETE (Institut National de la Recherche Scientifique, Eau Terre Environnement) laboratory in Quebec City were required for theoretical modeling purposes of PyroGenesis PUREVAP(TM) QVR process.

Martinville Raw Quartz Results Indicate That Even Before Any Benefaction The Material Meets Industry Standards For Ultra High Purity Quartz.

Ultra High Purity Quartz has become one of today’s key strategic minerals with applications in pharmaceutical and high-tech industries, semiconductors, telecommunication, optics, microelectronics, and solar applications.

The price of Ultra High Purity Quartz can range from $US 300 (SiO2 99.95 % or 3N + Purity) –
> $US 5,000 per ton (SiO2 99.997 % or 4N + Purity)1 due to the importance of this mineral to almost every industry in the world.

Total Impurities Count < 100 Ppm Measured In Martinville Raw Quartz Assay Results

The analytical data measured in the INRS – ETE laboratory confirms the presence of very pure silica (SiO2) with very low total concentration in all the major contaminants, around the 100 ppm threshold, for the Martinville property. Total contaminant concentration (ppm) was calculated by summing the following elements (Ti, Fe, Mn, Mg, Ca, Na, K, P, Cr, Ba, Sr, Cu).

The Martinville Property:

The total exploration area of the Martinville deposit is 2.42 Km2. The deposit consists of hydrothermal quartz veins encased in schist’s.

In 1995, a geophysical survey resulted in an exploration potential estimated at over 1,000,000 tons of SiO2 using the 200 m surface length of the quartz vein, with an average width of between 2 m and 23 m and assuming a continuation up to 30 M of depth. (GM53696: Pierre Vincent, Constellar Geosciences. 1995.).

All the information on exploration potential herewithin presented is historical in nature and while relevant, the information was obtained before the implementation of National Instrument 43-101 and as such does not meet National Instrument 43-101 reporting standards. The historical estimate should not be relied upon until the Company can confirm them.

Testing Methodology:

In order to have a good sampling spread, 7 samples were taken at different zones of the quartz vein outcrop in 2014. The material was sent to the INRS ETE laboratory in Quebec City to be prepared for testing for Silica values. To avoid metal contamination the samples were cleaned using silicon carbide (abrasive) and subsequently pulverized with an agate mortar and pestle. 7 prepared samples were re-tested for major and trace elements by multi acid (HF, HNO3-HCl-HClO4) total digestion, ICP/OES (26 elements). The assay was performed using Atomic emission spectroscopy (Varian, axial Vista).

Marc Richer-Lafleche PhD, P. Geo, is a qualified person as defined by National Instrument 43-101 and has reviewed and approved the analytical contents of this press release.

Taiwanese Venture Capital Group converts escrowed deposits to equity

Montreal, Quebec / February 29, 2016 – Uragold (TSX Venture: UBR) would like to inform its shareholders that the Taiwanese Venture Capital Group (“Investors”) through Stone River Capital LLC (see Press Release December 1, 2015) has notified the company of its intention to convert its CAD $250,000 escrow cash installment into shares of Uragold, effective immediately and prior to commencement of the recently announced testing and validation of the PUREVAP(TM) QVR process.

Private Placement

As a result of this, Uragold is pleased to announce that it has closed a non-brokered private placement consisting of the issuance and sale of an aggregate amount of 4,375,000 units (“Unit”) at $0.08 per Unit for gross proceeds of $350,000. The net proceeds from the Private Placement will be used for general corporate expenditures and exploration activities.

The funding provide Uragold with resources to market our worldwide exclusive technology grant from PyroGenesis Canada Inc. (PYR: TSX-V) to convert our highly coveted High Purity Quartz Projects into the highest purity, lowest cost supplier of Solar Grade Silicon Metal and Polysilicon to the solar industry (See Press Release September 30, 2015).

Each Unit is comprised of one (1) common share and one (1) common share purchase warrant (“Warrant”) of the Company. Each Warrant will entitle the holder thereof to purchase one common share of the capital stock of the Company at an exercise price of $ 0.12 during a period of 36 months from the date of closing of the placement. Each share issued pursuant to the placement will have a mandatory four (4) month holding period from the date of closing of the placement. The placement is subject to standard regulatory approvals.

Montreal, Quebec, Canada / February 17 2016 – Uragold (TSX Venture: UBR) would like to update its shareholders on the advancement of its ongoing metallurgical testing program executed by PyroGenesis Canada Inc. (“PyroGenesis”), (http://pyrogenesis.com) (TSX-V: PYR), a clean-tech company that designs, develops, manufactures and commercializes plasma torch products, from whom Uragold has been granted the worldwide exclusive rights for the One Step Production of Solar Grade Silicon Metal from Quartz.

As previously disclosed, the metallurgical testing will be done using PyroGenesis’ PUREVAP(TM) Quartz Vaporization Reactor (QVR), a novel proprietary process (Provisional Patent Filed) that uses a plasma arc within a vacuum furnace for the One Step Production of Silicon Metal (Mg Si), Solar Grade Silicon Metal (Sg Si) and Electronic Grade Silicon Metal (Eg Si) from Quartz.

Following receipt by PyroGenesis of the custom built vacuum furnace, a central component of the PUREVAP(TM) QVR process, Uragold confirms that the project is now entering its final assembly and commissioning phases.

DYNAMIC TESTING PROGRAM TO START IN MARCH 2016

The dynamic testing program, whereby quartz material from Uragold properties is to be processed in PyroGenesis PUREVAP(TM) QVR, will start in March 2016.

The dynamic test protocols call for a first series of metallurgical tests to be completed at different operational settings. The High Purity Silicon Metal produced by the reactor during each of these tests will be sent to an independent laboratory for ICP – MS “Mass Spectrometry” analysis for validation.

PyroGenesis’ PUREVAP(TM) QVR advantage is the rapidity at which tests can be completed. However, ICP-MS analysis for these tests must be highly sensitive and capable of multi-element trace analysis in the parts-per-trillion. The dynamic testing cycle will be subject to the time required to perform the analysis.

Upon reception of results, if needed, the operational parameters of the reactor will be adjusted. The process will be rapidly repeated in order to achieve the correct adjustments required for the transformation of Uragold Quartz into High Purity Si of a minimum of 4N purity (99.99 % Si).

A DISRUPTIVE TECHNOLOGY – MAKING SOLAR GRADE SILICON METAL AT METALLURGICAL GRADE COSTS

PyroGenesis’ PUREVAP(TM) QVR disruptive potential is its one step direct transformation of Quartz into Solar Grade Silicon Metal, thereby potentially allowing Uragold to manufacture Solar Grade Silicon Metal (Sg Si) at the same cost as making Metallurgical Grade Silicon Metal (Mg Si) using traditional processes – and at a fraction of the capital cost.

Under the traditional process, Mg Si at 98.5% purity sells for $USD 2,550 per Metric Ton (Mt)1. However, costs to manufacture it range between $USD 1,750 – 2,250 per Mt due to intensive capital and energy costs2.

Furthermore, under the traditional process, upgrading Mg Si to Solar Grade Silicon Metal is a capital intensive, environmentally unfriendly and a high energy demanding process, with best in class cash cost ranging between $USD 10,000 to 13,000 per Mt3. In addition, the average Capital investment required to build a new 16,000 MT per year plant to make Solar Grade Silicon Metal is between $USD 900M and $USD 1B 4.

Solar Grade Silicon (6N to 8N purity) presently sells for $USD 11,400 per Mt, while Polysilicon (9N Purity) sells for $USD 12,940 per Mt5.

Upon successful completion of our One Step Production Process, Uragold plans to provide the market with both the cash costs and capital cost estimates using PyroGenesis’ PUREVAP(TM) QVR process.

$USD 12 BILLION ANNUAL INDUSTRY, GROWTH DRIVEN BY PHOTOVOLTAIC SOLAR DEMAND

The Silicon Metal, Solar Grade Silicon Metal and Electronic Grade Silicon Metal markets combined, was a $USD 12 billion a year industry in 2014. Metallurgical Grade Silicon Metal world consumption topped 2.25Mt in 2014, exceeding $US 6 billion in sales. Propelled by increased demand for photovoltaic (PV) solar panels systems, Metallurgical Grade Silicon Metal consumption is expected to grow by 6%+ per Annum6.

About 10% of 2014 global Metallurgical Grade Silicon Metal produced was further refined into Solar Grade Silicon Metal and Polysilicon, worth another $US 6 billion. GTM Research estimates that Installed PV demand will growth 15 % – 23 % annually, access to Solar Grade Si will be limiting factor in PV Growth, balance supply and demand for Sg Si demand expected for year-end 2016 as Gigawatt (GW) produce by Solar panels increases.7

GLOBAL COMPETITIVE ADVANTAGE FOR URAGOLD

CLARIFICATION

There was a semantic error in our September 30th 2015 Press Release. The Company used the term “Memorandum of Understanding (“MOU”)” to describe the nature of the agreement between Uragold and PyroGenesis, but this was not accurate since, in fact, the Company signed a “Development and Exclusivity Agreement”. Montreal, Quebec / December 18 2015 – Uragold (TSX Venture: UBR) would like to inform its shareholders that the major silicon metal producer (1st Producer) that confirmed that our Roncevaux material is highly suited for their silicon metal production and that has expressed interest in purchasing 20,000 – 50,000 tons annually of High Purity Lump Quartz from Roncevaux (See Press Release March 2, 2015) as well as the second producer (2nd Producer) that has requested samples from the Roncevaux Property (See Press Release August 27, 2015) were not FerroAtlantica.

$USD 12 BILLION ANNUAL INDUSTRY, GROWING BY 6%+ PER YEAR

The Silicon Metal, Solar Grade Si and/or Higher Purity Si markets are a $USD 12 billion a year industry. Metallurgical Grade Si world consumption topped 2.25Mt in 2014, exceeding $US 6 billion in sales1. About 10% of 2014 global Metallurgical Grade Si production was further refined into Solar Grade Si and and/or Higher Purity Si, worth another $US 6 billion. Propelled by increased demand for Solar Grade Silicon Metal and Polysilicon for photovoltaic solar panels, global Silicon Metal demand is expected to grow by 6%+ per Annum.

Private Placement

Uragold announces that it’s proceeding with a new non-brokered private placement of 8,396,000 units (“Unit”) at $0.05 per Unit for gross proceeds of $419,800. Insider participation in this placement could accounts up to 31% of the total amount subscribed. The net proceeds from the Private Placement will be used for general corporate expenditures and exploration activities.

Each Unit is comprised of one (1) common share and one (1) common share purchase warrant (“Warrant”) of the Company. Each Warrant will entitle the holder thereof to purchase one common share of the capital stock of the Company at an exercise price of $ 0.07 during a period of 36 months from the date of closing of the placement. Each share issued pursuant to the placement will have a mandatory four (4) month holding period from the date of closing of the placement. The placement is subject to standard regulatory approvals.

The funding will provide Uragold with resources to market our worldwide exclusive technology grant from PyroGenesis Canada Inc. (PYR: TSX-V) to convert our highly coveted High Purity Quartz Projects into the highest purity, lowest cost supplier of Solar Grade Silicon Metal and Polysilicon to the solar industry (See Press Release September 30, 2015).

The Company will pay a cash finder’s fee of $1,278 and issued of 25,560 warrants to Foster & Associates Financial Services Inc. of Toronto, Ontario. Each warrant will give the right to purchase one (1) common share at 7.0 cents for 36 months.

Shares For Services Program

In accordance with the agreement between Uragold and AGORACOM (see Uragold press release July 18, 2014) Uragold Board has approved the issuance of 282,500 common shares at a deemed price of $0.05 per share for the outstanding debt of $14,125 for services rendered during the period from July 16, 2015 ending October 15, 2015.

Uragold Signs $ 5 Million Funding Commitments and 20 Year Solar Grade Silicon Metal Off-Take Agreement With Taiwanese Venture Capital Group

Montreal, Quebec / December 1 2015 – Uragold (TSX Venture: UBR) is pleased to announce that it has signed a Letter of Intent with an arm’s length Taiwanese venture capital group (“Investors”) for a $ 5 Million1 funding commitment to be disbursed over the next two years, as well as, an Off-Take Agreement over the next twenty years, the details of which are provided further below.

The funding commitment will provide Uragold with the resources necessary to capitalize on the worldwide exclusive technology grant from PyroGenesis Canada Inc. (PYR: TSX-V) to convert our highly coveted High Purity Quartz Projects into the highest purity, lowest cost supplier of Solar Grade Silicon Metal and Polysilicon to the solar industry (See Press Release September 30, 2015). Quartz from our Roncevaux property successfully passed rigorous testing protocols of a major silicon metal producer, who confirmed that our material is highly suited for their silicon metal production and their interest in purchasing significant tonnage (See Press Release March 2, 2015).

The Off-Take Agreement, which includes exclusive rights for the Investors across Asia over the next 20 years, provides Uragold with an immediate and significant sales presence in this highly strategic region, including China which hosts 6 of the world’s top 10 solar manufacturers.2

Bernard Tourillon, Chairman and CEO Of Uragold Stated “The Investors interest in Uragold was primarily motivated on securing a long-term exclusive right to sell material emanating from the PUREVAP(TM) Quartz Vaporization Reactor (“PUREVAP(TM) QVR”) Technology in Asia. As I stated in our September 30th release, this technology represents a potential quantum leap forward for the solar panel industry becoming a more competitive source of renewable energy. This funding and Off-Take Agreement with our Taiwanese partners provide further third party validation of that statement. ”

SUMMARY OF FUNDING COMMITMENT AND OFF-TAKE AGREEMENT

The funding will be received by Uragold upon achievement of certain milestones through to 2017. The Investors have deposited $ 250,000 In Trust with Uragold counsel. The release of these funds and a subsequent $ 1,750,000 convertible debenture financing are conditional on the successful metallurgical testing and validation that the PUREVAP(TM) QVR can produce at least 4N Purity Si (99.99% Si) material during its first series of tests, amongst other things. As announced on September 30, 2015, this testing and validation, which has already been funded and scheduled, is expected to be completed by Q1 2016.

Mr. Tourillon further stated “The science behind the PUREVAP(TM) QVR is strong: A Plasma arc based process can transform High Purity Quartz into Metallurgical Grade Silicon Metal (“Mg Si”). The Plasma arc based process can then be used to purify Mg Si into higher value materials such as Solar Grade Si (6N / 99.9999% Si). Furthermore, refining Mg Si using an electron-beam furnace in a high vacuum-processing environment has proven the concept of the elimination of elements whose vapor pressures are higher than that of silicon. What is unique and ground breaking about the PyroGenesis approach is the combination of these three proven processes into one step.”

The final $ 3,000,000 convertible debenture is expected to be received in and around Q1 2017 upon Uragold having received permits to start construction of the Generation 2 PUREVAP(TM) Quartz Vaporization Reactor, as well as, confirmation that it has secured $ 12,000,000 in additional debt financing from other sources, including government funding.

With respect to the Off-Take Agreement, in exchange for the financing commitment and subsequent to the deposit, Uragold has granted the Investors the exclusive Asian rights to sell its High Purity Si (99.99% Si), Solar Grade Si (6N / 99.9999% Si) and/or Higher Purity Si (9N / 99.9999999% Si) produced by the planned Gen 2 PUREVAP(TM) QVR for a period of 20 years, with additional renewable periods upon successful completion of quotas to be agreed upon after the first two years. The Investors will also have the non-exclusive right to sell these materials to customers anywhere in the world. To this end, the Investors will be allotted an annual 1,000 Mt Off-Take potential for the first three years, then increase to an annual 2,000 Mt upon Uragold building its first Gen 3 PUREVAP(TM) QVR.

LETTER OF INTENT BETWEEN INVESTORS AND URAGOLD

For Commercial reasons the name of the Investors will remain confidential. The salient points of the LOI are:

  • -If a press release confirming successful metallurgical testing to at least 4N Purity is not issued by the end of Q1 2016, the Investors shall have the right to terminate this agreement, or extend it for a period at their option. If Investors opt to terminate this agreement, Uragold will return the full deposit within 10 business days of notice of termination.-Once Uragold has notified the Investors of the successful metallurgical testing and validation that the PUREVAP(TM) QVR tor could produce at least 4N Purity of material during the first test (“success notification”), then the Investors will have up to 5 working days to instruct the lawyer to release the funds held in escrow to Uragold.
    • -If Uragold and the Investors are unable to come to terms with respect to the discount pertaining to the Off-Take Agreement via a formal Memorandum of Understanding (see Section 10) within 5 working days of success notification, the Investors shall have the right to terminate this agreement, or extend it for a period at their option. If Investors opt to terminate this agreement, Uragold will return the full deposit within 10 business days of notice of termination.

    -Upon receipt of the funds from the Lawyer, Uragold will immediately proceed with the completion of the Private Placement:

  • -As per the Rules of the TSX-Venture, the pricing of the private placement shall be the greater of $ 0.05 or the market price Uragold Shares (less a 10% discount) on the date Uragold issues the press release confirming the successful metallurgical testing and validation that the PUREVAP(TM) QVR can produce at least 4N Purity of material during the first test.-The Private Placement shall be made in Units. Each Unit will be comprised of one (1) common share and one (1) common share purchase warrant (“Warrant”) of the Company. Each Warrant will entitle the holder thereof to purchase one common share of the capital stock of the Company at an exercise price equal to the greater of $ 0.07 OR 140% of the Unit price placement for a period of 36 months from the date of closing of the placement. Each share issued pursuant to the placement will have a mandatory four (4) month holding period from the date of closing of the placement. The placement will be subject to standard regulatory approvals.-Upon closing of the Private Placement, Uragold will grant the investors a right of first refusal on any other potential future financing concerning this project.
  • -Once Uragold as issues the press release confirming the successful metallurgical testing, and the Investors have released the escrowed $250,000 to Uragold, Uragold shall start the process required to spin out the Gold assets of the Corporation into a separate Company.
  • -$1,750,000 Convertible Debenture: During Q2 2016, but no later then 60 days after Uragold issues a press release confirming the successful metallurgical testing and validation that the PUREVAP(TM) QVR could produce at least 4N Purity of material during the first test, the investors shall proceed with a $ 1,750,000 private placement by way of convertible debenture.
  • -The terms of the Convertible debenture Private Placement shall be:
  • Uragold shall issue to the investor $ 1,750,000 principal amount of convertible debentures, which will be secured by the Quartz properties of Uragold. The debenture placement will be subject to standard regulatory approvals.-The debenture will be convertible at the option of the holder into common shares of URAGOLD (the “Common Shares”) at any time after the issue date of the debenture and prior to the Maturity Date at a conversion price equal to 135% of the closing price of the stock the day prior the closing of the debenture financing.-The convertible debentures mature three years from the closing date and bear interest at a rate of 10% per annum, payable in equal semi-annual installments.

    0If Uragold has not achieved 6N Purity by the time of investment of the $1,750,000 convertible debenture, the first priority of Uragold is to use the funds to achieve 6N Purity.

  • -3,000,000 Convertible Debenture:
  • -During Q1 2017, but no later then 30 days after Uragold confirms having received all the required permits to start the construction of the Generation 2 PUREVAP(TM) QVR, as well as, confirmation that it has secured the required other financing of $ 12M, the investors shall proceed with a $ 3M private placement by way of convertible debenture.-The terms of the Convertible debenture Private Placement shall be:
  • Uragold shall issue to the investor $ 3,000,000 principal amount of convertible debentures, which will be secured by the Quartz properties of Uragold. The debenture placement will be subject to standard regulatory approvals.-The debenture will be convertible at the option of the holder into common shares of URAGOLD (the “Common Shares”) at any time after the issue date of the debenture and prior to the Maturity Date at a conversion price equal to 135% of the closing price of the stock the day prior the closing of the debenture financing.-The convertible debentures mature three years from the closing date and bear interest at a rate of 10% per annum, payable in equal semi-annual installments.
