A gold deposit, an owned mill and a buyer for the metal. LaFleur Minerals is bringing those pieces together through a definitive agreement with Ocean Partners UK Limited that includes the option to request up to US$5 million in unsecured working capital from January 1, 2027, subject to customary conditions. No shares, warrants or security over company assets are required in connection with the advance.
The agreement covers the gold and silver from LaFleur’s planned approximately 100,000-tonne bulk sample at its Swanson Gold Project, which the company intends to process at its wholly owned Beacon Gold Mill in Québec’s Abitibi Gold Belt. In this AGORACOM interview, CEO Andrew Elinesky explains how the company plans to move from refurbishment and permitting into commissioning, then use the bulk sample to test operating performance and potentially generate initial cash flow.
WHAT YOU NEED TO KNOW
- Up To US$5 Million Without Equity Dilution: The optional advance carries interest at three-month CME SOFR plus 7.50%, with no arrangement fees, equity or warrants payable. Repayment comes through deductions from metal delivery payments, and early repayment carries no penalty.
- A Buyer For The Bulk Sample’s Precious Metals: Ocean Partners will purchase 100% of the gold and silver produced from the Swanson bulk sample, subject to a minimum delivery commitment. Pricing is based on prevailing LBMA gold and silver prices, less customary refining charges.
- Existing Infrastructure, Remaining Restart Work: Beacon remains wholly owned and free of royalties or other encumbrances. Elinesky says approximately C$4 million has already been invested in refurbishment. Remaining tailings work and the required change in permit status must precede commissioning.
- A Staged Operating Plan: Management intends to commission Beacon using approximately 10,000–12,000 tonnes of existing stockpiled material before processing the Swanson bulk sample. Swanson’s closure plan and other required approvals remain outstanding.
- Results To Guide The Next Phase: The bulk sample is intended to test grades, recoveries, costs and plant performance under operating conditions, providing information to support subsequent development and financing decisions.
STRATEGIC IMPLICATIONS
The practical value of the Ocean Partners agreement lies in the gap between starting mining activities and receiving payment for gold. Contractors, site preparation and operating bills require cash before metal deliveries generate proceeds. Elinesky identifies contractor mobilization, pre-stripping and other site activities as intended uses of the advance.
The facility provides a funding option for that work without an equity issuance attached to the advance. It remains interest-bearing debt, repayable through deductions from bulk sample delivery payments. LaFleur retains exposure to prevailing gold and silver prices through LBMA-linked pricing rather than a fixed-price sale.
Beacon is the other central piece. Owning an existing processing facility allows LaFleur to pursue recommissioning rather than build a new mill. Elinesky sees that infrastructure as an opportunity to shorten the development process, while acknowledging the work still required to reach operating readiness.
The bulk sample would then provide a practical test of the combined assets. Its significance extends beyond any initial metal sales: actual grades, recoveries and costs could help determine how LaFleur approaches the next stage at Swanson. Future expansion and potential custom milling remain opportunities to evaluate rather than secured outcomes.
CEO ANDREW ELINESKY
“Our focus is on advancing the Swanson Gold Project in a disciplined manner, leveraging our existing processing infrastructure, and establishing a pathway toward gold production.”
Elinesky’s priority is to establish what Swanson and Beacon can deliver together. He describes the planned bulk sample as a manageable first step that could generate internal cash flow, help limit future dilution and provide operating evidence for subsequent investment decisions.
INVESTOR TAKEAWAY
LaFleur has established a buyer and a conditional working capital option for its planned bulk sample. The focus now shifts to execution: completing Beacon’s remaining tailings work, obtaining the required operating status, commissioning the mill and securing the approvals needed at Swanson.
In the interview, Elinesky indicated that LaFleur was targeting an early first-quarter 2027 submission of the Swanson closure plan. Regulatory approval timing remains outside the company’s control, and sustained production and positive cash flow have yet to be demonstrated.
For investors, the next milestones will show whether LaFleur can translate its owned infrastructure and commercial agreement into operating results. Watch the interview for Elinesky’s explanation of the funding, the staged restart plan and what the Swanson bulk sample is intended to prove.
