Pacific North West Capital Provides 2016 Exploration Update and Plan for River Valley PGM Project $PFN.ca

June 6, 2016 / Vancouver, Canada – Pacific North West Capital Corp. (“PFN”, the “Company”) (TSX.V: PFN; Frankfurt: P7J.F; OTCQX: PAWEF announces an exploration update and plan for its 2016 exploration program on its 100% owned River Valley platinum metals (PGM) Project near Sudbury, Ontario (Figure 1).

The 2013 Exploration Permit (PR-13-10095R) for the River Valley PGM Project was renewed for a second three year term. The renewed exploration permit expires March 31, 2019 and covers drilling of up to 20 diamond drill holes. Ten holes are planned to be drilled to expand and define Target T2 (Figure 2), the new higher grade PGM discovery that was made in the north part of the River Valley deposit in early 2015 (see PFN press release dated March 11, 2015). Depending on the drill results, the remaining holes could be drilled to test T2-like targets elsewhere at the north end of River Valley for higher grade PGM mineralization (Figure 3).

In addition, PFN applied for and won approval for financial assistance from the Junior Exploration Assistance Program (JEAP) of the Ontario Prospectors Association. If PFN invests $200,000 in exploration of its River Valley PGM Project in 2016, the program will refund $66,600. PFN greatly appreciates this support.

About PFN’s Lithium Division

The company’s new Lithium Division will focus on the acquisition, exploration and development of Lithium Projects in Canada. In the United States the company will use its wholly owned U.S.A subsidiary to acquire and develop projects in active mining camps in Nevada, Arizona and California.

Management believes that these new age metals, Lithium, PGMs and Rare Earths, have robust macro trends with surging demands and limited supply. Going forward, this new division will explore for the minerals needed to fuel the demand for energy storage and other core 21st Century Technologies.

TORONTO, ONTARIO–(June 2, 2016) – In meetings this week KWG Resources Inc. (CSE:KWG)(FRANKFURT:KW6) (“KWG”) has discussed with the Chiefs of the Webequie and Marten Falls First Nations an outline of principal terms for the possible creation of an equal partnership through which to undertake the development and exploitation of mineral deposits in the Ring of Fire.

“A little more than a year ago now, we welcomed the Webequie and Marten Falls First Nations joining forces to act together in concluding a ‘Negotiation Protocol Respecting Early Exploration in the Ring of Fire,'” said KWG President Frank Smeenk. “The railroad feasibility study that China Railway FSDI proposes to undertake for us is based on the railroad being part of the large-volume underground chromite mining operations being envisaged to supply a gas reduction processing facility where the chromite would be upgraded to ferrochrome. Those mining and transportation capital assets will be largely located within the traditional territories of Webequie and Marten Falls.

“As we seek offtake terms for this potential new ferrochrome supply, it is crucial that such terms include a floor price which insures these large-volume operations, once begun, can continue without interruption for the many decades possible. To guarantee this we have proposed to transfer our mining claims into a limited partnership provided that Webequie and Marten Falls make an investment into the limited partnership equal to KWG’s. We have offered to provide them with a non-recourse loan of $40 million to facilitate this.

“The shares of the General Partner managing the limited partnership would be equally held by KWG as to half, and Webequie and Marten Falls jointly, as to the other half. Both shareholders would appoint an equal number of Directors but the Chairman of the Board would be a KWG nominee.”

Webequie Chief Cornelius Wabasse and Bruce Achneepineskum, Chief Marten Falls FN, have undertaken to study the proposal with their respective councils. The parties have also agreed to discuss at a later date the opportunities for equity participation in KWG subsidiary Muketi Metallurgical LP, which is prosecuting two chromite-refining patent applications in Canada, China, India, Indonesia, Japan, Kazakhstan, South Africa, South Korea, Turkey, and USA.

KWG has a 30% interest in the Big Daddy chromite deposit and the right to earn 80% of the Black Horse chromite where resources are being defined. KWG also owns 100% of CCC which has staked claims and conducted a surveying and soil testing program, originally for the engineering and construction of a railroad to the Ring of Fire from Aroland, Ontario. The Double-D #crowdfunding

Get your mind out of the gutter!Now, when you first saw the title, you asked yourself what business has to do with anything relating to double-Ds – of any kind.

We’re talking about Due Diligence. Sexy, isn’t it? Due diligence is a topic that gets a lot of people talking and writing, but they don’t make it interesting. It loses its sex appeal.The problem is that when these articles appear, most entrepreneurs turn their head and pay no attention or often comment back saying my lawyer does it all.The future of their company depends on following due diligence best practices, and yet they’ve washed their hands of it.They lose sight of the need to get naked for money.

ATTENTION,ATTENTION.

This all changed on 28 October 2015 for companies, investors, and equity portals around the globe whether they know it or not. The SEC caught one American company committing fraud through equity crowdfunding, costing their shareholders almost $2 million in misspent funds, and it isn’t about to let them off easy.

We had our first fallout because no due diligence was done.So what does this mean for companies, investors, portals, and anyone else that’s part of the ecosystem?For one, it means that the level of scrutiny has to increase, for the good of the industry.The fraud could have been detected had Ascenergy gone to an equity crowdfunding portal that was operated by a FINRA broker dealer.Instead, the fraud occurred through bulletin board style portals such as AngelList, EquityNet and Crowdfunder.These boards do no due diligence of their own, and all of the risk around picking a legitimate company with a real opportunity is shifted to the investor, and the responsibility to ensure that they’re staying compliant and transparent.

Equity portals will need to emphasize to investors the high level of rigorous due diligence they perform on companies before they’re listed on their platform regardless if you are doing Title II, Title III and Title IV.They’ll need to reassure their investors that their companies can, to the best of anyone’s knowledge, be trusted, and educate them on the steps they take to vet opportunities.Building trust will be critical for equity portals.An investor that buys into a fraudulent deal on an equity crowdfunding portal isn’t very likely to do so again.

Each equity portal will employ different levels of due diligence, and may utilize third party companies like CrowdCheck to provide them with a FINRA compliant due diligence report which they can then combine with their own due diligence.Portals such as OfferBoard, StartEngine, BankRoll.Ventures, MicroVentures, CircleUP, and ASMX pride themselves on the rigorous due diligence they perform in companies.

For companies that thought that simply having a powerdeck and termsheet was going to be enough, all I can say is that you’re not going to be successful in having your company listed on equity portals.Companies will need to make sure they fully understand all the due diligence requirements they need to meet.Today, there are tools such as KoreConX that help companies prepare their documents so they can share with equity portals to conduct due diligence. It helps them stay transparent with their shareholders, and effectively get naked in front of the crowd for money.

Title III in now live, and many entrepreneurs are wondering how rigorous due diligence will be on their companies.They wonder if the process will be simplified, or if the requirements will change in any way.The answer is simple: due diligence isn’t going away and the market will be crowded.Portals will only take companies that meet and go beyond the basic due diligence requirements of Title III.

The due diligence requirements for Title II and Title III are very different.Title II requires more detailed information from the company than Title III does.Now, I caution all entrepreneurs, yes due diligence requirements are reduced under Title III, but equity crowdfunding portals operating under Title III can, at their discretion, decide not to accept you if they don’t feel you met their requirements.My recommendation is to plan your due diligence as if you were doing a Title II raise, as you will need to stand out in the crowd.

It takes a pretty big leap of faith to hand over so much money to a company you’ve only just heard of, with a team you’ve never met, so portals and companies need to work in concert to create investor confidence. Due diligence is in place to protect the interests of the investor, and make no mistake that doing so is essential to ensuring the sector succeeds.It’s an inextricable part of the marketing efforts of everyone involved.

Durango Provides Update on Nemaska Properties $DGO.ca

Vancouver, BC / June 2, 2016 – Durango Resources Inc. (TSX.V-DGO), (the “Company” or “Durango“) announces that upon further review of historic data on the Nemaska area, the Company has further refined targets for its upcoming exploration program at its NMX East property in northern Quebec.

Based on observations from gradiometric and total field magnetic surveys conducted on the area in 2011, several geophysical signatures have been found on the property which coincide with mapped pegmatites from the 2011 Tucana Lithium technical report on the Abigail property (1)(2). These geophysical signatures appear to extend eastward from Nemaska Lithium’s Whabouchi property.

Three parallel signatures were found to occur clearly on the Durango property in both the gradiometric and total field magnetic surveys. Two of these signatures were confirmed in Tucana Lithium’s 2011 report to be coincident with pegmatite outcropping at surface, while the third was not mapped (1). Furthermore, one of the signatures appears to lie directly along strike with the Whabouchi deposit.

Marcy Kiesman, CEO of Durango, comments, “There has been extensive staking in the Nemaska area over the past few months, while work programs in the area are beginning to commence. Our approach has been to compile and reinterpret all available materials prior to commencing work in an effort to make Durango’s upcoming exploration program in Nemaska as efficient as possible and to provide the best chance of discovery.”

The technical contents of this release were approved by Mr. Case Lewis, P.Geo., a Qualified Person as defined by National Instrument 43-101. The property has not yet been the subject of a National Instrument 43-101 report.

Fairmont Resources (FMR.V) recently announced it intended to acquire Grabasa, a Spanish granite producer, from a bankruptcy procedure. As this could really put the company on the map and generate cash flow that could be used to explore and develop other properties, we had a chat with CEO Michael Dehn to get some more details.

  • How did you come across Grabasa?

We were originally referred to the Grabasa case through a former employee at Grabasa. As you know, geo’s like to talk rocks with each other and that’s how we learned about this opportunity and decided to investigate the potential of this company.

  • Can you elaborate on the structure of the deal?

Sure. The plan is to structure the acquisition through debt financing. We have several sources currently evaluating the deal at competitive interest rates, and it definitely is our ambition to fund 100% of the acquisition with debt. We would like to keep any potential dilution of our shares limited when we acquire this company.

  • Investors can be quite wary about picking up assets from a bankruptcy procedure. Why didn’t Grabasa’s business plan work out, and why do you think you can do a better job?

Simply put, market conditions have changed. Grabasa operating for about 25 years producing as much as 250,000 square metres of granite annually. In the 5 years before declaring insolvency, they were averaging approximately 6 million euros (C$9M) in annual sales. As they began scaling up their business through debt financed plant and equipment upgrades, they were negatively impacted by the mortgage backed security crisis, declining European market demand, and tightening capital spending. They were forced to declare bankruptcy under these conditions.

It’s really not a case of us doing better, but being in a better position to put Grabasa back into operation. Labour costs in Spain have declined, the market demand is recovering, and we have a more diverse marketing strategy connected to our operations in Quebec.

By going through the Bankruptcy process, you essentially reset the business. And we are acquiring the asset at a very good price, so we are confident Grabasa will be a very profitable division of Fairmont.

  • What about the economics? What’s your plan for Grabasa’s mining licenses? Do you have any idea what kind of operating margin you could realize?

The mining licenses are intact and the operating plan is divided in different stages. Firstly, there is a considerable amount of finished and unfinished product in inventory which we can sell in the near-term. This allows us to finance the restart of the operations and re-open the major quarry. As we ramp up sales, we expect to re-open the second main quarry.

Margins will likely vary with market conditions and the range of product we are able to sell. For example, black granite sold in Asia will command a significant premium, coloured granite for commercial applications in Europe less so. Having said that, we have the expectation of realizing an average of about a 40% margin annually.

  • Are you planning to pick up more licenses around the processing plant to become a dominant player?

Through this purchase, we will acquire 23 quarries. We will commission additional quarries as needed but hope to do these on a JV basis to better support the local economy by encouraging regional employment.

  • How about the environmental liabilities and reclamation costs? Will Fairmont be liable for historic mining operations?

Since this is granite – there really is no environmental issues. As with all mining, there is a reclamation cost which kicks in when mining ceases, but this will likely be several generations into the future, so that’s not really something we are worried about right now. We are looking forward to complete the transaction and to restart the granite mining operations as soon as possible.
