Q3 2019 Highlights

  • 5,807 patient visits generated revenue of $663,003, compared to 1,864 patient visits that generated $279,850 for Q3 2018.

  • Net loss of $504,531, compared to $378,657 for Q3 2018, which was primarily driven by increased revenues and fair value adjustments offset by net increased in operating expenses related to the operations of Sun Valley.

  • Cash used in operating activities improved by $1,309,913 from $3,129,583 for YTD 2018, compared to $1,819,670 for YTD 2019.

  • Cash at September 30, 2019 of $178,578, compared to $157,668 at December 31, 2018, which was primarily driven by debt and equity financings during the nine months ended September 30, 2019 and partially offset by cash used in operations, the cash investment in Sun Valley and cash investment in Sun Valley Health Franchise launch.

  • Strategic Development: The Company has opened its first hemp-derived CBD extraction facility in greater Portland, Oregon with the first extraction system expected to have the capacity to produce 6,000 kg of extracted product per year. The Company took possession of the new extraction facility June 1st, 2019 and has been awarded it’s hemp-handlers licence from the Oregon Department of Agriculture, allowing the Company to enter the next phase of build-out and full operations in 2019.   • Strategic Partnership: The Company has entered into a Letter of Intent (“LOI”) to form a Joint Venture Partnership (“JV”) with Heritage Cannabis Holdings Corp (CSE: CANN) (“Heritage”). Terms of the LOI have Empower and Heritage each with a 50% ownership of the JV. Heritage will install extraction units and related downstream extraction equipment inside Empower’s existing licenced hemp processing facility in Sandy, Oregon. Once operational, the JV will begin producing proprietary branded products for Empower’s clinics and third party partners for distribution in the United States.

Financial Performance

Clinic revenues for Q3 2019 were $663,003, compared to Q3 2018 revenues of $279,850. This increase over the prior year is attributable to the acquisition of Sun Valley Clinics.

Direct clinic expenses for Q3 2019 were $55,397, compared to Q3 2018 direct clinic expenses of $88,956. These expenses declined despite the increase in revenues due to improved operational controls to align labor cost with direct patient consultations. The Company employs a diverse mix of physicians and practitioners.

Net loss from operations for Q3 2019 was $843,897, compared to Q3 2018 net loss of $405,048. This increase in loss over prior year is primarily attributable operating expenses increasing due to timing of recognition of the expense associated with non-cash share-based awards to management.

Net loss for Q3 2019 was $504,531, respectively, compared to Q3 2018 net loss of $378,657. This increase over prior year is primarily attributable to the increase in operating expenses as noted above, which was partially offset by gains on change in fair value of the conversion option of convertible debentures and warrants.

During Q3 2019, the Company used $1,819,670 in cash from operations after changes in non-cash working capital. The Company invested $629,636 for the acquisition of Sun Valley Clinics and raised $2,470,216 via proceeds from various issuances of shares, convertible debentures and notes.

New Report Says CBD Sales Could Surpass $1B In 2019, $10B By 2024

A new report produced by the editors of Hemp Industry Daily says retail sales of CBD in the United States are on track to surpassing $1 billion in 2019. This would imply 133% growth over 2018 sales.

Even more interestingly, the newly released 2019 Hemp & CBD Industry Factbook says CBD retail sales in the U.S. may eclipse $10 billion by 2024.

The last few months have been difficult for the cannabis sector and the recent decline has caught the attention of new capital. Over the last few months, we attended several conferences and met with new venture and private equity funds that are taking a hard look at the cannabis sector following the recent pullback.

Following our meeting with these funds, we became increasingly excited about how the sector will perform during 2020. During the final quarter of the year, we expect to see more tax loss selling and this is a trend to be monitoring. On average, we have seen a drastic improvement from a fundamental standpoint when analyzing companies that are focused on the cannabis sector. This is a trend that we expect to continue on a going forward basis and believe the recent weakness has created opportunity.

The US represents one of the most exciting cannabis markets and we have noticed a significant increase in the amount of interest in this burgeoning market. Over the next year, we expect to see further interest in the US market and expect deregulation to be a catalyst for the businesses that are levered to this opportunity.

During the last month, we have been highly focused on the US cannabis market and have been working to identify companies with specific criteria. When analyzing these cannabis businesses, we are looking for companies that are: 1) led by a management team that is focused on execution and creating value for shareholders; 2) have visible growth prospects and substantial potential catalysts for growth; 3) are attractively valued or misunderstood by the market; and 4) that are levered to states with burgeoning cannabis markets.

A few weeks ago, Empower announced a major milestone and entered into a letter of intent to form a joint venture with Heritage Cannabis Holdings (CANN.CN) for the extraction of hemp for CBD oil production, and formulated CBD products. The joint venture will be owned 50/50 by each company and we are bullish on the growth prospects associated with this initiative.

Heritage, via its wholly owned subsidiary Purefarma Solutions, will install extraction units and related downstream extraction equipment inside Empower’s existing 5,000 sq. ft. licensed hemp processing facility. Purefarma will also train and supervise the staff on the proprietary methods of extraction and oil production that it produces in Canada.

We are favorable on the expertise that each company brings to the joint venture and expect this to play a key role in the success of the operation. Going forward, the joint venture plans to secure high quality hemp supply from local growers as construction is completed on the facility. Once operational, the joint venture will start producing proprietary branded products for Empower’s corporately owned physician staffed health clinics in Washington State, Oregon, Nevada, and Arizona.

Highly Focused on the US CBD Market

Another attractive aspect of the Empower story is related to the hemp-derived CBD extraction facility in Oregon. The company is in the process of constructing a facility equipped with a state-of-the-art extraction system (expected to produce approx. 6,000 kg of extracted product per year) and this should prove to be a major revenue driver in 2020.

Empower has commenced the process to access the more than 1,300 licensed hemp farmers in Oregon and we are favorable on this. These cultivators are known to produce some of the highest quality hemp bio-mass in the US and we find this be significant. Quality of products has become very important following the issues over at Juul and we believe that the joint venture has done a great job by focusing of safety and consistency.

From a distribution standpoint, the footprint that Empower has throughout the US will play a key role in the success of the CBD business. Through Sun Valley Health, a subsidiary of Empower, the company has access to more than 165,000 patients. Through company owned and franchised cannabis clinics, Empower will be able to market to large potential customer base that is clearly open to cannabis.

Empower recently launched an e-commerce platform to sell company branded hemp-derived CBD based products as well as premium health and wellness supplements. Over the next year, we expect to see the company’s CBD product line gain traction within its clinic network and will monitor this aspect of the story.

An Opportunity that is Flying Under the Radar

Over the next year, we expect to see Empower benefit from having a multi-faceted growth model and additional revenue streams. The Miracle That Is CBD, Might Help Breast Cancer Patients Too

CBD is in our lattes, moisturizers, and chocolates, but what about its use in a hospital setting instead of your local café or beauty store? Although more study is needed, research suggests that CBD may have the potential to help relieve certain side effects of chemotherapy.  

CBD is short for cannabidiol, which is one of the many compounds found in cannabis and hemp. Unlike tetrahydrocannabinol (THC), it’s non-psychoactive. Manufacturers have found a way to separate CBD from the plants, and the Agriculture Improvement Act of 2018 (aka the Farm Bill) legalized hemp-derived CBD that contains no more than 0.3% THC and is made from hemp grown by licensed producers. (That’s why you’ve seen so many CBD products recently.) But so far, the Food and Drug Administration has only approved one form of CBD: Epidiolex, a drug containing a purified marijuana-derived form of CBD, which is used for preventing seizures caused by rare forms of epilepsy. 

However, medical marijuana — which contains CBD as well as THC and other compounds — has been used by cancer patients for many years. In 1996, California became the first state to legalize marijuana for medical use. And although marijuana is still illegal on a federal level, it’s currently legal for medical use in 33 states — and it’s approved for use by cancer patients in every state in which medical marijuana is legal. (For comparison, medical marijuana is approved for use by patients with Crohn’s disease in only 27 states.) Additionally, the FDA has approved two chemically pure drugs based on marijuana compounds to treat nausea and vomiting in cancer chemotherapy patients.   

A 2016 review of medical marijuana’s use in oncology, published by the American Medical Association journal JAMA Oncology, notes, “Marijuana in oncology may have potential for use as an antiemetic [relieving nausea and vomiting], for refractory cancer pain, and as an antitumor agent. However, much of the data are based on animal data, small trials, or are outdated.” The authors concluded that more research is needed into medical marijuana’s therapeutic use for cancer patients.  

There is even less research into CBD’s potential benefits for cancer patients. But still, some studies have been conducted. According to the National Cancer Institute, research indicates that CBD may slow the growth or reduce the risk of recurrence of certain kinds of cancers, including breast cancer; enhance the potency of certain medications; and reduce chemotherapy side effects including vomiting, nausea, and anxiety. However, all these studies are limited, and experts agree that further research is needed to understand just how CBD affects humans.

CBD oil is a much talked about product, it is a topic of hot conversation, it is in the news and everyone has an opinion! Some opinions are based on fact, others on assumption and there are a group of people who just do not know what to think at all. The first point to mention is that CBD or to give it its chemical name, Cannabidiol, should not be confused with its sister chemical THC or Tetrahydrocannabinol. Both chemicals are derived from the cannabis plant which in itself has over 100 chemicals and although the two chemicals are similar in a sense, they differ in the way in which their atoms are put together. Here, in the UK, CBD is legal to purchase whether it be as an oil or as part of another preparation.  It is the THC which is not legal and any product containing CBD can only contain trace elements of THC at the most, in fact products can contain no more than 0.2% THC. Each country has their own rules and so if you are planning to use CBD anywhere else other than in the UK, you should check the legal status first.

CBD is extracted from the cannabis plant using different processes and each manufacturer will use their own particular method of extraction. When the CBD has been extracted, it will then be mixed with a carrier oil and it is then known as CBD oil.

Many people have conditions which cause them to be in serious pain or have quite debilitating symptoms. Sometimes conditions can be treated and sometimes they cannot be treated and instead they are managed by medication, which is not the best solution for a long term problem. CBD has shown promise in giving relief and even turning around certain conditions. These receptors look for cannabinoids to attach to them and when they are satisfied that they have their requirement, the balance is restored and as long as the supply and uptake is maintained, so is the balance. When the system becomes unbalanced, the receptors are not fulfilled and when that balance is no longer there, illness and pain are felt. The body naturally produces its own endocannabinoids, sometimes it will not produce enough and sometimes the endocannabinoid being produced fail to reach the receptor points. CBD is a cannabinoid and it is thought that it works with the bodies own system to satisfy the receptors. This is why CBD can be used for all manner of illnesses and difficulties within the body. It can even be used in lower doses by healthy people to keep their system in check and many use it for this purpose.

Each person will have a dose that suits them best and it is up to each user to find that dose. It is always tempting to read about all of the good that a product has to offer and go about taking a high dose to try to access some of that good but this is the wrong way to go. Start with a small amount and gradually increase the amount until you feel a benefit. At that point, that should be the dose that suits you. Start with the weakest preparation and if you need to move to a stronger preparation, do that next. Do not assume that you will be able to copy the dose that someone else is taking, that is just not true, you have to work slowly to find your own.

At 165,000 patients, Empower Clinics (CBDT:CSE) (EPWCF:OTCQB) has a database that almost every medical cannabis and CBD company would kill for.  Add in the fact it is now on a ~ $USD 4,000,000 annualized revenue run rate for 2019 and it becomes the kind of company small cap investors have been dying to find as they watch pretender companies melt away.

But it doesn’t end there.  

CBD extraction has been a key element of the company’s vertical integration. Producing its’ own CBD products for its own patients just makes sense.  Up until a couple of days ago, it was a sound strategy that needed to be executed.  As of yesterday, execution arrived thanks to a JV with extraction experts Heritage Cannabis that will light up the Company’s 5,000 sq ft facility in Oregon.  Empower brings the infrastructure, Heritage brings the expertise and balance sheet.  The result is a match made in shareholder heaven with initial annual capacity of 6,000 Kg at ~ $US 5,000 per Kg, which adds up to $US 30,000,000 in potential revenue.

We emphasize potential  because nobody has started selling anything yet and the facility isn’t expected to begin producing for another 3-4 months.  However, with a built in patient database and talks already having commenced for white label products, Empower is on its way.  Moreover, “potential” cuts both ways, with capacity capable of increasing 2x – 3x without much trouble given the size of the facility.  

Can Empower successfully execute its extraction plan?  It’s a legitimate question, with a blow away answer..
