Supreme Appoints John Fowler President & Director

VANCOUVER, BRITISH COLUMBIA–(Dec. 19, 2014) – Supreme Pharmaceuticals Inc. (“Supreme” or the “Company”) (OTC PINK:SPRWF)(CSE:SL) is pleased to report that at its annual meeting today John Fowler was elected to the board of directors and appointed as the President of the Company. The Company has also added Dr. Youbin Zheng to its advisory board.

Mr. John Fowler, previously Director of Operations, was elected to the board of directors, and will be assuming the position of President of Supreme. Mr. Fowler began working in the medical marijuana sector over ten years ago. He pursued a career in law to assist medical marijuana patients with legal issues ancilliary to medical marijuana use. Most recently, Mr. Fowler practiced law at a prominent Toronto law firm. Mr. Fowler is committed to providing Canadians access to high-quality, low-cost medical marijuana and working with the medical community to improve physician education and support for medical marijuana.

Dr. Youbin Zheng, PhD, MPhil, MAg, Bag, has been appointed as the newest member of the Company’s advisory board. Mr. Zheng is currently an Associate Professor and Environmental Horticulture Chair, at the University of Guelph. He has many years of experience in horticulture research, especially in vegetable and ornamental plant production in controlled environments (e.g. greenhouses) in Canada, England, Japan and China. Recent research projects include greenroofs, urban agriculture, organic vegetable production in greenhouses, CO2 enrichment and its effects on photosynthesis, respiration, transpiration, nutrient uptake and crop production, irrigation and water treatment for sustainable horticulture, and the development of sustainable plant production systems. Mr. Zheng is a highly distinguished expert in the field of horticulture and will be a key advisor to the Company and its grow operations moving forward.

The Company has agreed to settle certain payment obligations pursuant to a consulting agreement by the issuance of 390,000 common shares of the Company on January 2, 2015.

The company has spent approximately $4 million in upgrades to transform the out-of-use tomato greenhouse into a highly secured, state-of-the-art, automated marijuana facility. Cannabis (MMJ) Goes Mainstream

Vancouver, BC / November 24, 2014 / 3,500 well-dressed investors and entrepreneurs converged last week in Las Vegas in what was the marijuana industry’s biggest event to date by far – the 3rd annual Marijuana Business Conference and Expo.

It was a monumental event, bringing together some of the top agricultural companies in the country with experts in security, logistics, software, packaging, even Wall St. was there as well as several reported celebrity sightings. To say we have a very hot new sector in this country is an understatement.

Supreme Pharmaceuticals (SL-CSE) (SPRWF-OTC) is looking like a champion on this frontier, having built a high-tech pharmaceutical-grade greenhouse in Canada, ideally suited for cannabis cultivation on a large-scale.

“In May 2014 we purchased a 342,000 square foot agricultural greenhouse in Kincardine, Ontario,” stated Supremes’ Director of Operations in an exclusive interview with Financial Press, “since then we’ve deployed over $4 million dollars to convert it into a medical marijuana growing facility that exceeds the federal regulatory requirements.”

The speedy execution of the construction phase reflects the financial, entrepreneurial and operational mix of Supremes’ management team. The company has a solid track record in capital markets, logistics and the marijuana space.

In January, 2014 Supreme received a “Ready-to-Build” letter from the federal regulator indicating its proposal to produce up to 24,000 KG of medical marijuana per year met the regulatory requirements. The ready to build letter states that a producer’s license will be issued following a successful pre-licence inspection.

As the pre-license construction phase comes to a close, the company is now one step away from a green light to commercially produce medical marijuana. “Within the next few weeks we anticipate completing all of the pre-installed regulatory requirements” stated Fowler, “that means the security infrastructure, quality assurance and record keeping protocols are all in place – and we’re ready to put seeds in the ground and turn the lights on.”

Fowler describes the Kincardine greenhouse as the ideal facility to produce high quality, low cost medical marijuana, which will become one of Supremes’ cornerstone competitive advantages. In addition to the traditional cost-saving benefits of greenhouse agriculture, this greenhouse is uniquely suited to medical marijuana production. “The greenhouse is designed to be much shorter than a traditional agricultural greenhouse,” Fowler continued, “which is ideal for shorter plants like marijuana. This design means there are millions of cubic feet of air that we do not have to manage with our climate control systems. Reducing heating and cooling saves costs and boosts production efficiency.”

The size of the Kincardine facility gives Supreme a significant competitive advantage over other applicants. Health Canada’s regulatory guidance states that it intends to transform a sprawling cottage industry to a small number of scaled growing facilities. “Economies-of-scale have enabled us to make significant capital expenses with construction and quality control” said Fowler, “we’re doing premium installations that would not be practical for a 40,000 square foot facility.”

Supreme is also one of the first medical marijuana companies to take an agricultural approach to the production of medical marijuana. “This is an agricultural business first, which is why we are utilizing an agricultural facility and the latest technology for automated greenhouse agriculture” stated Fowler, “we have a large, secured, highly automated facility capable of providing a sustainable supply of a standardized medical product, something the medical community has told us is essential. One of the problems with smaller facilities is that they can run out of product, depending on the harvesting cycle. That can be a problem for patients who are only responsive to one strain. Supremes’ scale means that we can guarantee reliability and consistency in the supply chain.”

Fowler describes the biggest advantage Supreme gains from the greenhouse is the town of Kincardine itself. “The unforeseen benefit of this greenhouse facility in Kincardine had been the town itself,” stated Fowler, “We’ve got support from all levels of government, the local business community and the residents. Last Saturday we had a job fair, which was attended by over 600 locals, even though we only advertised twenty positions. That level of support is unprecedented in an industry where simply being left alone is a victory.”

Fowler has been involved in the medical marijuana industry for over a decade. He’s likely the only businessman and corporate lawyer in Canada who also has extensive hands-on experience with the medical marijuana patient community and marketplace.

Fowler also intends to use his experience as a patient advocate to help Supreme attract patients who require medical marijuana to treat various ailments. “We are going to institute innovating pricing models,” stated Fowler, “designed to accommodate patients on a limited budget and mitigate the fact insurance providers do not yet cover medical marijuana.”

On November 17, 2014 Supreme closed a non-brokered private placement financing which, based on investor interest, was increased in size twice, generating $1.78 million in additional capital for the Company.

Supreme Completes Private Placement for Aggregate Total of $1.78M

Supreme Pharmaceuticals Inc. (“Supreme” or the “Company“) (CSE:SL) is pleased to announce that it has closed the final tranche of its previously announced unit financing for gross proceeds of $815,893.44 (the “Financing“). At the final closing, Supreme issued 2,549,667 units (comprised of 2,549,667 common shares of the Company (“Common Shares“) and 1,274,834 Common Share purchase warrants (“Warrants“)) at a price of $0.32 per unit. Each Warrant is exercisable for one Common Share at a price of $0.50 per share prior to November 17, 2016, subject to an accelerated expiry period upon 30-days notice by the Company to the subscriber, if the Common Shares trade at or above $0.70 for any five (5) day period during the term of the Warrants. In aggregate, total gross proceeds raised from the first and second closings totalled $1,781,642.24 through the issuance of 5,567,632 Common Shares and 2,783,816 Warrants.

“Having raised almost double the proceeds that we initially sought when we announced our raise just three weeks ago, we’re pleased with the positive response we’ve had, and extremely gratified at the investment community’s ongoing interest in Supreme”, stated a director of the company. “With this raise now finalized, we have a strong balance sheet and are well-positioned to continue executing on our long-term growth strategy.”

The Company paid aggregate finder’s fees of $21,769.60 and issued 68,030 Warrants to certain arm’s-length parties in the connection with the subscriptions of certain subscribers who participated in the Financing.

The Common Shares and Warrants issued pursuant to the final tranche of the Financing are subject to a hold period that expires March 18, 2015. Following closing, Supreme has 76,031,197 Common Shares issued and outstanding.

The Company intends to use the aggregate proceeds of the Financing for the continuing development of the Company’s Kincardine facility and general working capital purposes.

Montreal’s first medical marijuana clinic opens doors

The first medical marijuana clinic in Quebec has opened its doors in Montreal.

The goal of Santé Cannabis is to evaluate patients for therapies using medical marijuana, said Adam Greenblatt, the clinics’s executive director.

“There’s about one million patients across Quebec who medicate with cannabis in some way or another,” Greenblatt told CBC’s Daybreak.

“But the large majority of them access their cannabis from illicit unregulated sources. So our goal really is to help facilitate access to legal sources of medical cannabis to eligible patients who meet certain qualifications.”

The name, Santé Cannabis, is a play on the French term for the federal government department, Santé Canada, (Health Canada).

Greenblatt has enlisted Dr. Michael Dworkind as the clinic’s medical director, while Dr. Marcia Gillman will serve his associate director.

Both are known for their work in palliative care at Montreal’s Jewish General Hospital.

Greenblatt plans to have five doctors working in the clinic by February 2015.

Patients who come to the clinic are asked to have a referral from their family doctor or treating physician.

He said the clinic follows the guidelines set out by Quebec’s Collège des Médecins on the prescription of medical cannabis.

$250 annual fee

Greenblatt says Quebec’s medical insurance system will cover the cost of the consultation by one of the clinic’s doctors.

After that, patients will have to pay a $250 annual fee for the uninsured services of the clinic.

Those services include help choosing a licensed cannabis producer and an appropriate marijuana strain for treatment, and help navigating through the medical marijuana system.

Greenblatt says Santé Cannabis is a private business, but the main motivation is not profit.

“The purpose of our clinic is to serve as a portal to legal access to medical cannabis,” said Greenblatt. “We know that the demand is out there.”

(the “Company”) (OTCBB:SPRWF)(CSE:SL) in conjunction with an “Investor Meet and Greet” to be held today at the Fairmont Pacific Rim in Vancouver BC, provides an update on the Company’s funding status, progress at its facility in Kincardine Ontario, and a leadership transition plan.

According to CEO David Stadnyk, “With yesterday’s private placement closing, we now have funding in place to complete our build-out of the Kincardine facility and take us through the licensing stage and beyond.” Stadnyk also stated that he expects the build-out of the Kincardine facility to be completed by the end of November. “Our team in Kincardine has kept this large and complex project running smoothly and on track,” Stadnyk added. “The skill with which they’ve handled this project confirms my conviction that we have the right team assembled to run operations on the ground.”

Finally, Stadnyk – who has a successful history of funding and staffing new ventures and then transitioning to the role of passive investor and business advisor-announced his plan to move out of his CEO and director roles with the Company.

“I’m proud of what we’ve accomplished at Supreme over the last year, and the contributions that I could make in its early stages,” said Stadnyk. “With our latest raise being finalized and with the management team we’ve assembled in Kincardine and Vancouver, I’m confident that the Company is positioned for an exciting future.”

With Stadnyk’s departure, Brayden R. Sutton, currently Executive Vice President for Supreme in Vancouver, will be expanding his role and taking on additional leadership responsibilities, and George Tsafalas, currently a director at Supreme, will step in as interim President. “We’re grateful for the contributions David has made to Supreme, and for putting the pieces in place for Supreme’s future success. I look forward to helping Supreme continue to grow into a leader in the medical marijuana industry,” said Sutton.

Chris Bechtel, who is currently on Supreme’s Advisory Board, will be appointed to the Board of Directors seat being vacated by Stadnyk. Stadnyk will remain involved in the Company by taking a seat on its Advisory Board.

Supreme Completes First Tranche of Previously Announced Private Placement

Supreme Pharmaceuticals Inc. (“Supreme” or the “Company“) (CSE:SL) is pleased to announce that it has closed the first tranche of its previously announced unit financing for total gross proceeds of $965,750 (the “Financing“). At closing, Supreme issued 3,017,965 Units (comprised of 3,017,965 common shares of the Company (“Common Shares“) and 1,508,988 Common Share purchase warrants (“Warrants“)) at a price of $0.32 per Unit. Each Warrant is exercisable for one Common Share at a price of $0.50 per share prior to November 5, 2016, subject to an accelerated expiry period upon 30-days notice by the Corporation to the subscriber, if the Common Shares trade at or above $0.70 for any five (5) day period during the term of the Warrants. Directors, senior officers and other insiders of the Corporation purchased an aggregate of 1,300,000 units pursuant to the Financing. The Company paid finder’s fees of $6,560 and issued 20,500 Warrants to certain arm’s-length parties in the connection with the subscriptions of certain subscribers who participated in the private placement.

The Common Shares and Warrants issued pursuant to the private placement are subject to a hold period that expires March 6, 2015.

The Company intends to use the proceeds of the Financing for the continuing development of the Company’s Kincardine facility and general working capital purposes.

Supreme Announces Financing

Supreme Pharmaceuticals Inc. (“Supreme” or the “Company“) (CSE:SL) is pleased to announce that it is undertaking a non-brokered private placement of up to 3,125,000 units in the capital of the Corporation (“Units“) at a price of $0.32 per Unit for aggregate gross proceeds of up to $1.0 million (the “Offering“). Each Unit will consist of one common share in the capital of the Company (“Common Share“) and one-half of one Common Share purchase warrant (a “Warrant“), with each whole Warrant entitling the holder to purchase one additional Common Share for $0.50 for a period of 24 months from issuance of the Units. Each Warrant will be subject to an accelerated expiry period upon 30-days notice by the Corporation to the subscriber if the Common Shares trade at or above $0.70 for any five (5) day period during the term of the Warrants. The Company may pay commissions to brokers who assist in completion of the private placement in accordance with applicable law and the policies of the Canadian Securities Exchange. The proceeds from the Offering shall be used to fund the continuing development of the Company’s Kincardine facility and general working capital purposes.

The Company is offering the Units to existing holders of Common Shares (“Existing Shareholders“) in addition to subscribers (the “Subscribers“) who are Accredited Investors (as the term is defined in the Securities Act (Alberta) or other legislation applicable in the jurisdiction in which such Subscribers resides), on a prospectus exempt private placement basis for the purpose stated herein. Any Existing Shareholder of Supreme as at October 21, 2014 will be eligible to purchase Units pursuant to the recently adopted “existing security holder” prospectus exemption in all Canadian jurisdictions other than Ontario and Newfoundland. Under the new regulation, there is no longer a need for an Existing Shareholder to qualify under the “accredited investor” exemption in order to participate in the Offering, however Existing Shareholders who do not receive advice regarding the suitability of their investment from a registered investment dealer in the jurisdiction of their residence may not purchase more than $15,000 of securities under this exemption in any 12 month period.

In the event there is an over subscription of Units, the Company reserves the right to either reject subscriptions at its discretion, allocate on a pro rata basis or increase the size of the Offering. It is anticipated that the Offering will be open until November 17, 2014. Common Shares and Warrants issued pursuant to the Offering will be subject to a hold period expiring four months from the date of issue.
