(TSXV: EGLX), (“Enthusiast” or the “Company”)  a digital media company building the largest community of authentic gamers, is excited to announce that it has entered into a non-binding Letter of Intent (“LOI”) to acquire all of the shares of Steel Media Limited (“Steel Media”), the largest mobile gaming network in the world, which holds a significant portfolio of consumer and B2B websites, and a series of successful global live networking events.

Founded in 2005 by publishing experts with a focus on quality editorial, Steel Media is the media company behind over 20 mobile gaming media websites including: pocketgamer.com, pocketgamer.biz, appspy.com, and 148apps.com; and is the owner and operator of over 25 video game networking events in 11 different countries.  

Pocket Gamer (www.pocketgamer.com) is the world’s leading destination for the mobile gaming community, including: iPhone, iPad, Android, Nintendo Switch, 3DS and more. As one of the most recognized brand in the mobile gaming industry, Pocket Gamer has over 2 million monthly impressions on mobile and web, and covers multiple sites, events and even printed magazines. The addition of Pocket Gamer to the network will enable Enthusiast to capitalize on the fastest growing segment in the gaming sector, mobile gaming.

Offline, Steel Media is an industry leader in B2B and consumer mobile gaming events.  They own and operate numerous successful networking events around the world with 15,000 registered industry attendees and key sponsors and partners. Steel Media hosts Pocket Gamer Party, Top 50 Developer Guide, Mobile Mixers, the Mobile Games Awards, and Pocket Gamer Connects, the largest B2B mobile games conference series in the west, with events in London, San Francisco, Helsinki and additional locations in 2019.

Kestenbaum continued, “Steel Media’s series of successful and well established events worldwide will  provide an excellent platform for Enthusiast’s event business. Our goal has always been to expand EGLX, and we continue to look at opportunities for multi-city expansion. Having Steel Media’s network of events on our platform will provide synergies for growth and provides access to the international stage.”

Under the terms of the LOI, Enthusiast has a binding exclusivity period of 120 days or the agreed upon closing date, whichever is later, to complete due diligence and negotiate and settle definitive transaction documentation. The purchase price is expected to be in the range of USD $2,500,000 (CAD $3,353,125) plus an earn-out amount, bringing the total purchase price up to USD $3,000,000 (CAD $4,023,750) based on performance of Steel Media post-closing. There can be no assurances that the transaction will, ultimately, be completed on the terms set out in the LOI or at all, as Enthusiast Gaming must be completely satisfied with the results of due diligence. The LOI includes a two way break fee of USD $50,000 which is triggered by a party’s failure to execute definitive documentation as contemplated in the LOI. If the acquisition of Steel Media is completed, Enthusiast’s network will grow to over 100 websites and will also significantly expand Enthusiast’s reach into Europe.

Nielsen announced an in-depth research study of esports fan attitudes and behaviors in the U.S. to feature data from Twitch. Nielsen combined survey-based attitudes and preference data with Twitch viewership and behavior data from more than 2,000 U.S. esports fans who viewed esports content related to major titles like League of Legends, Overwatch League, Fortnite, and more over the past year.

The result of this Nielsen and Twitch Esports Fan research study is a set of rich data that marketers, rights holders, and esports organizations can use to unlock the value of Twitch’s audience at a detailed level. The data will guide those looking to make informed decisions for investments, sponsorship and advertising, as well as help esports organizations effectively demonstrate the unique value their audience brings to the industry.

Some of the high-level insights from the Nielsen Esports study of the Twitch U.S. esports audience include:

  • Twitch esports fans are well-seasoned with nearly 60% following esports for four or more years. In contrast, among the broader U.S. esports audience, only 1 in 5 have been following this long, with 23% new to esports within the past year.
  • 50% of Twitch esports fans have a paid TV subscription service; less than 40% claim to view television on a weekly basis.
  • 90% of Twitch esports fans can recall at least one non-gaming related sponsor within esports.
  • Esports fans are more likely to spend time engaging with esports over traditional sports – Twitch fans significantly so, with 70% dedicating more time to esports than traditional.
  • Over 60% of Twitch esports fans engage with gaming personalities on a daily basis, and nearly one in three viewed at least five hours of live Fortnite video content on Twitch in the past year.

Nielsen collected the Twitch Esports Fan data via an online survey deployed among a representative group of U.S.-based users from the Twitch Research Power Group (RPG). The Twitch RPG is Twitch’s proprietary panel comprised of over 50,000 Twitch viewers and allows the brand to instantly tap into the pulse of its community. Members of the Twitch RPG who opted into the survey ranged from ages 18-40. Along with the survey invitation, Twitch shared anonymized behavioral viewership data from survey respondents across top esports leagues/tournaments and 20 different game titles.

Nielsen will incorporate key findings into its annual Nielsen Esports Report for the U.S. market, as well as leverage the data for consulting services. The data from this landmark research are currently available in the form of syndicated or custom analysis in addition to Nielsen’s survey results among the broader esports fan base in the U.S. plus 10 other global markets.

John Koller has over 20 years of senior executive level experience in the video gaming sector with Electronic Arts (“EA”) and PlayStation. John spent 19 years as the VP of Marketing for PlayStation, during which he led  five major platform launches, including the highly successful PlayStation 4 launch in North America. He also led and managed a multi-billion dollar PlayStation business in the US with full P&L responsibility. Prior to PlayStation, John was the head of marketing for Electronic Arts.

Matt Levitan has over two decades experience in the Canadian video game industry. Before starting his own agency, Matt spent 9 years at the helm of the Sony office as Senior Director of Marketing and Public Relations, directing all sales, marketing and operations efforts for the $500M annual business.  Prior to Sony, Matt was VP, Client Services of Segal Communications, and directed all marketing and public relations efforts for PlayStation Canada from the agency side through the original PlayStation and PS2 lifecycles. Since 2014, Matt has helped create and launch a free-to-play Facebook game as well as starting his own consulting agency called Press Start Marketing.

Matt Ryan was the former lead at Nintendo Canada for communications and strategic partnerships, as well as retail and channel marketing, promoting gaming experiences to the masses via product-to-market campaigns for the launch of Wii, Wii U, Nintendo 3DS. Matt was also in charge of promoting all software franchises for the company, including; Mario, The Legend of Zelda, Donkey Kong, Pokemon and more. After Nintendo, Matt launched Trip To The Moon Marketing Inc., a marketing, communications and brand partnerships agency for entertainment, arts and culture brands. Matt is currently the VP of Marketing at National Access Cannabis, a best practices leader in delivering secure, safe, and responsible access to legal adult-use recreational and medical cannabis in Canada.

Mike Wall was Vice President, Sales at comScore, an Internet measurement pioneer that went public in 2007 and reached $2.5B market cap in 2015. Prior to his 11 years with comScore, he was Sales Executive at Visual Sports, a VR simulator startup founded in 2000 and acquired by market leader Full Swing Golf. Mike currently brings over 15 years of experience as a technology business leader, to provide angel investment, executive advisory and business consulting to high-growth Canadian startups.  Mike is the Founder and Principal of Park Hill Ventures, an early-stage venture advisory firm supporting Canada’s innovation economy.

TORONTO, Nov. 27, 2018 — Enthusiast Gaming Holdings Inc. (“Enthusiast” or the “Company”) (TSXV: EGLX), a digital media company building the largest community of authentic gamers, today, reported its unaudited financial results for the three and nine months ended September 30, 2018.

Enthusiast is pleased to report a significant increase in revenue as compared to the same period in 2017. Total revenue in Q3 2018 increased to $2,818,337 compared to $659,333, the same period in 2017 or an increase of 327%. For the nine months ended September 30, 2018, revenues increased to $7,387,850 as compared to $1,018,770 for the nine months ended September 30, 2017.  The increase in revenues in 2018 is primarily as a result of Enthusiast Gaming executing on its growth strategy through a combination of organic growth and strategic acquisitions. There was a significant increase in the number of websites joining the network of which the Company monetizes. Enthusiast also acquired the assets associated with numerous online websites already on the platform, enabling the Company to capitalize on 100% of the revenues generated by the websites. Both factors support the significant growth in revenue.

Menashe Kestenbaum, CEO of Enthusiast Gaming commented, “The last quarter was significant for Enthusiast. Not only did we continue building operational momentum while achieving corporate milestones, like closing the RTO and listing on the Toronto Venture Stock Exchange, we were able to continue delivering on our growth strategy, which is evident in the increase in revenue during third quarter.” He continued, “typically in our business, the fourth quarter is the largest revenue generating quarter, and we are well positioned to deliver significant growth and outperform our annual revenue projections of $10M.”

Third Quarter 2018 and Recent Company Highlights

  • Completion of the Business Transaction (“RTO”) with Tova Ventures II Inc. and concurrent private placement. In connection with the Transaction, the Company consolidated its common shares on the basis of one post-consolidation share for each 4.2 pre-consolidation shares (the “Consolidation”) and changed its name to “Enthusiast Gaming Holdings Inc.”
  • On October 4, 2018,  the Company listed on the Toronto Venture Stock Exchange (“TSXV”) under the symbol EGLX.
  • On June 22, 2018, the Company acquired all the assets of “Gameumentary”, a video games journalism outlet that produces video game documentaries.
  • On July 3 2018, Enthusiast acquired Escapist Magazine (“Escapist”), and brought back founding Editor, Russ Pitts, as Editor-in-Chief. Escapist is a leading online magazine covering mostly video games as well as movies, comics, TV, and more.
  • On July 6, 2018, Enthusiast acquired the IncGamers Brand (“IncGamers”), including PC Invasion and Diablo and purchased all related assets. IncGamers is a leading online video game news, analyst, opinion, and overall entertainment venue for gamers.
  • Completion of  an oversubscribed, non-brokered private placement of convertible debenture units for total gross proceeds of $9,000,000 on November 8, 2018
  • On November 14, 2018, Enthusiast acquired the assets of Operation Sports LLC (“Operation Sports”), one of the largest online sports video gaming news and community forums.
  • Enthusiast Gaming Live Expo, EGLX, was held on October 26-28 at the Metro Toronto Convention Centre. EGLX is the largest video game expo in Canada. Over the three events, over 30,000 people attended, and the expo was sold out and at capacity on Saturday.

Financial Highlights

  • For the three months ended September 30, 2018, revenue increased to $2.8 million from $659 thousand in 2017
  • For the nine months ended September 30, 2018, revenues amounted to $7,387,850 as compared to $1,018,770 for the nine months ended September 30, 2017
  • Cash losses for the 9 month period were  $4,011,748, largely attributable to expenses associated with the RTO and cost of the acquisitions
  • As of September 30, 2018, the Company had $7.23 million in cash and cash equivalents, not including the $9 million raised through the issuance of convertible debentures in November 2018.
