Red Light Holland Corp. (CSE: TRIP) (FSE: 4YX) (OTC: TRUFF) (“Red Light Holland“) is pleased to announce it has entered into a non-binding letter of intent to acquire 51% of Psychedelic Insights in Amsterdam, the Netherlands. Psychedelic Insights currently provides psychedelic assistance to clients from all over the world, who are in need and wanting to try a safe and psychological guided experience. Psychedelic Insights’ dedicated and compassionate facilitators, including a team of psychiatrists, psychologists, therapists and scientists, provide psychological guidance of psychedelic experiences in many different categories including: (i) individuals or small groups (ii) psychedelic palliative care (iii) Re-connecting Veterans and (iv) provides global mental health screening. Psychedelic Insights portfolio also includes unique therapist training and psychedelic assisted leadership coaching.

As part of the expected 51% acquisition, a condition in the agreement will include: an exclusive supply agreement with Red Light Holland’s Truffles, grown from Red Light Holland’s facility in Horst, Netherlands with the intention to be used solely by Psychedelic Insights’ clients.

Recently, Red Light Holland announced a non-binding letter of intent with Halo Labs Inc. (“Halo“) for the purposes of creating a joint venture to become a licensed psilocybin manufacturer to supply psilocybin products to licensed service centers in the State of Oregon, and to explore other potential business opportunities in this new regulated market, subject to compliance with all applicable Oregon laws and regulations. The planned acquisition of a majority interest in Psychedelic Insights in The Netherlands keeps in line with the aforementioned theme and future plans of Red Light Holland’s potentially being involved (in multiple countries) in legal psilocybin-assisted initiatives.

In Canada on December 8th, 2020, 17 healthcare professionals were approved by the Canadian Federal Health Minister, Patty Hajdu, to possess and use psilocybin for professional training in psilocybin therapy. The approved healthcare professionals include psychologists, psychiatrists, clinical counselors, social workers, general practitioners, and nurses.

Zhongke’s IP portfolio includes 3 patents, 42 copyrights, and 3 trademarks. All software developed by the company is CMMI Level 3 compliant. CMMI is an international process level improvement training and appraisal standard established by Carnegie Mellon University. It is often required in software development contracts from governments around the world including the US and Chinese governments. Zhongke’s software is currently used by 34 banks and financial institutions.

According to the terms of the MOU, Peak and Zhongke will first sign a strategic partnership agreement to pilot a new financing program targeting the restaurant industry and Zhongke’s banking clients using new software developed by Zhongke. The pilot will run for a three-month period during which Peak will conduct its due diligence on Zhongke and the parties will finalize the terms of the proposed acquisition. Peak’s compensation package for the acquisition will be capped at CAD$20M, which will be payable to Zhongke in a combination of cash and common shares over a certain period of time with the number of common shares payable to be based on the prevailing market price of the common shares at the time they are issued.

“This proposed acquisition is very strategic for us on several levels,” commented Peak CEO Johnson Joseph. “Our study of the banking and commercial lending landscape in China shows that the majority of the small, medium and micro businesses, who stand to benefit the most from our Lending Hub services, are served not by large banks but rather by smaller local banks and lending institutions who also happen to be the financial institutions best suited for Zhongke’s product offering. Our Lending Hub platform makes it easier for banks to lend to small businesses by gathering and analyzing data coming from the businesses and a variety of external data sources, but we found that internally some banks were unable to take full advantage of the platform’s capabilities as they were struggling with some manual procedures, for instance when it came time to sharing loan repayment data with Lending Hub. With this acquisition and the eventual integration of Zhongke’s software to Lending Hub, Peak will be in a position to offer China’s thousands of small banks, whether located in large cities, small towns or rural regions, an end-to-end solution to automate their commercial lending activities, including bringing them new clients. With the integration of the platform, we also expect the AI components of both Lending Hub and Zhongke’s software to continuously improve as they share data with each other. We believe that the insight that Peak will have into these transactions, with data points coming from the banks’ internal systems coupled with data points on the operations of the small businesses that are part of the Lending Hub ecosystem, will be exceptional, if not unprecedented. The value of the combination of that data can’t be overstated,” concluded Mr. Joseph.

Tartisan Nickel Corp. (CSE:TN)(OTC PINK:TTSRF)(FSE:A2D) (“Tartisan”, or the “Company”) is pleased to announce that Tartisan has staked an additional 71 single-cell mining claims contiguous to the Company’s flagship Kenbridge Nickel Deposit patented and unpatented mining claim group. The newly acquired claims bring the total claim count to 114 single-cell mining claims adjoining the Kenbridge patented mining claim group. Each single-cell mining claim covers an area of approximately 20.92 ha. for a total area of 1,485.3 ha. The Kenbridge Nickel Project now has a combined total of 3632.7 ha. of patented and unpatented mining claims.

Recent reinterpretation of historical geophysical and geological data has identified areas which appear to have similar characteristics to those exhibited at the Kenbridge Nickel Deposit. Three dimensional modeling of historical airborne magnetic data suggests that several individual magnetic features identified at surface appear to be connected at depth. Additionally, a recent reinterpretation of airborne EM data has led to the recognition of subtle features which may require additional exploration. Tartisan is now evaluating which ground geophysical surveys should be completed over the new claims and the northern portion of the patented claims in the upcoming winter exploration program.

SAN DIEGO — On Friday the United States House of Representatives passed a bill decriminalizing marijuana at the federal level. Although it is unlikely to pass the Senate, it has industry leaders here in California excited that the conversation towards decriminalization is rolling in Washington.

After receiving some rare bi-partisan support, the Marijuana Opportunity Reinvestment and Expungement or MORE Act passed the House of Representatives by a large margin. Highlights of the bill include:

  • Decriminalizing marijuana federally
  • Establishing a 5% federal tax on all cannabis products
  • Prohibiting the denial of federal benefits to people convicted of cannabis-related crimes
  • The bill would start the process of expunging the records of those convicted of Cannabis-related offensives

Will Senn is the founder of Urbn Leaf, a marijuana dispensary in San Diego. He says that the bill has been a long time coming and that it was a historic win for the industry. He went on to say that attitudes towards marijuana are shifting around the country. “I think the writing is on the wall, right? Everybody is voting for cannabis legislation nationwide. You had five more states pass some legislation in the last election year. There’s a number of upcoming bills in the near future here.”

Marijuana has been decriminalized in California since 1996 but attitudes about the plant differ drastically around the country. According to the FBI and the Pew Research Center, in 2018 40% of the 1.65 million drug arrests from around the country were marijuana-related and 92% of them were for possession.

Jason Ortiz from the Minority Cannabis Business Association said, “So, I mean, there are thousands at the very minimum, especially on the federal level. But as you start to extend the impact statewide, it could be upwards of millions of records that would get affected.”

Ortiz added that the potential expungement of cannabis-related crimes off a person’s record  could change the lives of thousands of people, “And having that on your record denies you access to housing, to jobs, to other sorts of social services.

Although the bill passed in the House, it’s unlikely that it will see a vote in the Senate. Still, business owners like Senn see it as an important benchmark of just how far the conversation around decriminalizing marijuana has come since he entered the industry.
