Lexaria Intends to Complete a $2,250,000 Financing

Kelowna, British Columbia–(March 24, 2014) – Lexaria Corp. (OTCQB: LXRP) (CSE: LXX) (the “Company” or “Lexaria”) reports its intention to complete a non-brokered private placement financing, consisting of 5,000,000 Equity Units at US $0.45 per unit, to raise gross proceeds of up to US $2,250,000 (the “Private Placement”).

Each equity unit will consist of one common share of the Company and one non-transferable share purchase warrant, each warrant entitling the holder to purchase one additional common share of the Company for a period of eighteen months from the date of issuance, at a purchase price of US$0.70. The Company may accelerate the expiry date of the warrants if the stock price trades above CAD$1.40 for 20 consecutive days at any time after 6 months and one day has elapsed.

The Company may pay broker commissions of up to 6.0% in cash and 6% in broker warrants in connection with the Private Placement. Each broker’s warrant will be exercisable into one single common share (a “Warrant Share”) at a price of US$0.70 per Warrant Share for a period of eighteen (18) months following closing of the Offering. Certain directors, officers and insiders of the Company may participate in the Private Placement.

The securities issued will be subject to a hold period in Canada of four months and one day, or for any resales into the USA under Rule 144, six months and one day. Proceeds from the equity units will be used for corporate development in the Medical Marijuana business, G&A and general working capital. The Private Placement will be subject to normal regulatory approvals.

Enertopia Announces Corporate Update, Comments on Federal Court Injunction

Vancouver, BC—Enertopia Corporation (ENRT) on the OTCBB and (TOP) on the CSE (the “Company” or “Enertopia”) announces the following Corporate update with respect to the Canadian Federal Court injunction issued Friday March 21. Readers should be advised that the information below is believed to be correct although the case has evolved quickly and may change.

The injunction exempts existing patients currently licensed to possess and grow medical marijuana, from compliance with the new Health Canada regulations for commercial growers that will continue to take effect for those commercial growers, on April 1. The injunction does not affect the new licensing system. The injunction is temporary – for the existing patients, it preserves the status quo only until a legal ruling is produced in their legal case with the government of Canada. News reports suggest that legal case is expected to provide a ruling within one year.

The injunction suggests that Enertopia’s partially-owned partner, The World of Marihuana Productions Ltd, will be allowed to continue to grow for their patients while awaiting for the Health Canada site inspection under the new Marihuana for Medical Purposes Regulations, (MMPR) and for so long as the injunction remains in effect.

The injunction also suggests that Enertopia’s partially-owned partner, The Green Canvas Ltd., will also be allowed to continue to grow for their patients even as they upgrade their facilities to be compliant under the new MMPR system.

The court injunction is good news for medical marihuana patients and the producers that currently supply them. It allows patients access to the medical cannabis they need and allows current producers the ability to meet their patient’s needs, while allowing the current producers to keep their medical marihuana strains.

Health Canada was quoted as saying “While the Courts have said there must be reasonable access to marijuana for medical purposes, Health Canada’s goal is to treat dried marijuana as much as possible like other narcotic drugs used for medical purposes. The Marihuana for Medical Purposes Regulations are intended to provide reasonable access for those Canadians who need access to dried marijuana for medical purposes with the support of a health-care practitioner, while protecting public safety.”

The Court ruled in favor of the new smaller patient limit as set down in the new (MMPR) regulations with patients being restricted to possessing 150 grams of dried marijuana, which is a limit set by the new (MMPR) regulations.

Health Canada further stated “Health Canada is committed to the implementation of the Marijuana for Medical Purposes Regulations in order to provide Canadians reasonable access to dried marijuana for medical purposes, while protecting public safety.”

Next Gen Announces $2,750,000 Private Placement

Vancouver, British Columbia, Canada – Next Gen Metals Inc., (“Next Gen”, the “Company”) (CSE: N; OTC: NXTTF; Frankfurt: M5BN) is pleased to announce a non-brokered private placement of up to 5,000,000 units for gross proceeds of up to $2,750,000.

Each Unit (“Unit”) at a price of $0.55 per unit will consist of one common share (a “Common Share”) and one-half of one, non-transferrable share purchase warrant (a “Warrant”). Each full Warrant entitles the holder to purchase one Common Share at a price of $0.75 per share for a period of 12 months, subject to accelerated expiry, such expiry being accelerated to 30 days in the event the Company’s shares have closed at or above a price of $1.10 per share for ten consecutive trading days.

Lexaria Closes $1,272,000 Financing

KELOWNA, BC / Mar 21, 2014 / Lexaria Corp. (OTCQB: LXRP) (CSE: LXX) (the “Company” or “Lexaria”) is pleased to announce it has closed its Private Placement financing announced on March 5 for gross proceeds of $1,272,000. The financing was originally announced for $960,000 but was expanded due to overwhelming demand.

Lexaria will issue 10,600,000 common shares at US$0.12 and 10,600,000 full warrants that expire on September 21, 2016 with an exercise price of US$0.25. The Company may accelerate the expiry date of the warrants if the stock price trades above CAD$0.40 cents for 20 consecutive days at any time after 6 months and one day has elapsed.

Officer and Directors of Lexaria participated for $48,008 in the above private placement.

Enertopia Signs Joint Venture Agreement for Medical Marihuana

Vancouver, BC–Enertopia Corporation (ENRT) on the OTCBB and (TOP) on the CSE (the “Company” or “Enertopia”) is very pleased to announce that it has signed an acquisition and joint venture agreement dated February 28, 2014 (the “Agreement”) with The Green Canvas Ltd. based in Regina, Saskatchewan, Canada (“Green Canvas”). Green Canvas is currently in the process of applying to become a Licensed Producer pursuant to Canada’s new Marihuana for Medical Purposes Regulation (“MMPR”).

Pursuant to the terms of the Agreement, Enertopia may acquire up to a 75% interest in the joint venture through the payment of an aggregate of CDN$1,000,0000 and the issuance of 19,000,0000 shares of its common stock, all over a period of three years. To date the Company has already paid $600,000 of the cash consideration under the Agreement and has issued 10,000,000 shares to Green Canvas in exchange for a 49% interest in the joint venture. A total of 6,400,000 of such shares are subject to escrow until Green Canvas is designated a Licensed Producer under the MMPR regime. In the event Green Canvas does not obtain the Licensed Producer designation within 12 months of the date of the Agreement, the Agreement will terminate and Green Canvas will be required to return a total of 6,400,000 shares previously issued to it.

Green Canvas will act as manager of the joint venture subject to Enertopia’s option to become manager upon obtaining a 51% interest. The terms of the Agreement also require Enertopia to fund, for a period of three years subject to early termination of the Agreement, any shortfall in the payment of management fees to certain Green Canvas consultants in the amount of $15,000 per month, which fees are to be paid out of the gross profits of the joint venture.

The Green Canvas facility is currently undergoing upgrades and a portion of the $500,000 paid on signing will be used to make the initial 6,000 square foot production foot print compliant with the high standards set by Health Canada under MMPR. It is envisioned that at full production capacity the useable production space could cover 55,000 square feet. It is currently expected that this envisioned build out will take place as new patients are signed up and from project cash flows.
