(“Paragon”), has entered into a non-binding letter of intent dated August 12, 2018 (the “LOI”) with CareX Blockchain Platform Inc. (“CareX”), an arm’s length party to the Corporation.

Pursuant to the LOI, Paragon will acquire an aggregate of 2 million shares (the “CareX Shares”) in the capital of CareX in exchange for the issuance of an aggregate of 1,250,000 common shares (the “Consideration Shares”) in the capital of Paragon at a deemed price of $0.20 per Consideration Share.

The acquisition of the CareX Shares and the issuance of the Consideration Shares is subject to a number of conditions, including, but not limited to, the Corporation completing its due diligence investigation of CareX, a share exchange agreement being entered into between CareX, Paragon and the Corporation and the receipt of regulatory approvals.

Toronto, Ontario–(Newsfile Corp. – July 9, 2018) – Augusta Industries Inc. (TSXV: AAO) (the “Corporation”), a developer and marketer of patented non-intrusive sensing systems, is pleased to announce that its wholly owned subsidiary, FOX-TEK Canada Inc. (“FOX-TEK”), has received a small test plate from the Corporation’s agent in India to test and provide a report to a client.

The objective of the test and report was to show conclusively that FOX-TEK’s EFM technology can work with a typical vessel wall where the inside surface has a number of stellite layers added. Two methods were used to measure both the baseline thickness of the sample, the first a standard UT tool was used to measure the baseline thickness of the plate. Secondly, for the rest of the tests, a small EFM array was installed on the non-stellite side of the plate. A small test plate (roughly 6 by 6 inches) was provided to FOX-TEK by its agent on behalf of the client. One side of the test plate had layers of stellite welded on. This test sample represents a small sample of an actual issue where the inside material is eroded by the process internal to the vessel.

FOX-TEK was able to successfully demonstrate that it is possible to perform a baseline reading of the starting thickness of the provided sample using a precision ultrasonic measuring instrument. This was followed by three phases of material removal from the stellite side of the plate while an EFM unit was used to measure the changes over time.

FOX-TEK prepared a report summarizing its findings from the testing and has forwarded same to its agent and client. FOX-TEK will be working with its agent and the client in order to move this project forward.

The Corporation will also like to announce that, subject to the receipt of TSX Venture Exchange, it has agreed to amend the expiry date of the 20,200,000 common share purchase warrants (the “Warrants”) of the Corporation from July 14, 2018 to July 14, 2020.

The Warrants, which were originally issued on July 14, 2015, were issued pursuant to the Corporation’s private placement offering of 20,200,000 units. Each Unit was comprised of one (1) common shares and one (1) common share purchase warrant (the “Warrant”). Each Warrant entitles the holder thereof to acquire one (1) common share at an exercise price of $0.07 per share at any time until close of business on July 14, 2018.

Each Warrant, as amended, will entitle the holder thereof to purchase one common share of the Corporation at any time until the close of business on July 14, 2020 at an exercise price of $0.07 per common share.

The Warrants will be amended, effective July 14, 2018, to extend the term of the Warrants until July 14, 2020. All other provisions of the Warrants will remain the same.

Regarding the portion to distribute, CEO Allen Lone states: “It will be in the 25% range. If you do the math, 25% of $9.5M is $2.37M being returned to shareholders. At a market cap of $6.5M (as on May 28, 2018), that amounts to an approximate 35% return to current shareholders. Plus the remaining shares go on the balance sheet of the company and royalty payments could add substantial cash to the company in the coming years. Not bad. Not bad at all.”

With a current market cap of just C$ 5.1 million, it becomes very obvious that both the Company and the shareholders will benefit greatly from the sale of FOX-TEK for up to $21.5 million.

Marcon International is Augusta Industries other subsidiary. Marcon is involved in the industrial supply of equipment and parts procuring for its clients, which are principally clients in the oil and gas industry and United States government agencies.

Initially the Company had focused on providing services in the energy sector but has moved on to also work with Government contracts and Government services. Marcon itself has two subsidiaries, Marcon USA and Marcon UK, to help enhance and support its logistic and sales operations. Over the years it has established a great reputation of being a consistent performer for its clients in the Government as well as the international oil and gas industry.

The Colt Mesa deposit was discovered in 1968 and was mined intermittently from 1971 to 1974. While little data survived from the copper mining activities, a 1975 Master Thesis (G.M. Collings, 1975, Geology and Geochemistry of the Colt Mesa Copper Deposit”) completed at the University of Utah, is an invaluable source of information on the geology and mineralization at the Colt Mesa mine.

Tabular, strata-bound copper mineralization lies within a paleochannel at the contact of two distinct sedimentary (sandstone) units. The trackless, room-and-pillar mining was focused on the copper mineralization meaning the mine and surrounding area were never systematically explored for cobalt mineralization.

All of the above samples were taken at surface, near the adits. The underground working was examined (see website for photos), but not sampled. Samples CM-18-01, 02, and 03, were chip sampled from the same location over a width of 1.35 meters, averaging 0.52 % Cu, 1.51 % Co, 6.52 % Zn, 0.79% Pb, and 0.17 % Mo. Sample CM-18-01 and CM-18-03 had conspicuous “cobalt bloom”, whereas CM-18-02 was barren, unmineralized sandstone. Sample CM-18-04 was a select grab sample of bright, copper oxide float from the dump. The Colt Mesa is renowned for brilliant, multicolored copper oxides, attributed to the association with cobalt and molybdenum.’

The 1975 Master Thesis reports: “The ore body is tabular in form and is composed of chalcopyrite, bornite, digenite, covellite and chalcocite”. Sampling of the underground mineralized zone was completed in 1975 with a total of eight samples from the mineralized zone taken as follows:

Again, the Company cautions investors grab samples are selected samples and are not necessarily representative of the mineralization on the Colt Mesa property.

The Colt Mesa area has seen significant exploration for uranium in the 1950s and 1960s, modest exploration for copper and base metals but minimal exploration was focused on cobalt and nickel. The Colt Mesa mine area was sterilized from exploration and development in 1996, when President Clinton created the “Grand Staircase Escalante National Monument”, however, the size was recently reduced by Presidential proclamation in 2017, placing Colt Mesa outside the new boundaries of the restructured national monument.

In consideration for the property, Glacier Lake will issue one million common shares, and make a cash payment of US $120,000, staged over a two (2) year period. The vendors retain a one-and-three-quarters percent (1.75%) Net Smelter Returns (“NSR”). Glacier shall be entitled to purchase one percent (1.00%) of the Royalty at any time through a one-time cash payment of $1,000,000 to the vendors. Completion of the acquisition is subject to the approval of the TSX Venture Exchange. All common shares issued will be subject to a four-month-and-one-day statutory hold period. A finder’s fee may be payable related to this acquisition.

Quality assurance/quality control

All recent surface samples from the Colt Mesa property were hand delivered to the ALS Minerals Ltd. North Vancouver, B.C., laboratory, an 17025:2005 certified facility. All samples were collected by Company personnel and securely stored until delivery to ALS Minerals. At this early stage of exploration, Glacier Lake is relying on the certified standards utilized by ALS Minerals as part of it analysis protocols. No QA/QC anomalies were noted in the analyses.

The latest series of diamond drill holes were drilled from a pad located 100 m south of the 2017 COD trenches. These holes targeted an area of historical exploratory trenches. The highlight of the latest series of holes is DDCOD18-37 that extended the COD vein 135 meters further south. The hole intersected a 3.16 meter quartz vein intercept.

The ongoing diamond drill program is designed to test and further define the COD Vein, a Dentonia/Jewel style quartz vein, located in the Gold Drop Southwest Zone. Trenching during 2017 has exposed the northeast – southwest striking COD Vein for over 160 meter strike length.

The analytical results reported in this News Release are for the first three holes of the 2018 drilling program, which were completed from a pad north of the COD Mineshaft. DDCOD16-1 was drilled at a 86° azimuth and a 45° dip. DDCOD16-2 was completed at a 136°azimuth and a 60° dip. DDCOD18-3 was drilled at a 60° dip and a 91° azimuth. The pad was designed to test the veins from a stepped back position following up on the results during the 2017 drill program. The drilling targeted the COD vein 10-20 m north of the COD mineshaft. The initial 3 drill holes all intercepted the COD vein at depth. The DDCOD18-1 intercepted the vein at an in-hole depth of 31.1m, or true depth of 22 m. DDCOD18-2 intercepted the vein at an in-hole depth of 41.2 m, or true depth of 35 m. DDCOD18-3 intercepted the vein at an in-hole depth of 49 m or 42 m true depth.

The analytical results listed below are from holes DDCOD18-1 to DDCOD18-03, testing the COD Vein. Since true widths cannot be accurately determined from the information available the core lengths (meters) are reported. The Gold and Silver analyses are reported in grams per tonne (g/t equals parts per million). The intervals listed in the table below are from the gold and silver bearing vein and / or adjacent low grade mineralized host rock.

The most significant gold mineralization is found in the COD Dentonia/Jewel style quartz vein. The vein is mineralized with pyrite and trace chalcopyrite and telluride minerals. The hostrock near the vein is often altered and carries anomalous silver and gold values, such as at 39.9-41.25 m and 42.15-42.78 m in DDCOD18-2 and 46.35-47.02 m in DDCOD18-3. This silicification and chlorite alteration is texture and magnetite destructive. Strong fine disseminated pyrite is often found in these alteration zones.

Observed core vein contact angles indicate the COD vein is sub-vertical being structurally controlled by the host rock. The predominant host rock for the COD vein is a massive and competent medium grain granodiorite of the Antsey Pluton. Faulting does occur however the general north south trend of the vein is predictable.

In 2017 the Company had received analytical results for 68 trench channel samples collected at the COD Vein. These samples returned anomalous to high grade values for gold, including high values of 43.2 grams / tonne (g/t) Gold and 224 g/t Silver (News Release of July 26, 2017). The first batch of 2017 drill core samples for the COD Vein returned up to 24.1 g/t Gold and 192 g/t Silver (News Release of Aug 28, 2017). The second batch of drill core samples also returned significant gold and silver values including a broad intersection in hole COD17-14 grading 4.59 g/t Gold and 38.64 g/t Silver over 16.03 meters core length with a high grade core grading 10.96 g/t Gold and 89.86 g/t Silver over 5.97 meters core length (News Release of Sept 7, 2017).

Drill core is being geologically logged and sampled at the Greenwood facility. Drill core is sawn in half with half core samples submitted for analysis and remaining half core stored in a secure location. Core samples were delivered to the ALS Minerals laboratory in Vancouver to be analyzed for gold by Fire Assay – AA. The samples are also being analyzed for 48 Elements by Four Acid and ICP-AES / ICP-MS. Quality control (QC) samples are inserted at regular intervals.

$AAO.ca Augusta Selling FOX-TEK Canada to Mooncor for Aggregate Purchase Price of up to $21.5 Million $ENB.ca

Augusta Industries Inc. and Mooncor Oil & Gas Corp. have entered into a letter of intent pertaining to the sale of FOX-TEK Canada Inc. by Augusta to Mooncor for an aggregate purchase price of up to $21.5-million.

$9,500,000 of the Purchase Price will be satisfied through the issuance of an aggregate of 47,500,000 post-consolidated common shares (the “Consideration Shares”) in the capital of Mooncor at a price of $0.20 per Consideration Share. The balance of the Purchase Price, being up to $12,000,000, will be satisfied through a royalty of 15% on all future sales of FOX-TEK’s products and a 20% royalty on all future sales of FOX-TEK’s services (collectively, the “Royalty”). The Royalty shall be payable until the earlier of (i) the 10 year anniversary of the closing of the acquisition of FOX-TEK, and (ii) the aggregate payment of $12 million.

Pursuant to the LOI, FOX-TEK and Sensor Technologies Inc. (“Sensor”), a wholly owned subsidiary of Mooncor, will enter into an amalgamation agreement (the “Agreement”) whereby FOX-TEK will amalgamate with Sensor to form a new company (“AmalCo”). Both Augusta and Mooncor will receive shares in AmalCo as a result of the amalgamation. Augusta will transfer its securities in the capital of AmalCo to Mooncor in exchange for the Consideration Shares. As a result of the amalgamation, and the issuance of the Consideration Shares, FOX-TEK will be a wholly owned subsidiary of Mooncor. It is the intention of Augusta to distribute a portion of the Consideration Shares to its shareholders at a later date.

“I am pleased that Augusta has settled on the final form of the transaction,” said Allen Lone, Chief Executive Officer of Augusta. “The letter of intent with Mooncor will result in FOX-TEK becoming a wholly owned subsidiary of Mooncor, a publicly traded company whose securities are listed for trading through the facilities of the TSX Venture Exchange. This will give Augusta’s shareholders an interest in two separate standalone companies while allowing it to focus on its blockchain technology, which has the potential to unlock substantial new opportunities capable of impacting the business of Marcon.”

“Mooncor is excited about the prospect of acquiring FOX-TEK and its products and technology,” said Alan Myers, Chief Financial Officer of Mooncor. “The acquisition of FOX-TEK gives Mooncor a suite of leading edge technology and products in the oil and gas industry which will supplement Mooncor’s current business while adding a new revenue stream.”

The Acquisition

Shareholders of Augusta will be asked to approve the Acquisition at the special meeting of shareholders scheduled for July 12, 2018. The proposal to be presented to shareholders would result in the sale of FOX-TEK to Mooncor.

Mooncor will be calling a special meeting of its shareholders to approve, among other things, the Agreement and the consolidation of its issued and outstanding common shares on a the basis of up to twenty (20) common shares for each existing common share. It is anticipated that Mooncor will file an application with the TSX Venture Exchange to approve the issuance of the Consideration Shares to Augusta pursuant to the Agreement.

No finder’s fee is payable with respect to this transaction.

Related Party Transaction

The transaction between Augusta and Mooncor is a non arm’s length transaction as Allen Lone is a director and officer of both Augusta and Mooncor. Mr. Lone owns, directly and indirectly, 6,920,000 common shares (4.13%) in the capital of Mooncor and 76,754,264 common shares (29.97%) in the capital of Augusta. As such it is a related party transaction subject to Multilateral Instrument 61-101 Protection of Minority Security Holders in Special Transactions (“MI 61-101”). Pursuant to MI 61-101, Augusta and Mooncor may be required to obtain disinterested shareholder approval and a valuation of FOX-TEK.

Augusta and Mooncor will be providing shareholders with additional updates.

Glacier Lake Resources Inc. has released results from its maiden diamond drill program on its Silver Vista property located near Smithers, B.C.

Significant silver-copper mineralization hosted in fine-grained, clastic sediments was intersected in all seven holes. Hole SV-18-06 returned multiple horizons of mineralization over the entire length of the hole, with the 153.4 metre length averaging 28.9 grams per tonne (g/t) silver equivalent (Ag Eqv *1), comprised of 16.1 g/t Ag, 0.05 percent copper (% Cu), and 0.10 % zinc (Zn). Hole SV-18-06 was the northernmost hole and the mineralized zone is open and undrilled to the west, north and northwest.

“Results from our maiden drill program on the Silver Vista ‘MR’ target support a large mineralizing system, with excellent potential to expand the silver-copper zones to the northwest and west,” says Saf Dhillon, President and Chief Executive Officer. Surface work will resume in June to refine the multiple soil geochemistry targets prior to a Phase 2 drill program. The company is fully permitted for 10,000 metres of drilling at upward of 40 sites.

The drill results were interpreted and assessed based on copper equivalent grades (Cu Eqv) of +/= 0.50 % Cu Eqv., and +/= 0.20% Cu Eqv.

The following are the intercepts base on +/= 0.50 % Cu Eqv.:

*1 {A –} Copper and silver equivalents are calculated based on the values of copper, silver and zinc, and metal prices of $16.50/ounce for silver, $3.05/lb for copper and $1.35/lb for zinc.

Seven holes, totaling 1,273 metres were completed on the “MR” target, representing the first drilling on the Silver Vista property since the initial 1991-1992 Equity Silver Mines Ltd. (a division of Placer Dome Inc., now Barrick Gold Corp.) program of 1,252.5 metres in 14 holes. Preliminary interpretations include:

A large, mineralizing system is indicated, with multiple, stacked zones of silver, copper and zinc mineralization occurring from outcrops to depths over 200 metres. Hole SV18-06 was mineralized from the overburden collar (4.6 m) to a depth of 157. 9 meters. Holes SV18-04 was mineralized from the collar to 49.0 meters, and hole SV18-07 was mineralized from the collar to 43.0 meters (see table below).

Near surface stacked zones are indicated by the recent drill program. Outcrop exposure is very limited due to subtle topography, however extensive soil geochemistry has uncovered numerous other silver and copper anomalies interpreted to have potential for further discovery of similar mineralization to the “MR target.”

The silver, copper and zinc mineralization is finely disseminated in multiple sedimentary horizons, but not obvious to the naked eye. A portable XRF (X-ray fluorescence) unit was successful in the preliminary identification of mineralized zones and helped guide the progress of the drill program. The mineralization appears to be broadly stratabound in preferred sandstone horizons with the sediments displaying a moderate north to northwest dip. Plant debris and organic matter are encouraging indicators, but alteration and veining are visibly minor and appear to be unrelated to elevated metal values.

Based on the recently completed drill program the sediments appear to be dipping moderately to the north. Holes SV18-01 and SV18-02 are therefore drilled with the dip and appear to have shallow intersection angles, in the order of 20 degrees to 30 degrees. The remaining five holes were drilled across the dip and therefore appear to have steeper intersections angles in the order of 60 to 70 degrees. Further drilling, with multiple holes on the same section or “fence”, is required to confirm the dip of the stacked mineralized bodies and the enclosing sediments.

Quality assurance/quality control

The entire length of core for each of the seven drill holes was sawn and sampled at continuous 1.0-metre intervals, with occasional shorter or longer intervals based on apparent wallrock and mineralization contact. Supervision, organization and sawing of drilling core samples was undertaken by personnel from geological consultant Mammoth Geological Ltd. Half of the core was bagged, sealed and securely stored until shipment to the laboratory. The other half was retained in a secure storage location. Certified reference standards and blanks were placed in the sample stream of each drill hole alternating at every 25th interval. The secured and sealed samples were packed into rice bags, sealed and securely stored until they were turned over to the local trucking company for transport to the ALS Minerals Laboratory in North Vancouver, B.C.

All core samples were analyzed utilizing ALS’s MEICP-61 procedure, a four-acid digestion of a one-gram sample with an ICP finish. Samples with overlimit copper or silver values received an ME-OG62 analysis, a four-acid digestion of a 0.5-gram sample with ICP-AES finish.

In addition to Glacier Lake’s third-party standards, a routine quality assurance/quality control (QA/QC) procedure monitored the analytical quality at the lab. Certified reference materials (CRMs), pulp duplicates and blanks were inserted into each lab batch of samples. The Glacier Lake and ALS Lab QA/QC data showed no irregularities.
