American Creek Resources Negotiates Treaty Creek NSR Buydown $AMK

CARDSTON, ALBERTA–(April 13, 2016) – American Creek Resources Ltd. (TSX VENTURE:AMK) (“the Corporation”) is pleased to announce that it has successfully negotiated and has entered into an amended agreement with an arm’s length third party that holds an NSR interest (“NSR Holders”) related to the Corporation’s 51% interest in the Treaty Creek property located in NW British Columbia. The amended agreement reduces the prior $6 million payment obligation which was potentially triggered by entering into a deal in which the Corporation reduced its 51% interest in the property, or granted access for development and tunnel construction.

The Corporation is seeing a resurgence of interest in the “Golden Triangle” region of British Columbia and several parties have identified the Treaty Creek property as noteworthy and have expressed an interest in the project.

The amended agreement allows the Corporation to better position itself to take advantage of the increased activity and awareness associated with Seabridge Gold and Pretivm Resources advancing their respective projects located adjacent to and very near the Treaty Creek property.

The terms of the amended and restated agreement are as follows:

1) The NSR Holders will be issued 15,000,000 common shares of the Corporation.

2) The NSR Holders will hold a 2% NSR on certain Treaty Creek property mineral tenures (“Group I”) and a 1% NSR on the remaining Treaty Creek mineral tenures (“Group II”). The NSR interests apply only to the Corporation’s 51% interest in the Treaty Creek property. Within 30 days of a Treaty Creek property feasibility study being completed, the NSR Holders will be paid an aggregate sum of $1,500,000 in order for the Corporation to collectively buy out 0.75% of the Group I NSR and 0.25% of the Group II NSR. At any time the Corporation may buy out a further 0.75% of the Group I and 0.25% of the Group II NSR for the aggregate sum of $1,500,000. The NSR Holders will retain a 0.5% NSR on the Group I and Group II mineral tenures.

3) The NSR Holders will be entitled to 25% of any cash payments or securities the Corporation may receive related to the Corporation entering into an agreement with a third party to advance the Treaty Creek project such that it disposes directly or indirectly of any of its current 51% interest in the Treaty Creek property.

4) The Corporation will pay the NSR Holders 25% of any consideration the Corporation may receive from any non-governmental party for access, easement or right of way over, on, under or through any part of the Treaty Creek property for a mining infrastructure purpose, or fees for the use of the Corporation’s own infrastructure facilities.

5) The Corporation will pay the NSR Holders 25% of any compensation proceeds the Corporation may receive from any governmental or quasi-governmental agency for the loss of any rights resulting from the expropriation of access, easement or right of way over, on, under or through any part of the Treaty Creek property for a mining infrastructure purpose.

Interest in the region in and around Seabridge and Pretivm’s projects is picking up considerably and the Treaty project is poised to benefit from that interest”.

The shares issued under this agreement will be subject to the statutory four month and a day hold period.

This Agreement is subject to approval by the TSX Venture Exchange.

American Creek Resources Acquires Silvershot Property in BC’s Golden Triangle

American Creek Resources Ltd. (TSX-V: AMK) (“the Corporation”) is pleased to report that it has acquired the SILVERSHOT silver property located in the “Golden Triangle” near Stewart, British Columbia.

The 235 hectare SILVERSHOT property is located approximately seven kilometers northeast of Stewart near the past producing Portland Canal Mine. BC government Minfile documents (Minfile 103P 064) report that the property lies within the Portland Canal Fissure Zone which has hosted several historic mines. In 1922 and 1923 a total of 53 meters of underground work was completed on the property associated with a massive pyrite, sphalerite and galena vein up to 0.30 meters wide containing high grade silver. Grab samples of the purest galena have assayed up to 5,345 g/T silver and 87.2% lead. The Corporation holds a 100% interest in the property as it was acquired through staking.

This most recent acquisition is part of the Corporation’s strategy of adding shareholder value by increasing its gold and silver property portfolio while mineral property prices are at depressed levels in anticipation of a precious metals market recovery. This strategy started with the prior acquisitions of the D1 and Gold Hill properties.

Treaty Creek is located in British Columbia’s prolific Golden Triangle; one of the richest areas of mineralization in the world with one new mine having come online in 2015 (Imperial Mines Red Chris) and another scheduled for 2017 (Pretium Brucejack) and at least three more world-class mining projects headed toward production.

Mineralization in the Treaty Creek claims area lies within the same broad hydrothermal system that generated the several deposits on the Seabridge Gold KSM and the Pretivm Brucejack properties that lie immediately southwest of the Treaty Creek claims. So far over 130 million ounces of gold, 800 million ounces of silver and 20 billion pounds of copper (all categories included), representing one of the greatest concentrations of metal value on the planet, have been delineated within the geological system shared by KSM, Brucejack, and Treaty Creek.

Seabridge Gold’s KSM is the world’s largest undeveloped gold/silver project by reserves while Pretium’s Brucejack is the highest grading undeveloped large-scale gold project in the world.KSM has just past the environmental and permitting stage while the Brucejack is in construction phase.
Treaty Creek is part of the same large hydrothermal system as it’s neighbours, hosts the same bedrock geology as its neighbours, the same magneto-telluric (MT) anomalies that proved to be large deposits on the neighbours claims, the same major fault system (Sulphurets) that is responsible for KSM’s deposits, and initial exploration and drilling show similar results to initial drilling on KSM.

The Treaty Creek property is in a strategic location as it’s included in Seabridge’s plan for the KSM to go into production. Seabridge has proposed twin tunnels that would take the KSM ore through American Creek’s Treaty Creek property to a processing plant and tailings pond.

American Creek Resources: Electrum Project-Rico Showing High Grade Average 54.6 GM/T Gold and 11,512 GM/T Silver

CARDSTON, ALBERTA–(Jan. 21, 2016) – American Creek Resources Ltd. (TSX VENTURE:AMK) (“American Creek”) is pleased to provide results from outcrop specimens of high grade material collected on its Electrum property from a known vein on the Rico Showing. The Rico Showing is roughly 50 metres south of the Shiny Cliff Showing.

Eleven specimens were collected along a quartz vein. The specimens from the structure average 11,512 gm/tonne silver and 54.6 gm/tonne gold.

The American Creek 2015 fall exploration program focused on the Shiny Cliff area, a northwest striking, approximately 10 metre wide highly silicified zone which hosts a minimum of three quartz veins. The zone and veins steeply dip southwest into the hillside. They have been traced on surface and tracked with horizontal drilling for 40 metres along trend. A modified diamond drill provided American Creek with the ability to drill targets of interest with precise short holes. American Creek is much encouraged with the success of the tight drill patterns, to reveal the geometry of the rich epithermal systems found on the property.

As reported previously, twenty-two specimens were collected along a central druzy quartz vein, approximately 35 cm wide, infilled with dark grey mineralization. The specimens from the structure averages 27,092 gm/tonne silver and 248 gm/tonne gold.

The mineralized zone with North Face of Shiny Cliff is amenable to examination and thorough sampling by deep slot trenching. The practicality of this approach is illustrated by a roughly cubic 40 ton boulder that has broken off the face of Shiny Cliff and has moved about 20 metres downslope. Specimens from it averaged 857 gm/tonne silver and 10.6 gm/tonne gold.

The Mine Hill Showing is roughly half way between the historic East Gold mine and Shiny Cliff Showing. It is roughly 65 metres southeast of the Shiny Cliff Showing. Thirteen specimens were collected along a weathered, silificied and bifurcated, sulphide rich vein system. The specimens from the structure average 522.93 gm/tonne silver and 6.55 gm/tonne gold.

Precious metal values for all specimens were determined from fire assay by Bureau Veritas Minerals Laboratories (BVML) services in Vancouver, Canada.

A 100 metres southeast of the Rico, the Horse Trail Showing contains gold bearing galena. Exploratory grab specimens had gold values as high as 4.5 g/tonne.

CARDSTON, ALBERTA–(Jan. 19, 2016) – American Creek Resources Ltd. (TSX VENTURE:AMK) (“American Creek”) is pleased to provide results from outcrop specimens of high grade material collected on its Electrum property from the Shiny Cliff vein on the North Face Showing.

Twenty-two specimens were collected along a central druzy quartz vein, approximately 35 cm wide, infilled with dark grey mineralization. The specimens from the structure averages 27,092 gm/tonne silver and 248 gm/tonne gold.

The following table lists the results.


The American Creek 2015 fall exploration program focused on the Shiny Cliff area. Its objective was to gain a better understanding of the geological structures present and to test a newly developed exploration concept and approach for the property.

A specialized diamond coring drill was utilized which had the capability to drill flat holes and which provided the ability to drill targets of interest with more precision. Approximately 100 grab specimens were collected from various locations on the property and eight shallow diamond drill holes totaling 1020 feet were drilled.

Drilling was carried out 15 metres to the southeast towards the Shiny Cliff showings. Our current understanding of the larger structure which hosts the high grade specimens from the Shiny Cliff showings are that the alteration zone is roughly 10 metres wide containing 3 veins. The structure strikes NorthWest and dips steeply to the SouthWest into the hillside. The Shiny Cliff Vein material assayed is interpreted to be the central of the 3 veins intersected by the drilling.

Precious metal values for all specimens were measured by the accurate, but destructive, fire-assay. 50 gram specimens were fire assayed by Bureau Veritas Minerals Laboratories (BVML) services in Vancouver, Canada. The technique used lead collection fire assay fusion for total sample decomposition, digestion of the Ag dore bead and the gold bead is then analyzed by gravimetric method. It should be noted that an extra equipment wash with silica between specimen pulverizing was in place to reduce sample cross contamination.

Additional assays results, along with an interpretation of those results, will be released in the near future after further analysis has been completed.
