Pharmacists plan to run ECG tests on patients when picking up a prescription. All QT and QTc interval findings will be kept on file with the goal of recording QT measurements for any patient with known cardiac issues and starting any new medication known to influence the QT interval. “As polypharmacy analysis becomes more prevalent in a pharmacist’s daily tasks, the use of the HeartCheck™ CardiBeat device will allow staff to quickly measure the patient’s QT/QTc and make a clinical judgment as per the safety of the prescriptions being dispensed”, states pharmacist K. Manoukian.

QT interval prolongation is a recognized adverse drug reaction and risk factor for torsades de pointes (TdP), a fatal arrhythmia that can result in sudden cardiac death. While rare, the severity of TdP makes QT prolongation a serious concern when prescribing medications.

Pharmacists have a legal and professional responsibility to evaluate/mitigate medication adverse and serious adverse event risk factors and are the final decision makers in dispensing or not dispensing medications. The surface ECG is the only way to confirm or rule out the presence of a prolonged QT interval. The HeartCheck™ CardiBeat provides a useful tool as QT prolongation can now be easily, quickly and cost effectively obtained in community pharmacies and be compared to well established normal duration ranges. Without an ECG sudden cardiac death due to a prolonged QT interval may be the first and only evidence of the disease. Prior to the release of CardioComm’s ECG screening technologies, QT interval prolongation ECG screening was not available outside of the hospital setting.

Listings of medications known to cause TdP through acquired QT syndrome prolongation in healthy people (crediblemeds.org, sads.org.uk and heartcentre.ca) contain more than 100 common medications, many of which are dispensed by pharmacists. These include common antibiotics, medications to treat yeast infections, diuretics, anti-arrhythmia heart medications, and antidepressant and antipsychotic medications. Additionally, COVID-19 infection, a history of cardiac arrest and cardiovascular disease, age and women on heart medications are also known to increase the risk for cause acquired QT interval prolongation.

Through the screening service CardioComm will earn revenue from a per ECG QT interval triaging service fee. With the program now launched in Quebec, the Company will next look to the introduction of the QT interval ECG screening services in pharmacies and physician practices in other provinces.

Today’s announcement follows yesterday’s announcement of Psagot Investment House Ltd., an Israeli investment firm and Israel’s largest pension fund manager, leading the Company’s recently closed non-brokered $11.5 million private placement (for further details, please see the Company’s press release dated December 16, 2020 ).

PlantX Israel’s operations will be led by VP of Israel Operations Ms. Mili Ben-David and VP of Global Expansion Mr. Michael Blicher . Ms. Ben-David currently lives in the country and Mr. Blicher will be relocating to Israel to join the PlantX team. Ms. Ben-David and Mr. Blicher will be tasked with finding a suitable site for PlantX’s first brick and mortar location in Israel , building partnerships with local brands and chefs, and establishing and growing the PlantX community in the country. The duo will also help introduce popular plant-based US brands to Israel and importing popular Israeli plant-based brands to PlantX’s North American market.

Corporate Update

PlantX announces that it has granted 1,870,000 incentive stock options (the ” Options “) to purchase common shares of PlantX (” Common Shares “) to certain consultants of the Company. The Options are exercisable for a five (5) year period at a price of $1.45 per share. One quarter (1/4) of the Options will vest every three months from the date of grant.

PlantX also announces that it has granted 4,153,000 restricted share units (” RSUs “) to certain directors, officers and consultants of the Company pursuant to the Company’s restricted share unit plan (” RSU Plan “). The RSUs have a term of one (1) year of which one quarter (1/4) of the RSUs will vest every three (3) months from the date of grant. The RSUs will not vest or be paid out until the RSU Plan has been approved and ratified by shareholders. The Company intends to seek shareholder approval of the RSU Plan at the Company’s next annual general meeting. Further details regarding the RSU Plan will be set out in the management information circular of the Company, which will be mailed to shareholders and filed on SEDAR in connection with the Company’s next annual general meeting.

PlantX also announces that it will issue an aggregate of 437,931 Common Shares to a consultant of the Company (the ” Consultant “), at a deemed price of $1.45 per Common Share for services rendered in accordance with the terms of a consulting agreement with the Company. The Common Shares issued to the Consultant will be subject to a 4 month hold period from the date of issuance in accordance with the policies of the CSE.

Vancouver, British Columbia–(December 16, 2020) – FansUnite Entertainment Inc. (CSE: FANS) (OTCQB: FUNFF) (“FansUnite” or the “Company“), a technology company providing leading online gaming solutions, is pleased to announce that, due to strong investor demand, it has entered into an amended agreement with Gravitas Securities Inc., as lead agent and sole bookrunner (the “Lead Agent“) on its own behalf and, on behalf of a syndicate of agents including, Haywood Securities Inc. and Mackie Research Capital Corporation (collectively with the Lead Agent, the “Agents“), to increase the size of the previously announced private placement of the Company.

Pursuant to the increase, the Company will offer for sale up to an aggregate of 17,600,000 special warrants of the Company (the “Special Warrants“) at a price of $0.625 per Special Warrant for aggregate gross proceeds of approximately $11 million (the “Offering“). The Company has also amended the option granted to the Agents, to provide for the sale of up to an additional 2,640,000 Special Warrants (the “Over-Allotment Option“), which Over-Allotment Option is exercisable in whole or in part at any time up to 30 days following the closing of the Offering. The initial closing date is expected to be on or about the week of January 11th, 2021 (the “Closing Date” or “Closing“) and the Offering may be completed in one or more closings at the discretion of the Lead Agent.

Each Special Warrant shall be exercisable, for no additional consideration at the option of the holder, into one unit of the Company (each, a “Unit“), with each Unit being comprised of one common share of the Company (a “Common Share“) and one half (1/2) of one non-transferable Common Share purchase warrant (each whole warrant, a “Warrant“). Each Warrant will entitle the holder thereof to acquire one Common Share (each, a “Warrant Share“) at an exercise price of $0.78 per Warrant Share for a period of 24 months after Closing (the “Expiry Date“).

As soon as reasonably practicable after the Closing, the Company will prepare and file with each of the securities regulatory authorities in each of the provinces of British Columbia, Alberta, Manitoba and Ontario, (the “Jurisdictions“) and obtain a receipt for, a final short form prospectus (the “Final Prospectus“), qualifying the distribution of the securities issued pursuant to the Offering, in compliance with applicable securities law, within sixty (60) days from the Closing of the Offering.

In the event that the Company has not received a receipt for the Final Prospectus within sixty (60) days following the Closing, each unexercised Special Warrant will thereafter entitle the holder thereof to receive upon the exercise thereof, at no additional consideration, one-and-one-tenth (1.10) Unit (instead of one Unit) (the “Penalty Ratio“), provided that nothing shall require the Company to issue fractional Units or Common Shares and Warrant Shares underlying such Units, and any fractions resulting from the application of the Penalty Ratio shall be rounded down to the nearest whole number.
