Smiths Falls, Ont.-based Canopy Growth Corp., Canada’s largest licensed producer of medical cannabis, announced an approximately $175-million bought-deal offering Wednesday of a little more than five million shares of the company.

Canopy noted in a release that GMP Securities LP and Bank of Montreal-owned BMO Capital Markets were leading the transaction for the company as joint bookrunners, marking the first time a major Canadian bank has helped head an equity financing for a publicly traded company in the medical marijuana industry.

“This is the first time a major Canadian bank-owned brokerage has participated in a cannabis securities issue,” wrote Chris Damas, editor of the BCMI Cannabis Report.

A spokesperson for Canopy confirmed that the transaction marked the first such foray by a Big Five Canadian bank.

“Although this does not guarantee participation in the cannabis sector by all six of the largest Canadian Schedule 1 banks (BMO had already been a banker for cannabis companies), it is very positive for the sector, all things being equal,” Damas added.

Other major Canadian banks have yet to dive into the country’s growing cannabis sector in the same way BMO has, and are likely hesitant to do so given their significant business in the United States, where marijuana is still illegal under federal law. But some banks, including BMO, have provided business accounts for cannabis companies, according to Bloomberg.

That stance may now be starting to soften amid a fundraising spree in the Canadian marijuana industry, which had been taking place without the country’s biggest banks. Companies involved in the already legal medical pot business have been seeking funding to serve the coming recreational market set to be legalized by the federal government this summer.

Royal Bank of Canada told the Financial Post in a statement last week that it “currently does not provide banking services to companies engaged in the production and distribution of marijuana.”

“We recognize that the legislative landscape is evolving and we are undergoing a review of our policies,” added the lender.

A spokesperson for Bank of Nova Scotia told the Post on Friday that “we must balance that with our commitment to effectively manage all business risks.”

“While we understand there is a robust debate in Canada and abroad, our priority is to manage risk for our customers and stakeholders to ensure they are protected,” said Scotiabank’s Rick Roth in an email. “Should there be significant change to industry legislation or regulation, we will revisit our risk assessment and make risk policy adjustments if warranted.”

Toronto-Dominion Bank and the Canadian Imperial Bank of Commerce either declined to comment or had yet to respond as of Thursday morning.

Canopy said its agreement with the underwriters includes an over-allotment option for them, allowing for the purchase of up to 759,000 additional shares at the offering price of $34.60 per share, worth nearly $26.3 million. The company said that the deal is expected to close on Feb. 7, subject to some conditions, and that the net proceeds will be used “for capital expenditures for capacity expansion, working capital, and general corporate requirements.”

Terms of the Agreement
Under the terms of the Agreement, O Cannabis’ management team will be responsible for the general operation of NamasteMD’s platform and will provide the following services:

  • Patient Qualification
  • Patient Onboarding
  • Education
  • Recommendations (strains and dosages)
  • Follow-up Care
  • Medical Documents
  • Self-titration Training
  • Maintaining 75% patient retention rates

In return for these services, Namaste will pay O Cannabis as follows:

  • CAD $60 for each patient approval, being a patient consultation resulting in the issuance of a prescription for medical cannabis
  • 50% of the net profit for “platinum” packages, as outlined in the Agreement
  • 5% of the gross revenue collected for patients where medical cannabis is sourced from local licensed producers
  • 10% of the gross revenue collected for patients where medical cannabis is sourced from international licensed producers
  • 15% of the gross revenue collected through the sale of Namaste’s vaporizers and cannabis ancillary products, which O Cannabis will add to its website
  • The issuance of 15,000 common share stock options to the O Cannabis management team

Execution of this Agreement represents a major milestone in the expansion of the NamasteMD platform into medical cannabis sales using the Company’s innovative telemedicine application, and will provide an incredibly efficient platform for patient consultations and medical documentation issuance. NamasteMD customers will have the ability to connect to Namaste’s e-commerce platform through Namaste’s wholly owned subsidiary, Cannmart Inc. (“CannMart”), which will provide patients with an online marketplace for medical cannabis products, including strains sourced from both domestic and international licensed producers. Escondido, California–(November 28, 2017) – MARIJUANA COMPANY OF AMERICA INC. (OTC: MCOA) (“MCOA” or the “Company“), an innovative hemp and cannabis corporation, is pleased to announce that it’s joint venture partner, Bougainville Ventures, Inc., initiated construction on a 30,000 square foot cultivation facility in Washington state. The delivery of the first pre-designed greenhouses, with full tracking and reporting protocols, is expected to be completed this week for the I-502 facility. The site will eventually consist of 6 greenhouses providing a total of 30,000 sq. ft., of cultivation area. The construction is expected to be completed in February of 2018.

This one acre footprint of greenhouse is anticipated to be a technologically advanced and predominantly automated cannabis production facility. The Company also has an option to purchase additional contiguous acreage and so may choose to expand its leasehold in the area. Bougainville Ventures, Inc. anticipates the facility to be capable of producing in excess of 12,000 lbs. of high quality cannabis annually once the cultivation area is fully built out. The location of the new facility provides access to transportation, industrial infrastructure, power, water, gas, and courier services.

TORONTO, Nov. 16, 2017 – ThreeD Capital Inc. ( “ThreeD”) (CSE:IDK) is pleased to announce that it has acquired ownership and control of an aggregate of 2,000,000 common shares (the “Subject Shares”) and 2,000,000 common share purchase warrants (the “Subject Warrants” and together with the Subject Shares, the “Subject Units”) of Global Cannabis Applications Corp. (“Global Cannabis”) on November 15, 2017.  The Subject Units represented approximately 3.7% of all issued and outstanding common shares of Global Cannabis as of November 15, 2017 immediately following the transaction described above (or approximately 7.2% on a partially diluted basis, assuming exercise of the Subject Warrants only), resulting in a corresponding increase in the percentage of shares held by ThreeD and its Joint Actor as a result of the transaction.

Immediately before the transaction described above, ThreeD and the Joint Actor held an aggregate of 2,850,000 common shares of the Company (the “Pre-Closing Shares”), representing approximately 5.5% of the issued and outstanding common shares of the Company.  Of this total, ThreeD held an aggregate of 1,000,000 of the Pre-Closing Shares (representing approximately 1.9% of the issued and outstanding common shares of the Company), and the Joint Actor held an aggregate of 1,850,000 of the Pre-Closing Shares (representing approximately 3.6% of the issued and outstanding common shares of the Company).

Immediately following the transaction described above, ThreeD and the Joint Actor held an aggregate of 4,850,000 common shares (the “Post-Closing Shares”) and convertible securities entitling ThreeD and the Joint Actor to acquire an additional 2,000,000 common shares of the Company (the “Post-Closing Convertible Securities”), representing approximately 9.0% of the issued and outstanding common shares of the Company (or approximately 12.3% assuming exercise of such Post-Closing Convertible Securities only).  Of this total, ThreeD held an aggregate of 3,000,000 of the Post-Closing Shares and 2,000,000 of the Post-Closing Convertible Securities (representing approximately 5.6% of the issued and outstanding common shares of the Company, or approximately 9.0% assuming exercise of such Post-Closing Convertible Securities only), and the Joint Actor held an aggregate of 1,850,000 of the Post-Closing Shares and nil of the Post-Closing Convertible Securities (representing approximately 3.4% of the issued and outstanding common shares of the Company).

The Subject Units were acquired in a private placement and not through the facilities of any stock exchange.  The holdings of securities of Global Cannabis by ThreeD and the Joint Actor are managed for investment purposes, and ThreeD and the Joint Actor could increase or decrease their investments in Global Cannabis at any time, or continue to maintain their current investment position, depending on market conditions or any other relevant factor. The marijuana market could be (and possibly already is) bigger than the market for beer in Canada

Pot’s retail therapy

TORONTO — It’s a hot, sunny Thursday afternoon on the hard edge of Queen Street West, and the foot traffic at Eden, a pot dispensary, is brisk.

Retailers along this strip of trendy clothing stores, bars, restaurants, shoe shops, tattoo parlours, hairstylists, comic stores and coffee joints cater to the urban hip, and Eden is no different. lnside, iceberg-blue lights illuminate jewel-case cabinets with the product — glass vials of Hindu Kush, El Hefe, Organic Blue Dream — artfully displayed.

On the aquamarine-blue wall at the front are two white iPads, for customers who need quick access to the Internet to check product information.

The place is spotless, sharp. And the air is heavy with the unmistakeable sweet smell of cannabis.

Behind the counter, two clerks, a man and a woman both in their 20s, both dressed like their customers, are filling orders, taking cash.

The average transaction, those in the business say, is $50. A pre-rolled joint is $12, but Alicia, the manager, says they won’t start selling a lot of those until the evening, when the university crowd and the kids from the suburbs come downtown.

The afternoonwalk-ins are largely cannabis users who rely on the flowers, ointments, teas, and oils to ease some chronic ailment, or they are creative types — writers, graphics artists, filmmakers — who find extra insight and energy through cannabinoid stimulation. They all have prescriptions from a licensed physician.

The product mix and retail approach at Eden’s downtown store is different than what you will find at the company’s newest outlet a few blocks north near Bayview and Eglinton. There are more seniors and aging baby boomers in that neighbourhood so the store opens earlier and closes earlier.

The Eden outlets are among the 100 or so pot dispensaries in Toronto, but there is easily demand, those in the industry say, for 1,000 such businesses.

They are owned and operated by a mix of campaigners and capitalists.


The campaigners have been working for years to legalize marijuana use. They believe in the huge potential for the drug to manage pain, ease anxiety, and help many to a more productive, happy, creative and healthy existence.

Tania Cyalume and Brandy Zurborg opened their storefront dispensary, Queens of Cannabis, on Bloor Street West just north of Little Italy in February.

“I guess when you believe in a product, you really believe in it because you’ve seen the way that it affects people,” said Cyalume.

The products Cyalume and Zurborg sell and their approach to retailing match their personal philosophies and lifestyles. Both are vegans, and the edible cannabis products they stock are vegan and  pesticide-free.

Their crusade is about serving patients because they are patients themselves, and use cannabis products regularly to treat their own chronic pain and ailments.

“We’re patients and we believe in it. We also believe that patients have the first right to access before recreational. There is only so much supply, and there is a huge demand,” said Zurborg, who trained as a certified management accountant designation and was  an auditor with the Canada Revenue Agency.

Their goal is not necessarily to get rich. They speak of one day being able to use the proceeds of their retail operation to help fund outreach, at hospices for example, where they can spread the word about the life-changing value of cannabis products.

Marina, who preferred her last name not be used, is a capitalist. She and her husband have had as many as seven dispensaries, some through a franchise model they were trying to build. When she got into the business a few years ago, she approached with a capitalist’s zeal and eye for profit.

The woman has agreed to talk about her industry at an upscale diner set among the forest of steel-and-glass condominium towers where Lake Ontario meets the Toronto suburb of Etobicoke. She arrived in a gleaming white SUV. Petite, direct and energetic, Marina makes no bones about the fact she got into the business to make a pile of cash.
