(“Empower” or the “Company“) (CSE:CBDT), is pleased to announce that it has closed its previously announced private placement of units of the Company (the “Units“), which included the exercise of an over-allotment option, pursuant to which the Company issued 24,567,131 Units at a price of $0.05 per Unit (the “Offering Price“) for aggregate gross proceeds of $1,228,356.55 (the “Offering“). The Offering was led by Mackie Research Capital Corporation, as sole agent and sole bookrunner (the “Agent“).

Each Unit is comprised of one common share of the Company (a “Common Share“) and one Common Share purchase warrant (a “Warrant“), with each Warrant exercisable to acquire one Common Share (a “Warrant Share“) at a price of $0.12 per Warrant Share for a period of 24 months from the closing of the Offering.

The Company is also pleased to announce that Steven McAuley, the Chief Executive Officer a director of the Company, participated in the Offering by subscribing for 1,200,000 Units for $60,000.

The Company intends to use the net proceeds raised under the Offering to support the objective of clinic growth, lab testing services, sales and marketing, for general working capital purposes.

In connection with the Offering, the Agent received an aggregate cash fee of $88,000. In addition, the Company granted the Agent compensation options (the “Compensation Options“) exercisable for 1,760,000 Units at an exercise price equal to the Offering Price for a period of 24 months following the closing of the Offering.

The subscription by Mr. McAuley is deemed, “related party transaction” as defined under Multilateral Instrument 61-101 (“MI 61-101”). The transaction is exempt from the formal valuation requirements of MI 61-101 since none of the securities of the Company are listed on a stock exchange specified in section 5.5(b) thereof. The transaction is exempt from the minority shareholder approval requirements of MI 61-101 since, at the time the transaction was agreed to, neither the fair market value of the transaction nor the fair market value of the consideration for the transaction, insofar as it involves interested parties, exceeded 25% of the Company’s market capitalization.

The securities issued pursuant to the Offering will be subject to a four-month hold period under applicable securities laws in Canada.

In connection with the Offering, $18,356.55 of the subscription funds are a result of a settlement with an arm’s length service provider of through the issuance of 367,131 Units.

A new nickel sulphide player has fully emerged in the Timmins camp seeking to revive a well-known piece of mining ground.

Class 1 Nickel and Technologies released a very promising new mineral resource estimate for its Alexo-Dundonald Nickel Project, 45 kilometres northeast of the city.

The Toronto-based company reported an updated estimated indicated mineral resource of 1.25 million tonnes with an average grade of 0.99 per cent of nickel, and a total estimated inferred mineral resource of 1.01 million tonnes with an average grade of 1.08 per cent.

The indicated resource count has jumped 119 per cent since the last mineral estimate in June. The inferred resource ballooned by 1,400 per cent.

The company thinks it has a turn-key project on its hands that can be fast-tracked into nickel and cobalt production with little capital expenditure.

With nickel, cobalt, copper, and platinum group elements in the ground, the company has eyes on supplying battery-grade material for the electric vehicle and stainless steel markets. Nickel sulphide is used in electric vehicle battery cathodes.

Class 1, which went public over the summer on the Canadian Securities Exchange, had been quietly assembling a 20-square-kilometre package of properties that hosted two former small-scale nickel mines along some promising exploration ground that follows a large ‘Z’-shaped group of komatiite rocks, known to contain nickel sulphide.

The project property includes two former one-pit and underground mines – the Alexo and Kelex – that ceased operations in 2005 due to low nickel prices, plus the nearby Dundonald property which contains nickel-bearing zones.

Alexo and Kelex were mined for nickel and copper three separate times around the time of the First World War, during the Great Depression and the Second World War, and lastly between 2004 and 2005.

Class 1 said much of the property has never been probed by drilling and modern geophysics. The last drilling program at Alexo-Kelex was done in 2011, and at Dundonald in 2005.

The company’s exploration program of geophysics has been focused on expanding the resource left behind at Alexo and Kelex, and probe the Dundonald property on the way to planning a drill program and eventually releasing a preliminary economic assessment report for a possible mine.

Management is currently out raising $3 million in flow-through shares for exploration.

On September 29 the Company announced its plans for the third phase of exploration and development work at the flagship River Valley Palladium Project which includes the initiation of a project wide rhodium evaluation program and the second round of environmental baseline work in 2020. Story Environmental have scheduled the delivery of a final report presenting their work for the end of January 2021. The stated objective of the rhodium evaluation program is to ultimately evaluate the feasibility of including rhodium as a payable metal as part of the River Valley Project’s payable metal suite , that includes palladium, platinum, gold, copper, and nickel. The work in the final quarter of 2020 will focus on assaying historical River Valley samples for rhodium and other metals. This work will require follow-up metallurgical test work to prove rhodium recoverability.

Additional Activities for Q4 2020

Additional activities planned for Q4 regarding River Valley include exploration targeting which will continue to focus on footwall mineralization, though at the Dana South Zone in addition to the Pine Zone-T3 target. The interior of the River Valley Intrusion will also be re-evaluated for the possibility of MT and gravity surveys to aid development of targeting models for reef-type PGM deposits.

Shares for Services

The Company has issued 226,000 common shares at a deemed value of $0.06 per share to Agora Internet Relations Corp. (“AGORACOM”) pursuant to the terms of the March 2020 agreement. The securities issued represent the third payment for services under the terms of the agreement and are subject to a four month plus one day hold period expiring March 5, 2021.

The pit constrained Updated Mineral Resource Estimate formed the basis of the PEA . At a cut-off grade of 0.35 g/t PdEq, the Updated Mineral Resource Estimate contains 2.867 Moz PdEq in the Measured plus Indicated classifications and 1.059 Moz PdEq in the Inferred classification. The PEA is a preliminary report, but it demonstrates that there are potentially positive economics for a large-scale mining open pit operation, with 14 years of Palladium production. Plagued by false starts, a few dashed hopes, but with perhaps a glimmer of light on the horizon, the race to find an effective treatment for COVID-19 continues. At last count, more than 300 treatments and 200 vaccines were in preclinical or clinical development (not to mention the numerous existing agents that are being evaluated for repurposing).

There is also a renewed interest in cannabinoid therapeutics — in particular, the nonpsychoactive agent cannabidiol (CBD) and the prospect of its modulating inflammatory and other disease-associated clinical indices, including SARS-CoV-2–induced viral load, hyperinflammation, the cytokine storm, and acute respiratory distress syndrome (ARDS).

Long hobbled by regulatory, political, and financial barriers, CBD’s potential ability to knock back COVID-19–related inflammation might just open doors that have been closed for years to CBD researchers.

Why CBD and Why Now?

CBD and the resulting therapeutics have been plagued by a complicated association with recreational cannabis use. It’s been just 2 years since CBD-based therapeutics moved into mainstream medicine — the US Food and Drug Administration (FDA) approved Epidiolex oral solution for the treatment of Lennox-Gastaut syndrome and Dravet syndrome, and in August, the FDA approved it for tuberous sclerosis complex.

CBD’s mechanism of action has not been fully elucidated, but on the basis of its role in immune responses — well described in research spanning more than two decades — it’s not surprising that cannabinoid researchers have thrown their hats into the COVID-19 drug development ring.

The anti-inflammatory potential of CBD is substantial and appears to be related to the fact that it shares 20 protein targets common to inflammation-related pathways, Jenny Wilkerson, PhD, research assistant professor at the University of Florida School of Pharmacy, Gainesville, Florida, explained to Medscape Medical News.

Among the various trials that are currently recruiting or are underway is one that is slated for completion this fall. CANDIDATE (Cannabidiol for COVID-19 Patients With Mild-to-Moderate COVID-19) is a randomized, controlled, double-blind study led by Brazilian researchers at the University of Sao Paulo. The study, which began recruitment this past August, enrolled 100 patients, 50 in the active treatment group (who received capsulated CBD 300 mg daily for 14 days plus pharmacologic therapy [antipyretics] and clinical measures) and 50 who received placebo.

November 4 – Serie A’s AC Milan has entered the esports with a strategic partnership with Italian organisation QLASH to form a new team that will be called AC Milanm QLASH.

Vancouver, British Columbia–(October 30, 2020) – Iconic Minerals Ltd. (TSXV: ICM) (OTC Pink: BVTEF) (FSE: YQGB) (“Company” or “Iconic”) is pleased to announce that it has received geochemical results for sediments from two core holes at the Bonnie Claire Lithium Deposit in Nevada. Both drill holes contain intercepts of +1,000 ppm lithium and continue to show that results are consistent with those from prior drilling. Sediment geochemical analysis was done by ALS Chemex of Reno, Nevada.

Core hole BC2001C intersected 67 meters (220 feet) averaging 1209 ppm Li and contained a high of 1710 ppm Li. Core hole BC2002C contained a high of 1070 ppm Li. Occasional lighter colored sediments seen in the core may indicate some leaching of soluble elements is occurring. Water samples, highly diluted by added drill water, were taken from each core hole. The water samples were analyzed for dissolved lithium by Western Environmental Testing of Sparks, Nevada. Of the four samples taken the high for dissolved lithium was 38 ppm. The highest water sample taken in all of Iconic’s previous drilling at Bonnie Claire, with the exception of one non-repeatable sample, was 4.1 ppm Li. As a result of these encouraging results the water sampling was also taken in the RC drilling program. These samples were taken at rod changes after clearing the hole of drill water.

The RC (reverse circulation) drilling has now been completed. A total of four holes ranging from 61 to 109 meters (200 to 358 feet) were drilled to expand the resource and collect samples for metallurgy. Samples have been sent for testing to ALS Chemex of Reno Nevada for assaying. The drilling extended the current resource approximately 2,500 meters (8,200 feet) to the south.

The Bonnie Claire Lithium Property Characteristics:

The Property is located within Sarcobatus Valley that is approximately 30 km (19 miles) long and 20 km (12 miles) wide. Quartz-rich volcanic tuffs, that contain anomalous amounts of lithium, occur within and adjacent to the valley. Geochemical analysis of the local salt flats has yielded lithium values up to 340 ppm. The gravity low within the valley is 20 km (12 miles) long, and the current estimates of depth to basement rocks range from 600 to 1,200 meters (2,000 to 4,000 feet). The current claim block covers an area of 35 km2 (13.5 mi2) with potential to be underlain by lithium-rich sediments.
