VANCOUVER, British Columbia, Jan. 18, 2018 – Namaste Technologies Inc. (“Namaste” or the “Company”) (CSE:N), (FRANKFURT:M5BQ), (OTCMKTS:NXTTF) is pleased to announce that the Company has signed a non-binding Letter of Intent (“LOI”) with Israeli medical cannabis producer, Cannbit Ltd (“Cannbit)” whereby the companies propose to enter into a share purchase agreement and/or a subscription agreement (the “Agreement”) whereby Namaste would acquire an equity position of 5% in Cannbit through an investment to be made in a proportion to be determined and agreed by both parties. Cannbit will also offer Namaste a first right of refusal to purchase an additional 5% equity in shares at the same valuation.

Further to the Company’s September 15th, 2017 announcement of signing a Wholesale Supply Agreement (“Supply Agreement”) with Cannbit, Namaste intends to purchase high-quality medical grade cannabis from Cannbit through the Company’s wholly owned subsidiary, Cannmart Inc. (“Cannmart”). The Company is pleased to have the opportunity to participate in an equity position with Cannbit and in developing a long-term relationship that will be mutually beneficial to both parties. Cannmart is a late stage applicant for an Access to Cannabis for Medical Purposes Regulations (“ACMPR”) medical cannabis “sale-only” license. Through Cannmart, Namaste plans to offer the largest variety of medical cannabis products to its patients through the sourcing of both domestic and internationally imported products. Namaste hopes to leverage its vast expertise with e-commerce, conversion rate optimization and enterprise technology to create Canada’s leading online marketplace for medical cannabis.

Terms of the LOI:

  • Namaste will make an investment in Cannbit in exchange for 5% equity, whereby the amount will be determined by a valuation agreed to by both parties.
  • Namaste will have a first right of refusal to purchase an additional 5% equity position in Cannbit, at the same valuation as originally agreed upon, for a period of one year from the date of execution of the proposed agreement.
  • Closing of the proposed agreement will be contingent upon negotiating and execution of definitive documentation and approval of the terms of the agreement by each party’s respective board of directors and shareholders, if applicable, and by the Canadian Securities Exchange, if applicable.

Namaste’s strategic investment in Cannbit, as well as other domestic and international licensed producers of medical cannabis, will bring value to the company in securing strong partnerships with leading cannabis cultivators to ensure ample supply of the largest variety of high-quality medical cannabis in the Canadian market. Namaste plans to seek additional opportunities by implementing Cannmart’s business model in other regions where the Company maintains significant market share.

VANCOUVER, British Columbia, Jan. 17, 2018 – Namaste Technologies Inc. (“Namaste” or the “Company”) (CSE:N), (FRANKFURT:M5BQ), (OTCMKTS:NXTTF) would like to reaffirm its commitment to operations exclusively within medical or recreational cannabis legal jurisdictions. Further to the Company’s Nov 28, 2017 press release, and in lieu of the recent rescission of the Cole Memorandum by US Attorney General Jeff Sessions, Namaste’s position on staying out of the US cannabis market remains firm. American Creek Resources Ltd (TSX-V: AMK) (the “Corporation”) is pleased to report on an additional 17 holes from JV partner Tudor Gold’s (“Tudor”) 2017 drill program on the Copper Belle zone at the Treaty Creek Project located in the Golden Triangle of northwestern British Columbia.

The summary of results provided in the table below, include the most promising gold intersections reported to date. Hole CB-17-26, returned 149.1m grading 1.78 g/t gold (from 97.8 to 246.9m), including a 59.2m interval of 2.84 g/t gold (from 97.8 to 157m depth). So far, 15 of the 16 holes drilled in the Copper Belle zone contain prominent mineralization, which continues to expand the size of this potential deposit and increases the area of the resource estimate for this zone.

Walter Storm, President and CEO of Tudor Gold, stated: “The outstanding interval of gold mineralization in Hole CB-17-26–149m of 1.78 g/t gold–contains the highest average gold grade yet recorded for porphyry style mineralization on the Treaty Creek property. It also ranks among the top tier, in terms of gold grades, of the hundreds of holes drilled during the past fifteen years into multiple porphyry targets on the adjoining KSM and Brucejack-Snowfield properties of Seabridge Gold and Pretium Resources, part of the same, large hydrothermal “Sulphurets” system. The fact that we have achieved these kinds of grades in only our second year after acquiring Treaty Creek speaks both to the potential of the property and also the expertise of our geological staff. This hole will serve to further guide our exploration at Copper Belle in 2018, as well as the more than 3km of ground yet to be explored between the Copper Belle and the Iron Cap Zone of Seabridge Gold to the south, an area defined by extensive magnetotelluric anomalies.”

Darren Blaney, President and CEO of American Creek stated: “Hole CB-17-26 is a game changer for the Treaty Creek Project. At this very preliminary stage of exploration, we have already located a significant zone of higher grade gold within the Copper Belle system. Further, the MT Survey suggests that this deposit is open in all directions, including towards Seabridge’s Iron Cap discovery located several kilometers to the south. What a terrific foundation for the upcoming 2018 drill program to expand upon.”

The Copper Belle 2017 resource delineation drill program comprised 27 holes to depths below 700m (an estimated 13,722m) and step-outs of 50m where topography permitted. Results from additional drill holes of the 2017 drill program at Copper Belle are still pending. Drill holes were targeted oblique to the northwesterly plunge of the main mineralized zone. A block of delineated mineralization will form the basis for a preliminary resource estimate. All drill holes were down hole surveyed at 25m stations using a Reflex Multi-shot device.

Tudor’s 2016 Magnetotelluric Geophysical Survey program (MT Survey) was effectively utilized as a guide for the drill program. The MT Survey suggests that the mineralization continues to the southwest, toward the Iron Cap deposit of Seabridge Gold Inc. The MT Survey also suggests that the mineralized zone continues in all directions. Tudor’s 2017 drill program was located five kilometers north of the Iron Cap deposit and the Company intends to step out to the south in its 2018 program to see if it can determine a relationship between the two areas.

Background on the Treaty Creek Project

The Treaty Creek Project is situated immediately north of Seabridge Gold’s KSM property and near Pretium’s Valley of the Kings Mine, both of which are located in BC’s Golden Triangle along the Sulphurets and Brucejack fault systems that continue northward into the Treaty Creek property.

Tudor conducted a major drill program (approximately 20,000 metres) on the Treaty Creek property this past summer. The objective of the drill program was to define a gold resource on the Copper Belle zone and to determine the future potential of the high grade gold/silver/zinc GR2 zone located in a separate area adjacent to the Copper Belle.

Seabridge Gold’s proposed development plan for their KSM Project includes an access tunnel system through the Treaty Creek property as a key component. The Copper Belle and GR2 deposits located on the Treaty Creek property are both situated in the area in which Seabridge is proposing to construct tunnels connecting their KSM gold deposits with critical infrastructure such as the mill and tailings facilities.

The Treaty Creek Project is a joint venture between Tudor, Teuton Resources Corp., and American Creek. Tudor is the operator and holds a 60% interest with both American Creek and Teuton each holding respective 20% carried interests in the property (American Creek and Teuton are not required to contribute to their proportionate costs until a production notice is given).

(“Atlas”), which is a late-stage applicant for an Access to Cannabis for Medical Purposes (“ACMPR”) cultivation and sales license. In consideration of the investment, Atlas and Namaste’s wholly owned subsidiary, Cannmart Inc. (“Cannmart”) have entered in to a Supply Agreement (the “Supply Agreement”) whereby Atlas agrees to guarantee supply to Cannmart by offering first right of refusal for a minimum of 20% of the net production of medical cannabis through Atlas.

The Company’s participation in the Private Placement and subsequent Supply Agreement offer significant value to Namaste shareholders not only as an investment, but also in securing a reliable supply of high quality medical cannabis. The Company believes Atlas’ strong management team and business plan provide a strategic partnership opportunity with Atlas to ensure a guaranteed cannabis supply to Namaste, while at the same time broadening Atlas’ exposure to the market via Cannmart’s online retail channels. Namaste has completed the Subscription Agreement under the terms of the Private Placement, for C $200,000 in exchange for 200,000 Class B Common shares of Atlas stock at a price of C $1.00 per common share. The Supply Agreement will allow Cannmart to purchase bulk quantities of medical cannabis from Atlas based on the terms below.

Supply Agreement Terms

  • Atlas commits to Cannmart a first right of refusal to purchase up to 20% of Atlas’ production
  • The term of the Supply Agreement is 24 months
  • Purchase orders are to be submitted at least 14 days in advance of requested delivery date
  • Payment terms are 30 days from delivery of a purchase order
  • Cannmart will be responsible for delivery charges
  • The Supply Agreement is subject to both companies receiving their ACMPR licenses.

Namaste will continue to explore additional opportunities for investments in domestic and international medical cannabis producers as it sees great value in securing equity and building a strong and reliable supply chain for Cannmart’s patients. OTTAWA, ONTARIO–(Jan. 16, 2018) – Tetra Bio-Pharma Inc. (“Tetra” or the “Company“) (TSX VENTURE:TBP)(OTCQB:TBPMF), a global leader in cannabinoid-based drug development and discovery, is pleased to announce that it has received a No Objection Letter (NOL) from the Therapeutic Products Directorate (TPD), Health Canada to evaluate the safety, pharmacokinetics and pharmacodynamics of its cannabis oil PPP005.

According to Health Canada data1, the annual Canadian cannabis oil production for medical purposes was 22,766 kg between October 1st 2016 and September 30th 2017, and is growing continuously. In the third quarter of 2017, it grew 24% from Q2 (Apr-Jun) to Q3 (Jul-Sep)1. According to an Eight Capital analysis2, the cannabis oil market is expected to reach 1.5B$ in 2024.

The launch of this trial is the first step in Tetra’s plans to commercialize natural health products with its partners. The corporation will develop cannabis-based supplements for commercialization under the Natural Health Product regulations in Canada and in other countries where regulatory authorities have a recognized pathway for approval and commercialization of such products. The trial will eventually include formulations that will be registered as drugs under Health Canada’s TPD regulatory pathway. “Tetra Bio-Pharma Inc. seeks to become an important player in the retail market post legalization and this clinical trial is part of the sales and marketing strategy required to effectively penetrate the lucrative pharmacy and health stores retail markets,” states Bernard Fortier, CEO of Tetra.

Tetra’s vision is to develop an evidence-based approach, thereby allowing pharmacists to dispense these medicines to patients in need. Despite the growing popularity of cannabis oils, physicians and pharmacists across Canada are still hesitant to support the use of these products because of the lack of data supporting its medical use. Dr. Guy Chamberland, Chief Science Officer, commented: “This trial is part of Tetra’s corporate strategy to develop the science required to commercialize safe and efficacious cannabis oil products post-legalization and to create innovative oral drug formulations for the development of medicines in the management of pain, anxiety and the treatment of cancer.”

In that respect, Tetra’s scientific team is supporting the strategy by initiating a phase 1 clinical trial to characterize the safe use of these cannabis oil medicines in humans. Tetra has worked with Altasciences Clinical Research for the preparation of the Clinical Trial Application (CTA) for the conduct of a double-blind phase 1 study to assess safety, tolerability and pharmacokinetics of single and multiple daily doses of cannabis (Delta-9-tetrahydrocannabinol/Cannabidiol) oil capsules administered to healthy human volunteers. Health Canada issued a No Objection Letter for the conduct of the phase I clinical trial on January 12nd, 2018. Altasciences Clinical Research will be initiating the clinical trial activities in the coming weeks. The last couple of years were owned by the ‘fintech’ buzzword.

From startups to investors to government programs, fintech was everywhere. But within the last year, “regtech” and “govtech” have joined the conversation. Very often, you can spot the three in a thought-provoking proximity.

But, do they have something in common?

I believe they all can be described as transaction technologies that enable the secure transfer of value online – be it monetary or non-monetary value. Alternative financial technology, the use of modern computing, and also, technology as a means for building trust, all are tools that are needed by every government.

It’s no surprise then that applications are popping up in many areas – regulators and supervisors using DLT or cognitive computing, governments providing electronic payments for public services or social security. In Poland, strides have been made to harness emerging tech for digital identity, in such a way that it can be provided by the state along with banks and other institutions of trust.

Importantly, our national scheme of electronic identification is based on federated model, which means citizen’s identity is not only served by the state – banks, insurers and telecom providers are able to contribute, too.

This is an important distinction as transaction technologies are defined by the use of a special type of data, data that documents an exchange, agreement or value transfer between parties.

It’s a bit of information describing an event that includes the time and numerical value, and that specifies an agreement or value exchange of commercial or legal significance. Very often it relates to personal data and falls into the scope of banking secrecy.

A natural fit

In a digital dimension, all relations are transactions. Like it or not, that’s the way it is.

Administrations transact with citizens to provide them with trusted public services. They transact with businesses and governments, too. Sometimes citizens transact with government through business. Within strategic sectors, like energy or utility business, transacting is key.

In an increasingly data-focused economy, transacting data can even be said to be a special type of virtualized critical infrastructure. This is why states and businesses need to focus on assuring trusted data structures.

Blockchains and distributed ledgers, then, can be considered a tool for ensuring data integrity, immutability and trust. It does not mean we need to port everything to blockchain. But it can mean provide an additional, transaction layer to existing data structures, a robust audit trail on what happens on our critical infrastructure.

In this way, the possible role of distributed ledgers within digital state infrastructure too often goes unrecognized.

They can be a tool for licenses, rights and entitlements management. What the modern state mostly does is endorse, manage and verify ledgers of social relations; be it property titles register, ledgers of social security entitlements or identity ledgers – of who is a citizen and who can therefore participate in political dealings.

It’s a huge, important and largely under-appreciated and even overlooked function that state fulfills. Based on a social contract, the state is a large trusted entity.

How much we trust the state today is questionable, but the invention of distributed ledgers introduces a way of building a new type of institutional trust – trust in the computer code an institution operates, instead of relying only on trust in its human representatives. Human-to-machine is a new type of trust, which complements the one we traditionally put in people.

In order to progress with digitization, we need to ensure new type of digital trust, where appropriate investments are of highest priority.

Harnessing the potential

So, if distributed ledgers can act as a trust machine, what then?

The first step would be to audit our existing data resources – identifying, cleaning and structuring them in order to achieve organization. Then, a trusted transaction layer may be put on top. This means there won’t be an easy jump onto distributed ledgers for state-owned big data lakes.

Ensuring the integrity and immutability of random, inconsistent data makes no sense.

Still, within the scope of emerging transaction technologies, digitization can benefit from distributed ledgers in many aspects. Trusted data structures, arising from handling data with decentralized consensus mechanisms, can bring in additional value to many horizontal challenges, like e-commerce and legislative processes (where document version control and oversight is critical).

Ultimately, value transfer protocols and distributed ledgers may enable the functional digitization of public services, transforming the service stack together, not just rewriting each physical element to a digital twin. Particularly, if we consider value transfer protocols as digital public services, their use by the state becomes a bit more obvious.

In the coming months, governments around the globe will become more and more aware of the meaning of transaction technologies and the role they play in digitization. Having policies enabling experimentation with emerging transaction technologies will be key.

At the Ministry of Digital Affairs, Republic of Poland, we recently published a new industrial digitization strategy, in which transaction technologies are one of three key areas for growth.

Understanding requires experimenting, and experimenting is an act of humility – to acknowledge that there is no way of knowing without trying new things, making your hands dirty.

Understanding that truth is a first step, but it is important. I wish all government policymakers to act on it, in order to get well prepared for the future to come – sooner than later.
