Enertopia Signs Joint Venture Agreement With Lexaria Corp

Vancouver, BC / March 5 2014 / Enertopia Corporation (ENRT) on the OTCBB and (TOP) on the CSE (the “Company” or “Enertopia”) is pleased to announce that it has signed a joint venture agreement dated March 5, 2014 (the “Agreement”) with Lexaria Corp. (“Lexaria”) which has announced its entry into the MMJ industry in Canada and the United States.

Since Enertopia’s market leading move into the Canadian MMJ sector in November 2013, Enertopia has been contacted by third party’s interested in joint venture opportunities. At this time the Enertopia board agreed that having a partner in new ventures and opportunities was an excellent way to capture key new projects and continue with the acceleration of Enertopia’s business model.

Under the terms of the Agreement, Enetopia will receive 1 million shares of restricted common shares in Lexaria. Enertopia will also receive a finders fee of 2% to 5% in cash and or shares based on the signing of any definitive agreements closed by Lexaria and introduced by Enertopia.

President Robert McAllister of Enertopia will receive 500,000 shares for joining the Lexaria Advisory Board.”Enertopia is excited to be working with a partner that is aligned to working together in a strategic alliance in capturing market share throughout the North American legal marijuana industry”, stated McAllister. Enertopia expects that having a strategic partner will assist in its ability to compete for more and larger projects in North America that might otherwise be out of reach.

Looking forward, it is estimated that the legal Marijuana market in North America which is estimated at $1.5 billion dollars today, could surpass $10 billion dollars before this decade is out and eventually become larger than the wine industry which had retail sales of over $34 billion dollars in 2012 according to third party reports.

Enertopia Signs Joint Venture Agreement for Medical Marihuana

Vancouver, BC–Enertopia Corporation (ENRT) on the OTCBB and (TOP) on the CSE (the “Company” or “Enertopia”) is very pleased to announce that it has signed an acquisition and joint venture agreement dated February 28, 2014 (the “Agreement”) with The Green Canvas Ltd. based in Regina, Saskatchewan, Canada (“Green Canvas”). Green Canvas is currently in the process of applying to become a Licensed Producer pursuant to Canada’s new Marihuana for Medical Purposes Regulation (“MMPR”).

Pursuant to the terms of the Agreement, Enertopia may acquire up to a 75% interest in the joint venture through the payment of an aggregate of CDN$1,000,0000 and the issuance of 19,000,0000 shares of its common stock, all over a period of three years. To date the Company has already paid $600,000 of the cash consideration under the Agreement and has issued 10,000,000 shares to Green Canvas in exchange for a 49% interest in the joint venture. A total of 6,400,000 of such shares are subject to escrow until Green Canvas is designated a Licensed Producer under the MMPR regime. In the event Green Canvas does not obtain the Licensed Producer designation within 12 months of the date of the Agreement, the Agreement will terminate and Green Canvas will be required to return a total of 6,400,000 shares previously issued to it.

Green Canvas will act as manager of the joint venture subject to Enertopia’s option to become manager upon obtaining a 51% interest. The terms of the Agreement also require Enertopia to fund, for a period of three years subject to early termination of the Agreement, any shortfall in the payment of management fees to certain Green Canvas consultants in the amount of $15,000 per month, which fees are to be paid out of the gross profits of the joint venture.

The Green Canvas facility is currently undergoing upgrades and a portion of the $500,000 paid on signing will be used to make the initial 6,000 square foot production foot print compliant with the high standards set by Health Canada under MMPR. It is envisioned that at full production capacity the useable production space could cover 55,000 square feet. It is currently expected that this envisioned build out will take place as new patients are signed up and from project cash flows.

AGORACOM Welcomes (SX: CSE) St. Georges Platinum and Base Metals

St-Georges Platinum & Base Metals Ltd. is a junior Platinum, Palladium, Rhodium, Copper, Cobalt and Nickel explorer with projects in the Province of Quebec, Canada. Headquartered in Montreal, the Company’s stock is listed on the CSE under the symbol SX, the OTCQX under the symbol SXOOF and the Berlin Stock Exchange under the symbol 85G.

The company owns the Villebon Copper-Nickel and PGEs property in Abitibi and a 100% interest in the Julie and Isoukustouc Nickel-Copper-PGEs projects.

Villebon:

St Georges owns a 70% interest in the core portion of the Villebon property situated less than 2 km east of the Provincial Highway #117, and 45 km south-east of Val d’Or .
The company entered into a binding agreement to acquire 100% of two mineral mining projects in the Kasempa and Mwinilunga Districts in Western Zambia.

Shongwa Project (Kasempa District)

The Shongwa IOCG & Nickel project is located in Northwestern Zambia. The project area lies approximately 60km northwest of the town of Kasempa in northwest Zambia. The area is poorly developed with only minor trails away from the gravel Kasempa-Kaoma road link. The area consists of forested and relatively flat covered plains with some rolling hills and some permanent watercourses. Minor areas of habitation and subsistence farming exist to the south of Shongwa.

The Large Scale Prospecting License (LPL) 14817-HQ-LPL covers an area of 726 square km. It was recently converted into 3 mining licenses covering the same total territory.

The Shongwa project is the site of one of the oldest known deposits in Zambia dating back to the fourth century. Since the rediscovery of these ancient workings in 1899, the area has been mined intermittently for the recovery of high-grade copper ore. From 1903 until 1914, copper was recovered by underground mining of high-grade veins, followed by hand sorting and direct smelting. Mining activities terminated with the onset of World War 1.
