Liberty Star Announces, New Wholly Owned Subsidiary Hay Mountain Super Project LLC, Potential Funder Site Visit and Agreement on North Pipes Super Project Lease Option

TUCSON, Ariz.–Liberty Star Uranium & Metals Corp. (“Liberty Star” or the “Company”) (OTCQB: LBSR) is pleased to announce progress on various matters:

“Liberty Star is moving forward to capitalize on the hard work it has expended over a number of years. We have a very positive outlook about our future as a result of these recent and ongoing developments.”

1. The Company has filed Articles of Organization with the Arizona Corporation Commission forming a wholly owned subsidiary named Hay Mountain Super Project LLC (“HMSP LLC” or the “Subsidiary”). The new Subsidiary is to manage Liberty Star’s premiere multi-target exploration property, the Hay Mountain Project, in southeast Arizona’s historic Tombstone mining district (Cochise County) for porphyry copper, gold, moly, silver, REEs and other associated metals. HMSP LLC will serve as the primary holding company for development of the potential ore bodies encompassed in the Hay Mountain area of interest covering some 42 square miles as identified by the extensive geological, geochemical and geophysical work, including ZTEM, performed to date. This is the first step toward establishing a corporate structure that will maximize operational and tax efficiencies, and enable the transfer of profits to Liberty Star Uranium & Metals Corp. where tax loss carry forwards can be used against positive cash flow, if any, from previous exploration expenses, while at the same time preserve the flexibility to engage joint enterprise investors in the independent development of multiple Hay Mountain targets as drilling verifies their candidacy as potential economically viable mining operations. Funding and management of the Hay Mountain Project and other Liberty Star surface studied and/or claimed lands totaling 42 square miles in the area will be administered through the Subsidiary.

2. Liberty Star announces that the Company’s CEO/Chief Geologist Jim Briscoe and Director (mining engineer-attorney) Brett Gross will host a three day visit including a two day site visit to the Hay Mountain Project area for a potential funder from the Arabian Peninsula who has signed a non-disclosure agreement. This trip is tentatively planned before Thanksgiving, dependent only on US entry visa and travel arrangements. Accompanying the two parties will be an independent geologist/porphyry copper expert hired by the guest as well as an arms- length Registered Professional Geologist (RPG) who is experienced in a particular (classic) porphyry copper skarn deposit in the SW USA, participated in intensive postgraduate study of porphyry copper skarn deposits and has used vegetation geochemistry like that used by Liberty Star at Hay Mountain (and supervised by our Technical Board Member – and Geochemist, Shea Clark Smith) and is familiar with distal halos of the Hay Mountain type skarn mineralization. In addition to the Hay Mountain Project area, the visit will include ASARCO’s Mission Mine and the Bisbee mining district, both of which are corollaries to Hay Mountain (exposed rather than covered). The tour will also include two other similar porphyry copper drilling projects and one small porphyry copper production facility with exploration potential. During the trip in this mineral rich area there will also be viewings of dormant porphyry copper, gold and silver mines, including Tombstone itself. These sites, all within a 60 mile radius of the Hay Mountain Project, will demonstrate and solidify the similarity of other large porphyry copper operations to the as yet undrilled Hay Mountain which lies hidden beneath shallow cover. The trip will take two days and a 3rd day is reserved for a second review of the technical details of the Hay Mountain data, and discussion of Joint Venture parameters.

3. The final Archaeological Assessment document has been finished by the Company’s contractor Antigua Archaeology LLC, and was submitted to the Arizona State Land Department (ASLD) for their final approval on November 5, 2014. No significant archaeological material was found and the report recommends approval of our proposal as written. According to the ASLD, response time is dependent on the length of the queue but should take place in 30 to 90 days. This is the final step in the long approval process. When ASLD final approval is received, Liberty Star is ready to drill as soon as funding is in place.

4. The Company is getting more expressions of interest every day and expects to make additional presentation trips as described in number 2 until Phase 1 financing is attained. Currently there are three seemingly qualified entities that have expressed strong interest.

5. For more than a year, lengthy negotiations have been ongoing with Genesis Group International Inc. to option the North Pipes Super Project (uranium) which lies just south of the Utah border. Genesis has developed a unique, proprietary type of equipment and process to mining breccia pipe type vertical mineral ore bodies. The Company has executed a letter agreement subject to formal legal drafting. This will involve an exchange of Liberty Star’s real property and intellectual property pertaining to the North Pipes/ Arizona Strip properties. In exchange Liberty Star will receive a significant monthly payment toward retirement of its expenditures on the North Pipes Project. It will also receive a gross royalty (NSR – Net Smelter [mill return] Royalty type, which is common in the mineral industry) on production that would result from all metal commodities coming from any mining of the pipes. It is expected that this could commence in about six months from now, at which time full financial and state support will become available. Profitable operation of the breccia pipes even at current low uranium prices is anticipated from this rapid and unique mining equipment and approach.

Garibaldi Arranges $1 Million Financing to Fast Track Drilling at High-Grade Discovery in Mexico

VANCOUVER, Nov. 7, 2014 – Garibaldi Resources Corp. (TSX.V: GGI) (the “Company” or “Garibaldi”) is pleased to announce that it has arranged a non-brokered private placement of up to 5,000,000 units of the Company at a price of $0.20 per unit (see details below) for total gross proceeds of up to $1 million. Proceeds of the financing will be used to immediately expand current drilling and exploration programs following up on a growing high-grade discovery at its 100%-owned Rodadero North Silver-Gold Project in central Sonora State, Mexico, and for general working capital purposes.

“We effectively leveraged our previous discovery in Mexico (the Temoris option) to avoid any dilution to our share structure since 2009,” commented Steve Regoci, Garibaldi President and CEO. “Our management, geological and advisory board teams now see Rodadero as an even greater opportunity than Temoris given the scale of the project, the high grades returned to date from drilling and sampling, and the near-surface nature of the silver, gold and base metal mineralization.

“We believe we’re seeing the emergence of a new mineral camp in this part of Sonora State which commands a rapid increase in the pace of drilling and exploration.

“As we continue to get very encouraging signs from ongoing drilling at Silver Eagle, where discovery hole SE-14-01 returned an exceptional and shallow 7-meter intercept grading 2,010 g/t Ag, we’ve also completed plans for 9 proposed drill holes at Tarichi, 2.5 km to the southeast where the exploration target is a near-surface high-grade silver and gold system. Tarichi is the second of 11 high priority areas outlined at Rodadero North over a 10-km long, 5-km wide corridor. Hyperspectral ‘hot spots’ and extensive mapping and sampling results suggest a possible structural linkage among at least some of these 11 separate targets that are each highly mineralized at surface.”

True width of the bonanza grade discovery in SE-14-01 is estimated to be approximately 80% of the reported interval (see October 23 news release for latest drilling and exploration highlights from Rodadero North).

Private Placement Details

The proposed private placement will consist of an offering of units of the Company’s securities at a price of $0.20 per unit. Each unit will contain one common share in the capital of the Company and one non-transferable share purchase warrant with each warrant entitling the holder to acquire one additional common share of the Company at a price of $0.30 for a period of two years. Finders’ fees in cash and/or securities will be payable with respect to the private placement.

The private placement is subject to acceptance for filing by the TSX Venture Exchange.

St Greorges Platinum Signs Option Agreement with Exploration Khalkos Inc.

Montreal, Quebec /September 25, 2014 / St-Georges Platinum & Base Metals ltd (OTCQX: SXOOF) (CSE: SX) (FSE: 85G1) is pleased to announce that it has entered into an agreement to acquire the exclusive rights to the Poissons Blancs Nickel-Copper-Cobalt Property in Quebec from Khalkos Exploration Inc. (TSX-V:KAS).

The Poissons Blancs Property

The property consists of 93 contiguous mineral claims for a total area 5225 hectares located in the Saguenay Lac St-Jean region. The deposit was discovered in the 1970’s with most exploration work carried out at the end of the 1980’s. It is deemed to contain historic resources of 5.9 million tonnes at a grade of 0.21% Nickel, 0.11% Copper and 0.03% Cobalt (non-NI 43-101 compliant).

To acquire the Poissons Blancs property, St-Georges Platinum agreed to issue 800,000 shares of its capital over a period of 4 years starting in the Fall of 2015. Furthermore St-Georges agreed to transfer to Exploration Khalkos Inc. the Cooper Lake Project (Villebon East) which is comprised of 9 mineral claims in Abitibi, Quebec.

The parties agree to establish the commercial value of the Cooper Lake Claims and the Poissons Blancs Property at CAD450,000 each. A 1.0% NSR in favour of each company was assigned to their respective properties, the latter being exercisable at any time and half of the royalty can be purchased for the sum of CAN $500,000. St-Georges will establish an exploration strategy for this project and will be planning some exploration work for next spring and summer.

OTHER CORPORATE MATTERS

Julie Nickel-Copper-Cobalt & PGE Project

The Company has initiated permitting for a medium size drilling campaign along the section of its project referred to as the Julie Corridor. Samples from the fall 2013 surface campaign (channel cuts and surface drill cores) will be ready for lab analysis later this fall. St-Georges’ geological team is planning a campaign in two phases aimed at maximizing the project value. The first phase would be limited to a shallow drilling campaign targeting the 1.8 km corridor mineralized at surface. The goal of this campaign is to test for nickel mineralization at depths of maximum 50 meters along the 1.8 km target zone.

A second drilling and mapping phase of larger magnitude is planned to follow in early spring of 2015.

Isoukustouc Project

The Company is reviewing its options for Isoukustouc. Different groups have shown interest and limited due diligence has been initiated. At this time there is no serious discussions regarding either a sale, option or Joint-Venture on this project and the Company is still entertaining any third party proposal that would bring value to its shareholders.

Zambian Copper-Cobalt Acquisition

The Company is still involved in negotiations to acquire one or more large projects in Zambia near or in production. Different local vendors have shown renewed interest to enter a beneficial agreement with St-Georges but the Company’s management considers these discussions as “early-stage” and cannot comment on when or if they will have a positive conclusion in the short term.

VANCOUVER, May 14, 2014 /CNW/ – Garibaldi Resources Corp. (TSX.V: GGI) (the “Company” or “Garibaldi”) is pleased to report that it has intersected exceptionally high silver grades within 30 meters of surface in first-ever drilling at the Company’s 45 sq. km Rodadero North Project in central Sonora State, Mexico. A second drill hole has started.

Highlights:

  • First hole at Silver Eagle target (SE-14-01) returned 2,010 g/t Ag (65 oz/ton) over 7 meters (23.1 feet) including 3 meters (9.9 feet) grading 4,565 g/t Ag (147 oz/ton);
  • A 50-meter step-out hole to the south of SE-14-01 has commenced;
  • Garibaldi’s exploration team has identified 7 high-priority targets in addition to Silver Eagle at Rodadero North – data compilation and regional work continues.

Silver Eagle Target, Rodadero North

The first hole at Silver Eagle, drilled with Garibaldi’s company-owned rig, was designed to follow up on surface sampling along a silicified zone. DDH SE-14-01 intersected a strongly mineralized 7-meter zone.

At the present time, the geometry of the mineralized system is not known and true width for the drill intercepts remains to be determined. The widths given are downhole core lengths. The cut-off for the 7-meter intercept is 20 g/t Ag. The hole was drilled to a length of 100 meters.

The Silver Eagle target is an apparently flat lying silicified body that alters the upper parts of a conglomerate unit that overlies andesitic volcanic rocks. The silicified body is cut by several silver-bearing fractured zones that may reflect feeders to the silicified ‘cap’.

“We eagerly anticipate results from this next hole at Silver Eagle,” added Regoci. “In Mexico we’re also preparing for follow-up drilling at La Patilla and initial drilling at Iris. We have low exploration and drilling costs in Mexico, and these are also partly offset by continued royalty income from our pilot coal program at the Tonichi Project.”

Rodadero North & Rodadero South Target Areas

The Rodadero region hosts multiple precious metal occurrences over several tens of kilometers. Garibaldi has identified seven other targets at Rodadero North – Rambo, La Guata, Batuc, La Fortuna, La Colorada, Tarichi and Igualama – through mapping, sampling and the use of the Company’s proprietary hyperspectral database. To date, two targets have also been outlined at Rodadero South, where less exploration has been carried out, approximately five kilometers southeast of Rodadero North. Alamos Gold’s Mulatos mine and Agnico Eagle’s La India mine are approximately 90 kilometers to the southeast.

Quality Assurance & Control

Garibaldi maintains strict QA-QC protocols for all aspects of its exploration programs that include the systematic insertion of blanks and standards into each sample batch. Acme Labs (now part of the Bureau Veritis group that includes BSI Inspectorate) performed assay analyses on core reported in this release, and ALS Global (formerly ALS Chemex) performed analyses on rock samples. All samples were assayed using certified and industry standard assay techniques for gold and multi-element packages and for over-limits. Au was analyzed by 30 or 50 gram fire assay with an atomic absorption finish, and other elements were analyzed by multi-element ICP. Samples in excess of 1,500 g/t Ag were analyzed by gravimetric methods.

Sulphide mining operations here produce more than 450 ounces of gold and 1,800 ounces of silver every day.

Richard Claim

The company recently announced that it has signed a definite agreement to acquire 100% of the Richard gold exploration application.

During the last five months Santo Mining’s field exploration team led by Elpidio Moronta conducted due diligence on the Richard Claim consisting of property wide reconnaissance surveys, including stream sediment sampling and surface soil geochemistry. Early in 2013 the exploration team sent soil, sediment and rock samples to Acme Laboratories for multi-element trace analysis. The laboratory results have potentially identified two zones of gold, silver, and copper anomalies. The principal gold zone is located in the northwest quadrant of the Richard Claim, approximately 500 meters east of Barrick Gold’s Pueblo Viejo boundary. The exploration team is currently in the field conducting a “detailed” surface soil geochemistry survey and rock sampling to better define a series of shallow drill targets.
