Explor Closes a Second Tranche of a Private Placement in Common and Flow-Through Shares

ROUYN-NORANDA, QUEBEC–(Dec. 12, 2016) –Explor Resources Inc. (TSX VENTURE:EXS)(OTCQX:EXSFF)(FRANKFURT:E1H1)(BERLIN:E1H1) (“Explor” or the Corporation) is pleased to announce that it has closed a second tranche of a non-brokered private placement of a maximum of 11,764,705 common shares and/or flow-through shares at a price of $0.085 each, for total gross proceeds of up to CDN $1,000,000. Each common share is accompanied of one-half of a share purchase warrant, one whole warrant and $0.15 being required for the acquisition of one common share of the Corporation at the latest 24 months from each closing (the “Private Placement“).

The second tranche of the Private Placement closed today consists in the sale of 1,435,294 common shares, of 1,682,353 flow-through shares and the issuance of 717,647 warrants. This represents an aggregate subscription of $265,000, out of which $25,500 will have to be incurred by the Corporation in exploration expenditures on mining properties located in the province of Québec and $117,500 will be incurred on mining properties located in the province of Ontario. There are no finder’s fees payable for the securities issued upon this second closing.

The securities issued pursuant to the second closing of the Private Placement are subject to a hold period of four months and a day ending April 13, 2017.

The Private Placement is subject to the final approval of the TSX Venture Exchange.

ROUYN-NORANDA, CANADA–(Dec. 9, 2016) – Explor Resources Inc. (TSX VENTURE:EXS) (OTCQX:EXSFF) (FRANKFURT:E1H1) (BERLIN:E1H1) (“Explor” or the Corporation) announces the closing of a third tranche of a non-brokered private placement previously announced for a maximum of 23,529,412 flow-through common shares at a price of $0.085 each, for total gross proceeds of up to CDN $2,000,000 (the “Private Placement“). The third and final tranche of the Private Placement closed today consists in the sale of 1,650,000 shares for an aggregate subscription of $140,250. Following the three closings to the private placement, the Corporation has received a total amount of $1,557,240, representing an aggregate amount of 18,320,470 flow-through shares.

The net proceeds from this third closing of the Private Placement will have to be incurred by the Corporation in exploration expenditures on mining properties located in the provinces of Québec ($120,700) and Ontario ($19,550). No finder’s fees are payable in connection to this last closing.

ROUYN-NORANDA, QUEBEC–(Nov. 30, 2016) – Explor Resources Inc. (“Explor” or the “Corporation“) (TSX VENTURE:EXS) (OTCQX:EXSFF) (FRANKFURT:E1H1) (BERLIN:E1H1) is pleased to announce the completion of 12 Diamond Drill Holes for a total of 2,027 meters on the Chester Copper Property. The Chester Copper property is located in the Northumberland County, 70 km southwest of Bathurst, New Brunswick and 50 km west-northwest of Miramichi, New Brunswick, within the Bathurst Mining Camp. This area has an extensive history in base metal production from VMS deposits.

There has been very little exploration work in this area of the Bathurst Mining Camp (BMC) since the initial exploration more than 60 years ago. Of significance also is the fact that three (3) age date studies of the rock in the area since 2005 have indicated an age of 469+/- 0.3 ma. All of the main largest VMS deposits in the BMC (including BMS #12 and #6, the Caribou Deposit (currently being developed by Travalli) and the past producing Heath Steele Mines, are associated with this age date for the footwall felsic rocks. That new data in 2007 places Explor’s Chester deposit is in the same time frame as the Brunswick Mining No. 12 and No. 6 deposits located in the BMC.

New Brunswick is the home of the No 12 massive sulphide deposit (The Brunswick Deposit) which was in continuous production from 1964 to its closure in March of 2013 (to Feb 2013, 135,903,168 tonnes milled at 3.44 % Pb, 8.74 % Zn, 0.37 % Cu and 102 g/t Ag). The Brunswick deposits (No 6 and No 12) are situated in the Nepisiguit Falls Group of rocks in the Lower Tetagouche group of the BMC. There are 46 known VMS deposits in the BMC.

The property is located in the southern-most part of the Bathurst Mining Camp and consist of 174 Mineral Claim Units within a total of five (5) Mineral Claims (1571, 2428, 6003, 6005 and 7045) comprising approximately 3,828 hectares as shown on the attached map.

A total of 4 diamond drill holes were drilled on claim 1571. The first three diamond drill holes that were drilled were fan holes from the same location. This successfully tested the extension of the copper stringer zone for a distance of 190 meters west of previous drilling. The fourth drill hole was located approximately 100 meters west (and 38 meters south) of the first three drill holes, confirming the continuity of the mineralization to the west and adding 100 meters of strike length to the known deposit. It intersected the target horizon and favorable geology from 94 meters to 234.6 meters.

Further to the west the copper deposit goes down dip and onto claim 6003. At about 1,100 meters west of the first drill hole, drill hole 6003-16-012 was drilled at a vertical dip. It eventually went to a depth of 600 meters and intersected previously unknown mineralization near surface (18 meters) and also extending the deep main Chester Stringer zone an additional 650 meters westward than any previous reliable drilling (i.e. casing in place and core in government storage). It also confirms the existence of the alteration zone and the host stratigraphic horizon to a depth not previously known or expected. The chloritized favorable horizon extends from a depth of 472.5 meters to 561 meters with low grade copper mineralization documented from 519 meters to 543 meters.

In the north part of claim 6003, an untested soil geochemical anomaly was tested. Copper mineralization was discovered as pyrrhotite and chalcopyrite veinlets in felsic volcanic associated with the soil anomaly. Copper mineralization was also discovered in this area in 2014 and a soil survey on claim 7045 to the west have unexplained copper and lead anomalies which may be associated with previously mentioned soil anomaly and this horizon.

To the south on Claim 6005, two drill holes were put down to test a soil anomaly apparently associated with a historical drill hole, dating to about the 1956 to 1958 era, with a reported value of more than 2% copper. No indication of any mineralization was discovered in the two drill holes.

Explor Resources Exploration Program Update on the Timmins Porcupine West Gold Property $EXS.ca

ROUYN-NORANDA, QUEBEC–(Nov. 24, 2016) – Explor Resources Inc. (“Explor” or “the Corporation”) (TSX VENTURE:EXS)(OTCQX:EXSFF)(FRANKFURT:E1H1)(BERLIN:E1H1) is pleased to announce an Exploration Program Update on the Timmins Porcupine West Property (“TPW Property” or the “Property“) as provided by Teck Resources Limited (“Teck“). In December 2014, the Corporation signed an agreement with Teck under which Teck can acquire an initial 55% interest in the Timmins Porcupine West property by completing exploration work expenditures totalling $8,000,000 by May 1st, 2019.

A technical meeting was held on October 07, 2016 that reviewed results to date as well as plans going forward on the property as detailed below.

In 2016, the focus has been reviewing the volume of data received in 2015, and developing vectors to mineralization in order to make drilling more efficient. Key points of this work included:

  1. Development of a ‘sericite index’ reflecting particular white mica compositions, as mapped by Short Wave Infrared (“SWIR”) techniques, which have a close spatial association with high grade gold intersections.
  2. Identification of key geochemical pathfinders to mineralization, including zinc, sulphur, lead, iron, among others.
  3. The combination of the alteration with the geochemistry can be used to identify ‘near-hit’ holes, and potential upside for West-Deep style mineralization.

The work completed by Teck to date has confirmed and identified a hydrothermal corridor (the “Porcupine Horizon”) through geochemistry and SWIR data, and selection of ‘near-hit’ holes, techniques were investigated in an effort to vector to mineralization within this plane, and to increase drill metre efficiency through geophysics.The results of the alteration and geochemistry studies support the hypothesis of an approximately east-west corridor hydrothermal corridor, within which the West Deep Zone defines a discrete ore shoot. In April 2016, Teck conducted a borehole physical property survey using in-house equipment, as well as non-destructive benchtop studies of known mineralization to identify geophysics options.

The results indicated that mineralization is chargeable (IP), but produces false anomalies (non-gold bearing pyrite zones). The results also indicated that mineralization is conductive (EM), and did not produce significant false anomalies. The results of these studies indicate that EM should be able to detect West-Deep style mineralization.

Following the petro-physics work, a borehole EM study was designed to test real-world efficacy of the method. 4 holes were tested (TPW-11-43W6, TPW-11-45W3, TPW-10-34, and TPW-15-120) in order to confirm the method can detect mineralization in the West Deep zone, and to test the distance resolution of the technique.

  1. The technique was able to detect mineralization within approximately 30m of the boreholes. While this is useful for guiding step-out drilling within a shoot, it does not seem to see far enough off-hole to identify shoots around near-hit holes.
  2. Based on the results of the borehole EM, a VTEM survey was supported. Theoretical modeling of the EM response suggests that the VTEM technique should be able to detect a West-deep size body within approximately 200m of the surface (varying with size and conductance of a targeted body), with the opportunity to identify new shoots. The VTEM survey was flown the week ending September 23rd, and results are pending data processing by the contractor.

As far as expenditures on the property are concerned, Teck has forecasted approximately CA$316,000 expenditures for calendar year 2016. This brings the total forecast earn-in expenditures to approximately $2,130,000 CDN to year end.

Teck stated that as far as a fall/winter 2016/2017 drill program is concerned, Teck has planned a program and is presently waiting for budgetary approval as a program has been put forward.

The Timmins Porcupine West Gold Property consists of 185 unpatented mining units and 3 patented claims located in the Bristol and Ogden Townships in the Timmins-Porcupine Mining Camp for a total 3,200 hectares. The highway 101 bisects the property and provides access from the city of Timmins located 13 km to the east. The 3-D geological model may be viewed on our website: www.explorresources.com. The property has been explored since 1927 by numerous ground geophysical surveys and diamond drilling of up to 111 holes. In 1984, Dome Exploration discovered and delineated a gold mineralized zone that was approximately 350 meters long and 45 meters wide and open below 350 meters of vertical depth.

The Timmins Porcupine West Project has a structural target model developed by Explor based on the “Hollinger-McIntyre-Coniaurum System”. The Hollinger-McIntyre-Coniaurum (HMC) System has produced a total of over 30 million oz of gold and is spatially associated with the Pearl Lake Porphyry.

Montreal, Quebec / November 22, 2016 – St-Georges Platinum and Base Metals Ltd. (CSE: SX)(OTC: SXOOF) (FSE: 85G1) is pleased to announce that it has entered into a binding agreement with Iceland Resources ehf to acquire all its outstanding shares. Iceland Resources owns multiple polymetallic exploration & development projects in Iceland and has direct or indirect access to all active mineral tenure, claims and mineral leases in Iceland.

The Opportunity

Iceland Resources ehf is a privately-owned Icelandic corporation with gold/silver/copper/cobalt/zinc projects in Iceland.

Iceland is an important producer and developer of geothermal energy. St-Georges management has been active over the last few years in Iceland with the goal of securing access to geothermal operations to test the development of technologies allowing the extraction of lithium and light minerals from the brines being pumped from the geothermal wells and for the extraction of a large variety of precious and base metals found in the mud rejected from the same operations.

Terms of Acquisition

St-Georges will create a subsidiary that will become the owner of Iceland Resources. 40% of this subsidiary will be owned by the Iceland Resources shareholders and the remaining 60% will be owned by St-Georges. Additionally, St-Georges makes the following commitments:

-Issuing 6,000,000 common shares of St-Georges to Iceland shareholders with a 12-month escrow release schedule;

-Issuing a $350,000 debenture, bearing a 6% annual interest (cash or shares), maturing in November 2026 to be distributed to Iceland shareholders and some creditors; and

-$1,000,000 of expenditure on the Iceland assets over the next 24 months, including mineral exploration expenses and metallurgical process research & development.

Iceland Resources Projects

Iceland Resources currently has 9 defined mineral exploration and development projects in Iceland (8 licenses or license applications held directly and one within a Joint-Venture). Other opportunities are being sought after with the collaboration of St-Georges (with the possibility to deploy St-Georges technologies result from its R&D initiatives).

St-Georges intends to direct most of its efforts in the next 24 months to 3 priority projects:

Reykjanes Project (EL 01) (Au-Ag-Cu-Zn)

The 897.5 km2Reykjanes licence area is in close proximity to the capital Reykjavik and the international airport in the town of Keflavik and is supported by good transport infrastructure with main highways running through it. The project is prospective for gold, silver, copper, zinc and cobalt. The Company also plans to apply for licenses to evaluate the lithium potential of the geothermal brines present on the property.

The Thormodsdalur Project (EL-14) (Au-Ag-Cu)

Thormodsdalur is located about 20km east of the city centre of Reykjavik and south-east of the lake Hafravatn. The project was discovered in 1908. The property produced mineral concentrate from 1911 to 1925 when over 300 meters of tunnels where dug alongside surface excavations. The ore recovered was transported to Germany and historic sources reported values ranging between 11g/t and 315g/t Au. Note: All information pertaining to mineral resources, grades or operational results herewith presented are historical in nature and while relevant, the information was obtained from sources that cannot be independently verified and that are not compliant with National Instrument 43-101 reporting standards.

More recently, visible gold was seen in cores from geothermal wells located on the project. This new discovery compelled the Icelandic government to create a mining entity for gold exploration in Iceland called Malmis.

Studies between 2005 and 2013 identified the project mineralization as a low sulphidation system containing banded chalcedony and ginguro. Petrographic analysis of the vein material identified gold occurring in its free form and as part of an assemblage with pyrite and chalcopyrite. Petrographic and XRD studies show an evolution of the vein system from the zeolite assemblage to quartz adularia and lastly to minor calcite. In the area, 32 holes have been drilled for a total of 2439 meters.Gold values vary from less than 0.5 ppm to the maximum of 415 ppm. (These values were obtained from selected random intervals and cannot be construed to be representative of the any particular thickness or overall length).

Iceland Resources entered in to a Joint Venture agreement with Melmi ehf, Malmis hf (majority government owned) and Gold Island Limited. Melmi is the owner of the Thormodsdalur license that was first granted in October 2004. Melmi is owned by Malmis (51%) and Gold Island (49%).

The Vopnafjordur Project (EL-05) (Au-Ag-Te) (Bi-Co-Sb-Se-Zn)

The Vopnafjordur licence covers 598.5 km2(Maps, fig. 3 & 4) and is valid until July 2021. Exploration in Vopnafjordur was carried out by Malmis between 1991 and 1993 in the form of BLEG surveys and vein sampling. Follow-up work was carried out by Melmi in 1997, which carried out stream sediment and helicopter-assisted rock chip sampling in the Vopnafjordur area. The rock chip sampling programme focused on areas of strong alteration, known quartz-carbonate-pyrite veining and in selected structural settings. The sampling programme indicated anomalous antimony, selenium and tellurium values in the northern rhyolitic centre and further identified anomalous gold, antimony, bismuth and zinc in an acid intrusion in the central southern part of the licence.

Recently, a comprehensive review of the BLEG and rock chip sampling programme was undertaken alongside satellite interpretation of the whole of the Vopnafjordur licence and a short exploration program in August 2016. In addition to the two volcanic centres identified in the 1990s, a number of regional fault zones associated with elevated levels of key pathfinder elements and occasionally gold was identified. The geological team is expecting assay results shortly.

These areas will be investigated further by the Company’s geological team in 2017, which will carry out close-spaced traverse mapping and grab sampling of key fault structures identified by previous exploration.

Icelandic Geology is unique and considered relatively young in geology term. Iceland lies in the divergent boundaries of the Mid Atlantic Ridge. The buoyancy of the Iceland plume leads to dynamic uplift of the Iceland plateau, and high volcanic productivity over the plume has developed an anomalous volume of volcanic material and magma chambers at depth.

Iceland has not been thoroughly mapped and geological exploration has been limited when compared to other jurisdictions. St-Georges now have the unencumbered opportunity to explore Iceland’s potential starting with its most known prospective target sites with data generated from existing geological work and geothermal operations around the country. Furthermore, St-Georges technologies should enable the team of Iceland Resources to unlock the potential for prospective lithium brines and mud tailings that were not considered in the past.

The second tranche of the Private Placement closed today consists in the sale of 2,552,941 shares for an aggregate subscription of $217,000.

The net proceeds from the Private Placement will have to be incurred by the Corporation in exploration expenditures on mining properties located in the provinces of Québec.

In connection with the Private Placement, the Corporation will pay to an arm’s length finder, finder’s fees representing a cash amount equal to 8% of the subscribed amount through the finder, and non-transferrable finder’s warrants entitling to purchase such number of common shares of the Corporation equal to 8% of the aggregate number of shares subscribed through the finder. These finder’s warrants will be exercisable at a price of $0.085 per common share, up to 24 months from the closing date.

American Creek Reports on Treaty Creek JV Drill Results — Wide Intersections of Gold Mineralization in CB-16-03

CARDSTON, ALBERTA–(Oct. 28, 2016) – American Creek Resources Ltd. (TSX VENTURE:AMK) (“American Creek”) is pleased to report that Tudor Gold Corp. (“Tudor”) has released the assays for the remainder of hole CB-16-03, a newly discovered gold zone at the Treaty Creek JV Project located in BC’s “Golden Triangle” immediately north of Seabridge Gold’s KSM project and in the same region as Pretivm’s Brucejack project.

Hole CB-16-03 returned 0.526 g/t gold over 629.7 meters. Significantly, included within this wide 629.7 meter interval is 338 meters of 0.70 g/t gold (from 88 meters to 426 meters) which included 54 meters (from 88 to 142 meters) of 1.117 g/t gold and 122 meters (from 304 to 426 meters) of 0.965 g/t gold. The drill hole terminated at 717.7 meters in mineralization with the final 13.7 meters averaging 0.315 g/t Au.

The 338 meter intersection of near surface 0.70 g/t gold in hole CB-16-03 represents the best mineralized intersection discovered to date at Treaty Creek. The hole is located approximately 870 meters northeast of drill hole CB-09-14, which returned 241 meters averaging 0.80 g/t gold.

Walter Storm, CEO and President of Tudor Gold stated: “The complete results from CB-16-03 confirm our belief that Treaty Creek holds the potential to host significant gold mineralization and validates our exploration model. To date, we have successfully hit gold mineralization down to 717 meters downhole and have encountered nearer to surface gold mineralization like the 1.12 grams gold per tonne over 54 meters starting at 88 meters downhole, which opens up the targeted area.”

Drill Hole CB-16-03 was drilled at an azimuth of 292º with an inclination of -73º and was collared approximately 550 meters northeast of the nearest of the Copper Belle zone drill holes CB-09-11 which carried 229m of 0.52 g/t gold from 40m to 270 m, CB-09-10 which carried 212m of 0.47 g/t gold from 119m to 331 m and CB-09-06 which carried 65.3m of 0.84 g/t gold. The new gold intercept encountered in CB-16-03 may represent a new mineralized zone or could possibly be an extension of the previously known Copper Belle Zone. Further work will be required in order to investigate the continuity between these areas. The casing has been left in place so the hole may be re-entered and extended if desired. All intervals are down hole widths as there is not enough information to calculate true widths of the mineralization encountered in any of the holes.

Hole CB-16-03 was drilled to test a geophysical anomaly identified on a preliminary Magnetotelluric (MT) profile along Seabridge Gold’s proposed tunnel route and further defined based on a survey carried out by Simcoe Geoscience Ltd. earlier in the season. Tudor awaits the final results of the MT survey.

Tudor previously released partial assay results from hole CB-16-03 (316 to 717.7 meters downhole), along with complete assays for drill holes CB-16-01 and CB-16-02 in Tudor’s news release dated October 11, 2016. In total, eight holes were drilled on the property for a total of 3,765 meters during the 2016 field season. Assay results are pending for the last five holes.

The Treaty Creek Project is a joint venture between Tudor, American Creek and Teuton Resources Corp. (“Teuton”). Tudor is the operator and holds a 60% interest with both American Creek and Teuton each holding respective 20% fully carried interests in the property (carried until a production notice is given).

James Hutter, P.Geo., is the Qualified Person as defined by National Instrument 43-101 for the 2016 Treaty Creek Project and the results reported by Tudor.

Darren Blaney, American Creek CEO stated: “We are very excited about results from the first three 2016 holes on Treaty Creek. Collectively they’ve extended the known mineralization at Copper Belle, found a new gold zone, and extended gold intervals to depth. The first three holes are all in close proximity to the ‘discovery contact’ discussed in the 2014 Kyba/Nelson BC Geological Survey report, to the Sulphurets thrust fault, and to clastic sequencing (Turbidites) found on Treaty Creek. According to the report, these three things in combination increase the chances of ‘being in the right neighborhood of BC’s next big deposit.’ We believe the results thus far at Treaty Creek are the beginning of that discovery process.”

In addition to the Treaty Creek project, the Corporation holds interests in the following “Golden Triangle” properties:

Electrum property

The Electrum property is located approximately 45 km north of Stewart between Pretivm’s Brucejack gold deposit located 25 km to the north and the past producing Premier gold mine 20 km to the south. The Electrum shares similar geology to both the Brucejack and the Premier. The project is a JV between operator Tudor (60%) and American Creek (40%).

Tudor recently concluded a diamond drilling and blast trenching program. Initial trenching results reported by Tudor on Sept 12, 2016 included silver grades up to 30,200 g/t within the New Blast vein system. Further results from the drilling and trenching are pending.

Dunwell mine

American Creek recently acquired a property package which included the historic Dunwell mine (see October 3 news release). The Dunwell mine produced 45,657 tonnes averaging 6.63 g/t gold, 223.91 g/t silver, 1.83 per cent lead, 4.01 per cent zinc and 0.056 per cent copper. Recent drilling has shown potential to develop more reserves.

The 850 hectare property is located 8km north of the town of Stewart and intersects paved Highway 37A. It is adjacent to American Creek’s Silvershot property. The principal Dunwell workings are about 2km east of the highway and are accessible by 4×4 vehicle with travel to the remaining portions of the property by foot. Due to the property being located at low elevation, exploration can take place almost year-round.
