MONTREAL, Dec. 17, 2018 — HPQ Silicon Resources Inc (“HPQ”) (TSX Venture: HPQ) is pleased to inform shareholders that, pursuant to the Plan of Arrangement and the Arrangement with Beauce Gold Fields Inc. (BGF), HPQ declares the special dividends stemming therefrom and that December 24, 2018 will be the Record Date for the distribution and the dividends consist of 10,680,000 Beauce Gold Fields common shares.

Only shareholders of record as at the share distribution record date will be entitled to receive the share dividends.  Shareholders of record on that date will receive one share of BGF, for 0.0480466 shares they own of HPQ, the dividend per share ratio is subject to adjustment based on the number of shares of HPQ to be issued until the record date. December 31, 2018 would be the expected payment date.  Fractional shares of BGF will be rounded down to the nearest whole number.  Shareholders who sell their HPQ shares prior to the share distribution record date will not be entitled to receive shares of BGF.  BGF confirms the definitive and unconditional closing of the plan of arrangement and BGF Private Placement of $550,000 announced on December 12, 2018.

Accordingly, HPQ will distribute 10,680,000 BGF shares to it’s shareholders on a pro rata basis of 0.0480466 shares for every HPQ shares they own hold as of close of business on the record date.

The Beauce Gold Fields project is a unique, historically prolific gold property located in the municipality of Saint-Simon-les-Mines in the Beauce region of Southern Quebec. Comprising of a block of 152 claims 100% owned by HPQ, the project area hosts a six kilometre long unconsolidated gold-bearing sedimentary unit (a lower saprolite and an upper brown diamictite). Textural observations (angularity) of gold nuggets suggest a relatively proximal source and therefore a short transport distance. The gold in saprolite indicates a close proximity to a bedrock source of gold, providing possible further exploration discoveries.  The property was also hosts numerous historical gold mines that were active from 1860s to the 1960s (see HPQ SEDAR-filed report).

Two months after the legalization of recreational cannabis, is the new legislation meeting its objectives? CTVNews.ca takes a look at some of the Cannabis Act’s key goals.

Two months after recreational cannabis was legalized, Canada’s new pot regime is still working out kinks in the supply chain and the enforcement of new rules.

Before the cannabis legislation came into force, the federal government listed its key objectives for the historic shift. Those goals include keeping cannabis “out of the hands of children and youth,” curbing illegal marijuana sales, and ensuring a safe supply of quality pot across the country.

More than 60 days after the first legal cannabis sales were made on Oct. 17, are those objectives being met? CTVNews.ca takes a look at how reality measures up against some of the government’s main promises.

Keep cannabis away from children

The Cannabis Act states that only adults aged 18 or older can legally purchase, possess and grow small amounts of weed. Provinces and territories were allowed to impose their own age restrictions, and the majority have set 19 as the legal age.

Quebec’s new Coalition Avenir Quebec government made good on its election campaign promise and tabled legislation that would raise the province’s legal cannabis consumption age to 21 – the highest in Canada.

Of course, those age restrictions don’t guarantee that younger teens and kids won’t be getting their hands on pot. It remains to be seen whether legalization will actually reduce cannabis consumption among minors.

Reduce number of Canadians with criminal records

One of the main pillars of the Cannabis Act is reducing the burden on the Canadian justice system by eliminating criminal charges for simple pot possession. But what about those who were charged or convicted of the crime before Oct. 17, 2018?

In October, the federal government announced its intention to issue pardons to Canadians who have criminal records for possession of 30 grams of cannabis or less.

The legislation “to make things fairer” was expected to be tabled before the end of 2018, but that did not happen before MPs wrapped things up in Ottawa for the holiday break. When it eventually becomes law, those eligible for pardons will be able to apply as soon as the law is in effect, with no waiting period or application fees.

The Liberal government, however, has been criticized for not opting to expunge the criminal records of Canadians convicted of simple possession. An expungement would remove any record of a criminal conviction, while a pardon seals the record but does not erase it.

Safe supply of cannabis

The federal government pledged to “establish and enforce a strict system of production, distribution and sales” of cannabis, with a focus on regulation of quality and safety.

But some Canadians have reported receiving mouldy cannabis.

One cannabis manufacturer, RedeCan, recalled its B.E.C. strain in November after receiving reports of mould in some products sold in Ontario and British Columbia.

Under federal regulations, cannabis producers have to keep a sample of every batch they send to market.

Eliminate illicit pot sales

This is another long-term objective of the Cannabis Act, but numerous hiccups in the legal cannabis supply chain have done little to curb distribution of illegal weed.

Despite numerous warnings to illegal cannabis stores – and police raids in several cities across the country – some illicit dispensaries say they’ve been busier than ever since Oct. 17.

Some consumers told The Canadian Press they continued to get their weed from illegal dispensaries or elsewhere because of delivery delays like the ones that plagued the Ontario Cannabis Store (OCS) in the first month of legalization.

The OCS attributed delays to high demand for cannabis products, but the nationwide rotating strikes by Canada Post workers were also blamed for slow deliveries. 

The online OCS is currently the only legal outlet for recreational cannabis in Ontario, with brick-and-mortar stores expected in 2019.

In the first few weeks of business, the office of the Ontarioombudsman received more than 1,000 complaints about the OCS, related to delivery delays, poor customer service and issues with billing.

By the third week of November, the provincial government said the OCS had eliminated its backlog and deliveries were “back on track.”

British Columbia, Alberta, Manitoba, Saskatchewan, Quebec, Nova Scotia and New Brunswick also reported varying degrees of cannabis shortages.

New Brunswick was forced to temporarily close more than half its stores in early November, and the Quebec Cannabis Corporation had to reduce its store opening hours due to shortages.

Access to medical cannabis

One of the government’s principal objectives in legalizing recreational pot was to provide “access to quality-controlled cannabis for medical purposes.”

But medical cannabis users have complained that, since Oct. 17, they’ve experienced persistent product shortages and shipment delays.

Users of medical cannabis can only buy products from specific licensed producers if they want their health insurance to cover the cost. When their preferred strain or product is not available, they either have to go without, or pay out of pocket for products from a recreational pot retailer.

Health Canada admitted last month that there have been localized shortages of medical cannabis since legalization, and said they are expected to continue for months.

Protecting public health and safety

The federal government has vowed to strengthen laws aimed at punishing “more serious cannabis offences,” including selling and distributing pot to children and youth, and driving under the influence of cannabis.

Legislation known as Bill C-46 sets prohibited blood drug concentrations of THC, the main psychoactive compound of cannabis, for drivers. It also outlines penalties for drug offences, which range from fines to imprisonment, depending on the severity and number of offences committed.

As a result of Bill C-46, police can now demand a sample of saliva for roadside drug screening. However, the only device approved for roadside drug testing in Canada has been met with criticism, with some police forces even saying they will not be using it at all.

Critics say the Drager DrugTest 5000 doesn’t work in sub-zero temperatures, is too bulky for roadside tests and takes too long to produce a sample. But the federal government has defended the device, saying its approval was based on scientific recommendations of the Drugs and Driving Committee.

Bill C-46 also amended Canada’s drunk-driving laws to allow police officers to conduct mandatory roadside alcohol breath tests without requiring a suspicion that the driver had been drinking.

The new service will operate programmatic advertising requirements for AIM’s Travel Elite clients and to advertisers requiring digital planning and buying. Authorised Investment Fund (ASX: AIY) has revealed that one of its investee companies, Asian Integrated Media (AIM), is making strong headway in the US$60 billion (A$83 billion) programmatic advertising sector. 

AIM has struck a deal with Ambient Digital Group to form a joint venture offering its bespoke digital planning and buying to advertisers throughout south-east Asia.

The announcement follows on from the company’s move into programmatic advertising, previously announced in August.

Programmatic advertising is a term used in digital marketing to describe computer-based automated buying, selling, placement, and optimisation of digital advertising. In contrast to traditional advertising, programmatic ad buying involves the use of non-human software machines to purchase digital ads.

As it stands, Authorised Investment Fund owns a 25% interest in AIM with an option to increase its holding to 30% at any time over the next 3 years.

The company first committed to acquiring a major stake in AIM in April this year, after identifying AIM as one of the world’s leading media sales representation networks that could both diversify and amplify its broader investment portfolio.

The power of AIM

AIM has an expansive team working in Hong Kong, Singapore and Beijing with a worldwide affiliate network of sales agents in all the key cities in Europe, Asia and the US.

1. Japanese Trading Houses Don’t Announce MOU’s Without Very Serious Intent. Doesn’t guarantee anything but Japanese culture is to measure 10 times and cut once. Bodes well for Pyro.

2. With those kinds of revenue and profit numbers, the Japanese partner won’t waste time with something that can’t move their top and bottom line needle. What do they see?

3. 4 different smelters for 11 different systems … market interest is extremely high already. Pyro is on the cusp of major market acceptance.

  • “There is not enough legal marijuana to supply all of recreational demand in Canada,” said Rosalie Wyonch, a policy analyst at the CD Howe Institute. “The shortages are happening faster than I would have expected, but our research suggested quite strongly that there would be shortages in the first year of legalization.”

When Trevor Tobin opened one of Canada’s first legal cannabis stores last month, he had high hopes of playing a small part in a historic national experiment – and of making a tidy profit.

Brimming with optimism, he and his mother Brenda pooled $100,000 in savings to create High North, one of the few private retailers in Newfoundland and Labrador.

But the pair quickly found themselves staring at empty shelves – and watching the money they had invested slip away. Day after day, staff at Labrador City’s only cannabis shop have had to turn away customers due to scarce inventory and have even gone as far as temporarily shutting down the store.

“After a week of 100 apologies [to customers] each day, we’re tired of just saying sorry,” said Tobin. “We were told there would be bumps in the road. This isn’t a bump in the road. This is a pothole.”

Two weeks after Canada became the first G20 country to legalize cannabis amid much fanfare and celebration, numerous stores – both physical and digital – are struggling to meet unexpectedly high demand and in much of the country, the legal supply of marijuana has dried up.

“There is not enough legal marijuana to supply all of recreational demand in Canada,” said Rosalie Wyonch, a policy analyst at the CD Howe Institute. “The shortages are happening faster than I would have expected, but our research suggested quite strongly that there would be shortages in the first year of legalization.”

A mix of regulatory frameworks, retail chain distribution and logistical kinks – including rolling postal strikes across the country – have created fertile ground for the shortages.

When Colorado legalized recreational cannabis, it took three years for supply to finally catch up to demand, and Canada could expect a similar delay, said Wyonch.

In Quebec, the Société Québécoise du Cannabis – a government entity overseeing sales – has opted to close three days per week in order to better ration its limited supply.

Online sales make up a large component of the recreational cannabis market. In Ontario, where there are no physical retailers, residents are required to purchase products through a government-run web site.

Within the first 24 hours of legalization, the Ontario Cannabis Store website processed 100,000 orders – but few of them have been shipped to customers.

Because Ontario only allows online sales of cannabis, many residents have been left waiting two weeks for orders to arrive – and some report random cancellations of their orders.

University student Curtis Baller found out that his order had been cancelled after seeing a charge disappear from his credit card – not a notification from the OCS.“The most frustrating part to me is that the government forced a monopoly on both the supply and delivery on cannabis products, then failed to deliver,” Baller told the Guardian. Ontario’s ombudsmen has received more than 1,000 complaints about the site since it launched on 17 October.

Supply for retailers, either private or government, is dictated by contracts between the government and licensed suppliers, making shifting to new sources of cannabis to fill supply gaps a lengthy process.

“Health Canada is still licensing producers, existing producers are expanding facilities and at the end of the day, marijuana is a plant. It takes a certain amount of time to grow, process and package, ship and get tested,” said Wyonch.

The shortages are also likely to be costly for provincial and federal governments. In a policy paper developed with colleague Anindya Sen, Wyonch argues that the government could lose $800m in revenues to the black market – far outpacing the anticipated tax revenues of $300m-$600m in the first year of legalization.

For Tobin and his mother, one of the few private retailers with a retail licence, the shortage has turned what seemed like a lucrative business into a temporarily losing venture.

“I’m paying staff members to sit around with fingers crossed that we’ll receive [new stock]. We never do,” said Tobin. “I can’t keep operating the shop, losing money everyday paying staff with no product.”

Some see a potential silver lining to the shortage: the bottlenecks likely mean a large number of people have tried to shift from the black market to the legal space at a faster rate than anticipated.

But the risk remains that the move may be reversed if supply problems are not resolved.

“The government will likely be successful in eliminating the black market, as long as the legal supply comes online quickly. Otherwise, we risk potentially entrenching a black market,” said Wyonch.

But Tobin fears that the recent shortages have already pushed consumers away from the legal markets. Both new and prior cannabis users have expressed frustration that they can’t buy from his store, or any other retailer in the region.

“Now that we can’t supply them, they’re still going to find it,” he said. “There’s no shortage of weed in Labrador City. Just the legal stuff.”

(Kitco News) – Volatility in global stock markets is boosting demand for gold, which has stood “the test of time,” said Eric Sprott, billionaire precious metals investor and founder of Sprott Inc.

As central banks around the world stepped up gold purchases, shouldn’t investors follow suit, Sprott was asked during the company’s Weekly Wrap-Up segment.

“In India, the central bank bought some gold for the first time in over a decade. Hungarians increased their gold [tenfold to 31.5] tons. Poland also made purchases,” Sprott said. And that’s aside from continued purchases of Russia and China, he added.

In the meantime, physical demand is also picking up, with India importing 95 metric tons of gold in August, Sprott added.

These are all positive numbers that investors should be paying attention to because there’s significant risk in the markets and gold is a proven safe-haven asset, he explained.

“There are lots of reasons to think that the Federal Reserve will have to change. It is uncertain what the Fed will do. You should not automatically count on four rate increases next year,” Sprott said.

On top of that, most stock markets in the world are in a bear market, he pointed out.

“Look at China, [the stocks] was down 32% this year. There are a lot of liquidity issues in a lot of markets, and when you’re the last man standing, [investors] are going to be selling American stocks first, because they’re the ones that are theoretically liquid,” he said. “The structure of markets is very risky … [And] as things get shaky here in the markets, you see the safe-safe-haven bid coming into gold,” Sprott said.

On Tuesday, equities dropped for the fifth consecutive session. The Dow Jones Industrial Average is seeing its worst monthly decline in three years and the S&P 500 is seeing its worst monthly performance in seven years, according to reports.

Meanwhile, the December Comex gold futures touched a three-week high of $1,242 Tuesday on increased safe-haven demand.

“The yellow metal was boosted by safe-haven demand amid keener geopolitical uncertainty in the marketplace. Gold prices did back off their daily highs as the U.S. stock indexes moved up from their daily lows,” said Kitco’s senior technical analyst Jim Wyckoff. “Global stock markets saw risk aversion return to the marketplace today amid heightened geopolitical tensions. China’s stock indexes were sharply down after good gains posted Monday. South Korea’s and Japan’s stock markets were also sharply lower.”

A highlight from these analytical results is an intersection of 6.16 grams per tonne (g/t) gold, 72.4 g/t silver and 31.0 g/t tellurium over 3.41 meter core length in hole COD18-34. This gold-bearing interval (quartz veins and altered granodiorite) in hole COD18-34 is located at approximately 25 meter vertical depth and approximately 115 meters southwest of the area of 2017 trenching.  COD18-34 is located approximately 180 meters southwest of hole COD17-14 which intersected the 4.59 g/t gold over 16.03 meters, including 10.96 g/t gold over 5.97 meters (News Release of September 7, 2017).

The analytical results listed below are highlights from drill holes COD18-34 to COD18-36 (intersections greater than 1 g/t gold), testing the continuation of the COD Vein south-southwest of the 2017 trench. Since true widths cannot be accurately determined from the information available the core lengths (meters) are reported. The gold, silver and tellurium analyses are reported in grams per tonne (g/t). The intervals listed in following table are from the gold, silver and tellurium bearing quartz vein and / or adjacent altered granodiorite.

Previous drill core analytical results from the 2018 drilling program are reported in News Releases of May 29, June 14, June 27, July 11, July 19 and July 25. The highlight of the 2018 drilling program to date is 14.62 g/t gold, 150.2 g/t silver and 102.0 g/t tellurium over 2.1 meter core length in hole COD18-3 at the COD Vein.

The 2018 drilling program to date has been mainly focused on testing and defining the COD Vein, a Dentonia/Jewel style quartz vein. Trenching during 2017 exposed the northeast – southwest striking COD Vein for over 160 meter strike length. The 2018 drilling program has also tested the continuation of the Everest Vein, which is located approximately 600 meters southwest of the COD Vein worksite. The Everest Vein was first discovered by Company prospectors during the 2017. Chip samples collected in 2017 across the approximate 0.4 meter wide vein exposure returned up to 52.8 g/t gold and 377 g/t silver while a grab sample of a quartz vein boulder broken off the outcrop by the excavator returned 81.8 g/t gold and 630 g/t silver (News Release of August 21, 2017).

Drill core from the 2018 program was geologically logged and sampled. Drill core was sawn in half with half core samples submitted for analysis and remaining half core stored in a secure location. Core samples were delivered to the ALS Minerals laboratory in Vancouver to be analyzed for gold by Fire Assay – AA. The samples were also analyzed for 48 Elements by Four Acid and ICP-AES / ICP-MS. Quality control (QC) samples were inserted at regular intervals.

Toronto, Ontario–(Newsfile Corp. – July 16, 2018) – Augusta Industries Inc. (TSXV: AAO) (the “Corporation”), a developer and marketer of patented non-intrusive sensing systems, would like to provide a general update.

Clean Growth Program Further to its press release of March 5, 2018, the Corporation reports that the letter of intent that was submitted by its wholly owned subsidiary, Fox-Tek Canada Inc. (“Fox-Tek”), to the Green Growth Program was not chosen as one of the 100 proposals to proceed to the full project proposal stage.

The Clean Growth Program covers five areas focused on pressing environmental challenges and economic opportunities facing Canada’s natural resource operations:

  • Reducing greenhouse gas and air-polluting emissions.
  • Minimizing landscape disturbances and improving waste management.
  • The production and use of advanced materials and bio-products.
  • Efficient energy use and productivity.
  • Reducing water use and impacts on aquatic ecosystems.

The program received approximately 750 proposals and of these, only 400 proposals were selected for expert evaluation, of which Fox-Tek’s proposal, which was focused on landscape disturbances and waste management in the energy sector, was one of those chosen. Of the 400 proposals, only 100 were invited to participate in the full project proposal stage. Due to the high number of quality submissions received by the Clean Growth Program, Fox-Tek’s proposal was not on the 100 asked to proceed to the next stage.

Although the Fox-Tek proposal will not be participating in the full project proposal stage, it was identified, at the expert evaluation stage, as being a project having substantial merit. As such, the Clean Growth Program has notified Fox-Tek that it will be introducing the company’s proposal to the Clean Growth Hub and other federal and/or provincial programs with the intention of securing government funding to proceed with its proposal.

The Clean Growth Hub is a “whole-of-government” focal point for the Government of Canada’s clean technology ecosystem focused on supporting companies and projects.

Shareholders’ Meeting

The Corporation is pleased to announce that at its annual and special shareholders’ meeting held on July 11, 2018, the shareholders approved the following matters:

Extension of Warrants

The Corporation will also like to announce that it has received TSX Venture Exchange approval and as of July 14, 2018, the expiry date of the 20,200,000 common share purchase warrants (the “Warrants”) of the Corporation was extended from July 14, 2018 to July 14, 2020.

The Warrants, which were originally issued on July 14, 2015, were issued pursuant to the Corporation’s private placement offering of 20,200,000 units. Each Unit was comprised of one (1) common shares and one (1) common share purchase warrant (the “Warrant”). Each Warrant entitles the holder thereof to acquire one (1) common share at an exercise price of $0.07 per share at any time until close of business on July 14, 2018.

Each Warrant, as amended, will entitle the holder thereof to purchase one common share of the Corporation at any time until the close of business on July 14, 2020 at an exercise price of $0.07 per common share. All other provisions of the Warrants will remain the same.
