On May 28th, the Company announced the sale of one of its’ two subsidiaries (FOX-TEK) for up to C$21.5 million, consisting of $9,500,000 in common stock of the acquirer (Mooncor) and additional potential royalties of $12,000,000. Mooncor Oil and Gas Corp. is a Canadian junior oil and gas exploration and development company. Augusta plans to distribute a portion of the consideration shares to shareholders.

Regarding the portion to distribute, CEO Allen Lone states: “It will be in the 25% range. If you do the math, 25% of $9.5M is $2.37M being returned to shareholders. At a market cap of $6.5M (as on May 28, 2018), that amounts to an approximate 35% return to current shareholders. Plus the remaining shares go on the balance sheet of the company and royalty payments could add substantial cash to the company in the coming years. Not bad. Not bad at all.”

With a current market cap of just C$ 5.1 million, it becomes very obvious that both the Company and the shareholders will benefit greatly from the sale of FOX-TEK for up to $21.5 million.

Marcon International is Augusta Industries other subsidiary. Marcon is involved in the industrial supply of equipment and parts procuring for its clients, which are principally clients in the oil and gas industry and United States government agencies.

Initially the Company had focused on providing services in the energy sector but has moved on to also work with Government contracts and Government services. Marcon itself has two subsidiaries, Marcon USA and Marcon UK, to help enhance and support its logistic and sales operations. Over the years it has established a great reputation of being a consistent performer for its clients in the Government as well as the international oil and gas industry.

Analytical results have been received for drill holes DDCOD18-7 to DDCOD18-16, targeting the COD vein and DDEVE18-1 to DDEVE18-4 targeting the Everest vein, both within the Gold Drop Southwest Zone. Highlights include 8.71 g/t gold, 114 g/t silver and 67.8 g/t tellurium over 0.86 meter core length in DDCOD18-11 and 7.53 g/t gold, 70.9 g/t silver and 45.1 g/t tellurium over 0.76 meter core length in DDCOD18-7 at the COD Vein. The best COD Vein intercept to date from the 2018 drill program is 14.6 g/t gold, 150 g/t silver and 102 g/t tellurium over 2.1 meter core length in DDCOD-18-3 (News Release of May 29, 2018).

The ongoing diamond drill program is designed to test and further define the COD Vein, a Dentonia/Jewel style quartz vein, located in the Gold Drop Southwest Zone. Trenching during 2017 has exposed the northeast – southwest striking COD Vein for over 160 meter strike length. Drilling is also testing the Everest Vein in the area of a 2017 trench, located approximately 600 meters southwest of the COD Vein. Chip samples collected in 2017 across the approximate 0.4 meter wide vein exposure returned up to 52.8 g/t gold and 377 g/t silver while a grab sample of a quartz vein boulder broken off the outcrop by the excavator returned 81.8 g/t gold and 630 g/t silver (News Release of August 21, 2017). During 2017 forty meters of trenching was completed on the newly discovered Everest gold bearing quartz vein.

The analytical results reported in this News Release are highlights from holes 7 through 16 of the 2018 drilling program on the COD Vein, and holes 1 through 4 on the Everest Vein. Since true widths cannot be accurately determined from the information available the core lengths (meters) are reported. The gold and silver analyses are reported in grams per tonne (g/t). The intervals listed in the following table are from the gold and silver bearing vein and / or adjacent low grade mineralized host rock.

The most significant gold mineralization is found in the COD Dentonia/Jewel style quartz vein (including 26.21-26.97 meters in DDCOD18-7, 42.70-43.56 meters in DDCOD18-11, 18.71-19.40 meters in DDCOD18-14, and 25.85-26.75 meters in DDCOD18-15).  The vein is mineralized with pyrite and trace chalcopyrite and telluride minerals. Surrounding alteration is a magnetite destructive silicification and chlorite alteration. Strong fine disseminated pyrite is often found in these alteration zones. Significant gold mineralization occurs locally in the altered host rock such as 12.85-13.87 meters in DDCOD18-15 and 21.4-23.0 meters in Everest hole DDEVI18-2 (adjacent to the gold bearing vein at 20.9-21.4 meters).

Observed core vein contact angles indicate the COD vein is sub-vertical being structurally controlled by the host rock. The predominant host rock for the COD vein is a massive and competent medium grain granodiorite of the Antsey Pluton. Faulting does occur however the general north south trend of the vein is predictable.

Drill core is being geologically logged and sampled at the Greenwood facility. Drill core is sawn in half with half core samples submitted for analysis and remaining half core stored in a secure location. Core samples were delivered to the ALS Minerals laboratory in Vancouver to be analyzed for gold by Fire Assay – AA. The samples are also being analyzed for 48 Elements by Four Acid and ICP-AES / ICP-MS. Quality control (QC) samples are inserted at regular intervals.

The sample will be processed utilizing ore sorting technologies to evaluate the viability of such technologies for processing the tungsten bearing veins on the Property. The Property hosts tungsten mineralization in multiple areas, including high grade pegmatite veins in the area of two quarries in the northern region of the Property. Previous grab samples collected by Great Atlantic from the two quarries exceeded 1% WO3 with some samples exceeding 5% WO3 (News Release of November 19, 2015).

Tungsten bearing pegmatite veins occur in the northern region of the property including at a quarry referred to as the South Quarry and an adjacent smaller quarry. The veins were first reported in the area of these quarries during the 1980s. Great Atlantic confirmed high grade tungsten mineralization (scheelite) in veins in rubble and bedrock at the two quarries during 2015 (News Release of November 19, 2015). Eleven rubble grab samples exceeded 5% WO3 (W % x 1.26 equals WO3%). A 20 cm long channel sample along a 15cm wide vein in the small quarry returned 2.96% WO3 while a grab sample from a 0.25 meter wide vein in the South Quarry returned 11.94% WO3.

 

Great Atlantic recently collected a bench scale sample of tungsten bearing vein material from the South Quarry for preliminary metallurgical studies. The sample will be processed utilizing ore sorting technologies to evaluate the viability of such technologies for processing the tungsten bearing veins on the Property. Great Atlantic is currently discussing ore sorting options with various processing companies.

A qualified person verified the 2015 sample data. The qualified person supervised the 2015 sampling. The 2015 samples (and lab-inserted blank, duplicate and standard samples) were analyzed at ALS Minerals in Sudbury, Ontario (ALS Minerals is independent of Great Atlantic Resources). Tungsten analysis was by lithium metaborate fusion followed by acid dissolution and ICP-MS analysis with some samples re-analyzed by XRF.

The company is also planning diamond drilling during 2018 on the South Quarry Property. The Company has received a permit to drill five holes in the northern region of the Property in an area where 2016 trenching exposed tungsten bearing veins.

 

The South Quarry Property covers an area of 3,600 hectares. Access to the property is excellent with a paved road transecting the property.

Great Atlantic’s 2017 drilling highlights from this region included 37.32% zinc equivalent over 1.27 meters core length (new vein discovery) and 7.76% zinc equivalent over 12.05 meter core length at the Elmtree 12 vein system (using metal prices at June 14, 2018) plus 0.64 g/t gold over 19.96 meter core length (new gold discovery). Drilling will focus in the Elmtree 12 vein system to provide additional data for a planned maiden resource estimate.

The upcoming diamond drilling program will be conducted in the northwest region of the property in the area of the polymetallic Elmtree 12 vein system and an adjacent polymetallic vein which was discovered in 2017. These polymetallic veins contain significant levels of zinc, copper, lead and silver. The 2018 program will test these polymetallic veins along strike and depth. The Company has drilled five holes in the Elmtree 12 veins system since 2015. The 2018 drill program will provide additional data for a planned maiden resource estimate on the Elmtree 12 vein system. The Company also discovered a new gold bearing zone adjacent to the Elmtree 12 vein system during 2017 drilling, being hosted in arsenopyrite bearing meta-sedimentary rocks. Drilling is also planned to test this zone. The drilling program will be partly funded through a $40,000 grant received from the New Brunswick government under the Junior Mining Assistance Program. Highlights of previous drilling by the Company in this area include the following (as reported in News Releases of October 29, 2015, February 23, 2016, December 20, 2017 and March 2, 2018 with up-dated zinc equivalent based on metal prices at June 14, 2018:

The Company’s focus since acquiring the Keymet Property has been the northwest region of the property in the area of reported polymetallic veins with most work in the area of the Elmtree 12 copper-lead-zinc-silver bearing vein system. At least seven vein occurrences with lead, zinc and +/- copper, silver and gold are reported in this region of the property in addition to the polymetallic veins reported at the historic Keymet Mine (source: New Brunswick Dept. of Energy and Resource Development Mineral Occurrence Database). The Keymet Mine operated during the mid-1950s, producing copper, lead, zinc and silver.  Production at this mine was terminated due to a fire at the site.

Significant precious metal – base metals deposits are reported within 4 km of the Keymet Property. The Elmtree gold deposits are located within 3 km west-southwest of the Keymet Property. The historic Nigadoo River Mine is located approximately 4 km south of the Keymet Property. Polymetallic massive sulfide veins were mined at the Nigadoo River Mine during the 1960s and 1970s with copper, lead, zinc and silver being produced. The N.B Dept. of Energy and Resource Development Mineral Occurrence Database reports shaft depth and production totals at this historic mine. Production during 1967 – 1971 is reported as 1.126 million tonnes at 2.2% Pb, 2.1% Zn, 0.24% Cu and 92.57 g/t Ag. Production during 1973 – 1977 (after a 2 year closure) is reported to be 0.733 million tonnes (only partial metal grades reported). The shaft is reported to at least 470 meter deep.

Metal recoveries of 100% were applied in the zinc equivalent calculations. The analytical results reported in this News Release are for DDCOD18-4 through DDCOD18-6 of the 2018 drilling program, which were completed from two pads north of the COD Mineshaft. DDCOD18-4 was drilled at a 161° azimuth and a 70° dip. DDCOD18-5 was completed at a 161°azimuth and a 60° dip. DDCOD18-6 was drilled at a 308° azimuth and a 45° dip. Hole 4 and 5 holes were designed to further delineate the COD vein at depth below the 2017 trench. Hole 6 was drilled from the east side of the vein to intersect the vein and to identify possible cross structures.

Drill hole DDCOD18-4 intercepted the vein at an in-hole depth of 48.45 meters, or true depth of 37.51 meters. DDCOD18-5 intercepted the vein at an in-hole depth of 32.1 meters, or true depth of 27.8 meters. DDCOD18-6 intercepted the vein at an in-hole depth of 10.9 meters, or true depth of 8.5 meters.

The analytical results listed below are from holes DDCOD18-4 to DDCOD18-6, testing the COD Vein. Since true widths cannot be accurately determined from the information available the core lengths (meters) are reported. The Gold and Silver analyses are reported in grams per tonne (g/t equals parts per million). The most significant gold mineralization is found in the COD Dentonia/Jewel style quartz vein. The vein is mineralized with pyrite and trace chalcopyrite and telluride minerals. The hostrock near the vein is often altered and carries anomalous silver and gold values, such as at 11.80-12.60 m in DDCOD18-6 which is silicified and pyrite bearing. Silicification and chlorite alteration is texture and magnetite destructive. Strong fine disseminated pyrite is often found in these alteration zones.

Observed core vein contact angles indicate the COD vein is sub-vertical being structurally controlled by the host rock. The predominant host rock for the COD vein is a massive and competent medium grain granodiorite of the Antsey Pluton. Faulting does occur however the general north south trend of the vein is predictable.

In 2017 the Company had received analytical results for 68 trench channel samples collected at the COD Vein. These samples returned anomalous to high grade values for gold, including high values of 43.2 grams / tonne (g/t) Gold and 224 g/t Silver (News Release of July 26, 2017). The first batch of 2017 drill core samples for the COD Vein returned up to 24.1 g/t Gold and 192 g/t Silver (News Release of Aug 28, 2017). The second batch of drill core samples also returned significant gold and silver values including a broad intersection in hole COD17-14 grading 4.59 g/t Gold and 38.64 g/t Silver over 16.03 meters core length with a high grade core grading 10.96 g/t Gold and 89.86 g/t Silver over 5.97 meters core length (News Release of Sept 7, 2017).

Drill core is being geologically logged and sampled at the Greenwood facility. Drill core is sawn in half with half core samples submitted for analysis and remaining half core stored in a secure location. Core samples were delivered to the ALS Minerals laboratory in Vancouver to be analyzed for gold by Fire Assay – AA. The samples are also being analyzed for 48 Elements by Four Acid and ICP-AES / ICP-MS. Quality control (QC) samples are inserted at regular intervals.

The Colt Mesa deposit was discovered in 1968 and was mined intermittently from 1971 to 1974. While little data survived from the copper mining activities, a 1975 Master Thesis (G.M. Collings, 1975, Geology and Geochemistry of the Colt Mesa Copper Deposit”) completed at the University of Utah, is an invaluable source of information on the geology and mineralization at the Colt Mesa mine.

Tabular, strata-bound copper mineralization lies within a paleochannel at the contact of two distinct sedimentary (sandstone) units. The trackless, room-and-pillar mining was focused on the copper mineralization meaning the mine and surrounding area were never systematically explored for cobalt mineralization.

All of the above samples were taken at surface, near the adits. The underground working was examined (see website for photos), but not sampled. Samples CM-18-01, 02, and 03, were chip sampled from the same location over a width of 1.35 meters, averaging 0.52 % Cu, 1.51 % Co, 6.52 % Zn, 0.79% Pb, and 0.17 % Mo. Sample CM-18-01 and CM-18-03 had conspicuous “cobalt bloom”, whereas CM-18-02 was barren, unmineralized sandstone. Sample CM-18-04 was a select grab sample of bright, copper oxide float from the dump. The Colt Mesa is renowned for brilliant, multicolored copper oxides, attributed to the association with cobalt and molybdenum.’

The 1975 Master Thesis reports: “The ore body is tabular in form and is composed of chalcopyrite, bornite, digenite, covellite and chalcocite”. Sampling of the underground mineralized zone was completed in 1975 with a total of eight samples from the mineralized zone taken as follows:

Again, the Company cautions investors grab samples are selected samples and are not necessarily representative of the mineralization on the Colt Mesa property.

The Colt Mesa area has seen significant exploration for uranium in the 1950s and 1960s, modest exploration for copper and base metals but minimal exploration was focused on cobalt and nickel. The Colt Mesa mine area was sterilized from exploration and development in 1996, when President Clinton created the “Grand Staircase Escalante National Monument”, however, the size was recently reduced by Presidential proclamation in 2017, placing Colt Mesa outside the new boundaries of the restructured national monument.

In consideration for the property, Glacier Lake will issue one million common shares, and make a cash payment of US $120,000, staged over a two (2) year period. The vendors retain a one-and-three-quarters percent (1.75%) Net Smelter Returns (“NSR”). Glacier shall be entitled to purchase one percent (1.00%) of the Royalty at any time through a one-time cash payment of $1,000,000 to the vendors. Completion of the acquisition is subject to the approval of the TSX Venture Exchange. All common shares issued will be subject to a four-month-and-one-day statutory hold period. A finder’s fee may be payable related to this acquisition.

Quality assurance/quality control

All recent surface samples from the Colt Mesa property were hand delivered to the ALS Minerals Ltd. North Vancouver, B.C., laboratory, an 17025:2005 certified facility. All samples were collected by Company personnel and securely stored until delivery to ALS Minerals. At this early stage of exploration, Glacier Lake is relying on the certified standards utilized by ALS Minerals as part of it analysis protocols. No QA/QC anomalies were noted in the analyses.

Option Agreement

The Kagoot Brook property, is 100% owned by Great Atlantic and is subject to an underlying agreement with a prospecting syndicate.  The agreement to acquire a 75% interest in the Project is subject to the following terms:

  • Cash payment of $25,000 and issuance of 75,000 shares upon signing a definitive agreement (Paid and Issued);
  • Issue $50,000 in shares on the 12-month anniversary of the definitive agreement; the number of shares to be issued will be based on the 10 day VWAP immediately prior to the anniversary date; and
  • Explorex will incur a total expenditure of $750,000 (including all underlying payments) over a period of 4 years; of which $100,000 will be a firm commitment on or before the first anniversary of the definitive agreement.

Upon earning 75% of the project, the parties will enter into a joint venture.  The terms will provide for a pro-rata dilution such that should Great Atlantic’s interest drop below 5%, it will revert to a 3% NSR.  Explorex will retain the right to buyback 2 percentage points at $ 1 million for each 1%, or portion thereof.  Should Great Atlantic seek to sell any portion of the remaining NSR, Explorex will retain a first right of refusal.

The ongoing diamond drill program is designed to test and further define the COD Vein, a Dentonia/Jewel style quartz vein, located in the Gold Drop Southwest Zone. Trenching during 2017 has exposed the northeast – southwest striking COD Vein for over 160 meter strike length.

The analytical results reported in this News Release are for the first three holes of the 2018 drilling program, which were completed from a pad north of the COD Mineshaft. DDCOD16-1 was drilled at a 86° azimuth and a 45° dip. DDCOD16-2 was completed at a 136°azimuth and a 60° dip. DDCOD18-3 was drilled at a 60° dip and a 91° azimuth. The pad was designed to test the veins from a stepped back position following up on the results during the 2017 drill program. The drilling targeted the COD vein 10-20 m north of the COD mineshaft. The initial 3 drill holes all intercepted the COD vein at depth. The DDCOD18-1 intercepted the vein at an in-hole depth of 31.1m, or true depth of 22 m. DDCOD18-2 intercepted the vein at an in-hole depth of 41.2 m, or true depth of 35 m. DDCOD18-3 intercepted the vein at an in-hole depth of 49 m or 42 m true depth.
