TORONTO, May 30, 2018 — Kuuhubb Inc. (“Kuuhubb” or the “Company”) (TSX-V:KUU) is pleased to announce its unaudited financial results for the three and nine month periods ended March 31, 2018.  The Company’s unaudited interim consolidated financial statements as at and for the three and nine months ended March 31, 2018 and related management’s discussion and analysis can be found on the Company’s SEDAR profile at www.sedar.com.  References to “US$” are to United States dollars.  The Company’s financial year end is June 30.

Highlights for the Quarter Ended March 31, 2018:

  • Revenue increased to US$6,671,448 during the three months ended March 31, 2018, which represents an increase of 5% from the US$6,344,947 of revenue earned during the previous quarter ended December 31, 2017.  This revenue was generated from sales of the Recolor app, the in-application sale of virtual goods from the My Hospital game and in-application ad revenue.
  • Net operating loss was US$3,450,060 for the three month period ended March 31, 2018, compared to the net operating loss of US$1,117,089 incurred during the previous quarter ended December 31, 2017.  The net loss during the quarter ended March 31, 2018 includes impairment of goodwill of US$2,456,075, share-based compensation expense of US$835,682, depreciation and amortization of US$203,128 and foreign exchange gain of US$117,985.  The non-GAAP adjusted EBITDA during the three month period ended March 31, 2018 was negative US$73,160, making this period’s adjusted EBITDA a near break-even quarter.
  • The development and launch of the Drone Wars mobile game has been delayed since its acquisition and Kemojo Kuuhubb Studios Inc. (the Company subsidiary holding the Drone Wars game) has ceased operations.  During the three month period ended March 31, 2018, the Company decided to redevelop the game into a multiplayer player versus player (“PvP”) game and plans to launch the game upon successful redevelopment.  Due to the delay and uncertainty of the ultimate outcome of the Drone Wars mobile game, the Company determined to write down US$2,456,075 of goodwill, being the preliminary estimate by management of the amount of goodwill related to the game.
  • The Company had shareholders’ equity of US$23,092,110 as at March 31, 2018, compared to shareholders’ equity of US$12,421,346 as at June 30, 2017.
  • In January 2018, the Company announced that it had signed an agreement with Receptiv, a leading mobile video advertising company, on collaborating to bring new brands to the Recolor digital coloring app.
  • In January 2018, the Company announced that it had signed a term sheet to acquire mobile esports platform developer Valiance UG (the acquisition is subject to the execution of the definitive documentation and receipt of TSX Venture Exchange acceptance).  The Germany-based, Valiance esports platform is designed to support both mobile esports competitors and content creators and provides them with opportunities to monetise their involvement playing their favourite esports titles.  In addition to the esports, Valiance has a development center in Zagreb (Croatia) with 20+ experienced and agile software developers.
  • In March 2018, the Company incorporated Recolor India Private Limited.  This new subsidiary will carry on the business activities of the Incolour App, the Indian version of the Company’s Recolor App, with a local dedicated team of 4 people.  Incolour is a stand-alone coloring community with global access which, through Kwan Entertainment’s contacts, is planned to utilize and work together with various Indian influencers and celebrities.  In comparison to Recolor, it has a new user interface, and culturally relevant content and design.  User experience is built around daily themes geared to stimulate daily engagement.  In May 2018 Google Play India (Android) was launched and is planned to be followed by iOS version.  The global roll-out of Android and iOS is expected to follow during summer 2018.
  • In April 2018, the Company announced that it will be commencing a creative cross-marketing collaboration with a global content leader Lionsgate.  Under the agreement, Kuuhubb will create and market suites of digital coloring tasks around Lionsgate properties through Kuuhubb’s Recolor App, a leader in bringing brands and media properties to the art app universe.  In addition, Lionsgate will support these campaigns by driving traffic through its marketing channels to Recolor.
  • In May 2018, the Company completed the acquisition of the full global rights and revenue to the My Hospital game.  The purchase price of €2.6 million is to be paid in monthly instalments between May 2019 and June 2021.  Additionally, after Kuuhubb has recouped the entire purchase price, Cherrypick Games (the vendor) is entitled to 25% net profit share.  Cherrypick Games will continue the current game development and update efforts until June 2021.

(Kitco News) – While the face of the gold market might change in the next 30 years as technology develops, the asset class and its safe-haven appeal will remain solid, according to the World Gold Council (WGC).

In an exclusive interview with Kitco News, John Reade head of market research said that he does not expect gold’s role as an alternative asset and portfolio diversifier to be replaced by another asset like a cryptocurrencies within the next 30 years. Reade added that it would take a complete disruption of the entire financial marketplace before gold is usurped as a world-class asset.

“The capital market structure as we see it will probably continue,” he said. “Gold is part of the financial system. It is a mainstream financial asset and it too will continue.”

Reade noted that the remaining question is around the venue where gold is traded – whether its traded in over-the-counter markets, through futures contracts or something else. Reade’s comments come as fin-tech firms develop new platforms for gold, including Tradewind, which has created a new digital platform Vaultchain Gold, which allows investors to buy fractional quantiles of gold. While the market is digital, the platform is backed 100% by physical gold, held by the Royal Canadian Mint.

In a WGC report that looks at the gold market all the way up to 2048, Reade said that so far there is no front runner in the digital gold market but there is growing potential.

“If one (or more) is successful, it could be as big a change to the gold markets as the development of ETFs, but with the added advantage of appealing to younger generations too,” he said.

Not only can digital gold markets help to democratize the precious metal, Reade said that they are seeing evolving technology in mobile application space that could be a game-changer for consumers in developing nations.

Reade noted that app-based saving accounts that let people store their savings in gold, is growing in popularity, especially in regions that have an under-developed banking system.

“I think opening up the gold market for investment purposes to the billions of people… who don’t have wide access to financial products is going to be a major development for the market,” he said.

China Will Play An Important Role In Gold And Global Financial Markets

While access to the gold market is expected to enter the digital realm, Reade said that they still expect to see a healthy physical demand, especially as China and India become more prominent players in the global marketplace with its growing middle class.

In his report, Reade said that the WGC expects the Chinese economy to surpass the U.S. and become, with its growing consumer sector, the biggest influence on global markets.

“Our research has shown that as nations become wealthier, consumers spend more money on gold,” he said. “The growth we see out of China is going to be good for gold demand. The U.S.’s loss in dominance will lead to a weaker currency that will also be good for gold.”

However, while, Reade sees potential for the U.S. dollar to lose some influence in the global market, he does not expect the greenback to completely lose its reserve currency status. China’s closed capital markets and currency restrictions make it impossible for the yuan to be a reserve currency, he added.

“If you want to become a reserve currency you have to allow people to hold that currency in size and let them transact freely. Until we get to that stage, there is no way China can take over as the new reserve currency of the world,”

Ultimately, while the market will see ebbs and flows in investor demand, Reade said that the gold market will remain healthy through the next 30 years. Not only will the yellow metal see consistent demand but, Reade added that the WGC’s research shows declining supply through the next 30 years.

“I don’t think people will be disappointed in the gold market 30 years from now,” he said. “You [can’t] take something that has 6,000 years of value and replace it with something new,” he added in his interview.

On May 27th, Augusta Industries had a market capitalization of approximately $6.5 Million.

On May 28th, the Company announced the sale of one of its’ two subsidiaries for up to $21.5 Million consisting of $9,500,000 in common stock of the acquiror (Mooncor) and additional potential royalties of $12,000,000.

Augusta plans to “distribute a portion of the consideration shares to shareholders” and though no official plan is in place, CEO Allen Lone believes it will be in the 25% range. If you do the math, 25% of $9.5M is $2.37M being returned to shareholders. At a market cap of $6.5, that amounts to an approximate 35% return to current shareholders.

Plus, the remaining shares go on the balance sheet of the company and royalty payments could add substantial cash to the company in the coming years. Not bad. Not bad at all.

If that were it, you’d have no reason to watch the interview – but there is more. A lot more with respect to the remaining subsidiary (Marcon) and other plans.

The Department of Aquaculture Agriculture and Fisheries (DAAF) will also be conducting fertility trials on reserved plots at participating farms. DAAF will contribute the fertilizers to the project as part of these trials. The trials will be conducted at no cost to the project and are a clear indication of the collaborative relationship that has been established with DAAF.

In addition, there is an organic certification trial underway on an additional two-acre plot at the project. It will take three years to complete the organic certification process for this field. As part of the process, the plot will begin a three-year cultivation rotation of hemp, oats and a green manure crop to be defined at a later date. In three years this plot will produce certified organic CBD and organic oats, a crop with an excellent market.

Project managers are currently evaluating drying equipment that will be required to process the biomass after it is harvested. Drying will prepare the biomass for shipment to processors for extraction of the cannabinoids. Management is in discussions with a number of potential processing partners for this material. A final decision will be made in the coming weeks.

Cryptocurrencies of all types make use of distributed ledger technology known as blockchain. Blockchains act as decentralized systems for recording and documenting transactions that take place involving a particular digital currency. Put simply, blockchain is a transaction ledger that maintains identical copies across each member computer within a network.

Any party is able to both review previous entries and record new ones, although most blockchain networks have complex rules for the addition of new groups of records, “blocks,” to the chain of previous records. The blocks and the contents within them are protected by powerful cryptography, which insures that previous transactions within the network cannot be either forged or destroyed. In this way, blockchain technology allows a digital currency to maintain a trusted transaction network without relying on a central authority. While blockchain is most famous for its role in facilitating the rise of digital currencies over the past several years, there are also many other non-cryptocurrency uses for this technology. Indeed, some blockchain proponents believe that the technology could far outpace cryptocurrencies themselves in terms of its overall impact, and that the real potential of blockchain is only just now being discovered. When conditions are met, smart contracts can be entirely self-executing and self-enforcing. For proponents of smart contracts, these tools provide a more secure, more automated alternative to traditional contract law, as well as an application that is faster and cheaper than traditional methods.

The ongoing diamond drill program is designed to test and further define the COD Vein, a Dentonia/Jewel style quartz vein, located in the Gold Drop Southwest Zone. Trenching during 2017 has exposed the northeast – southwest striking COD Vein for over 160 meter strike length.

The analytical results reported in this News Release are for the first three holes of the 2018 drilling program, which were completed from a pad north of the COD Mineshaft. DDCOD16-1 was drilled at a 86° azimuth and a 45° dip. DDCOD16-2 was completed at a 136°azimuth and a 60° dip. DDCOD18-3 was drilled at a 60° dip and a 91° azimuth. The pad was designed to test the veins from a stepped back position following up on the results during the 2017 drill program. The drilling targeted the COD vein 10-20 m north of the COD mineshaft. The initial 3 drill holes all intercepted the COD vein at depth. The DDCOD18-1 intercepted the vein at an in-hole depth of 31.1m, or true depth of 22 m. DDCOD18-2 intercepted the vein at an in-hole depth of 41.2 m, or true depth of 35 m. DDCOD18-3 intercepted the vein at an in-hole depth of 49 m or 42 m true depth.

The analytical results listed below are from holes DDCOD18-1 to DDCOD18-03, testing the COD Vein. Since true widths cannot be accurately determined from the information available the core lengths (meters) are reported. The Gold and Silver analyses are reported in grams per tonne (g/t equals parts per million). The intervals listed in the table below are from the gold and silver bearing vein and / or adjacent low grade mineralized host rock.

The most significant gold mineralization is found in the COD Dentonia/Jewel style quartz vein. The vein is mineralized with pyrite and trace chalcopyrite and telluride minerals. The hostrock near the vein is often altered and carries anomalous silver and gold values, such as at 39.9-41.25 m and 42.15-42.78 m in DDCOD18-2 and 46.35-47.02 m in DDCOD18-3. This silicification and chlorite alteration is texture and magnetite destructive. Strong fine disseminated pyrite is often found in these alteration zones.

Observed core vein contact angles indicate the COD vein is sub-vertical being structurally controlled by the host rock. The predominant host rock for the COD vein is a massive and competent medium grain granodiorite of the Antsey Pluton. Faulting does occur however the general north south trend of the vein is predictable.

In 2017 the Company had received analytical results for 68 trench channel samples collected at the COD Vein. These samples returned anomalous to high grade values for gold, including high values of 43.2 grams / tonne (g/t) Gold and 224 g/t Silver (News Release of July 26, 2017). The first batch of 2017 drill core samples for the COD Vein returned up to 24.1 g/t Gold and 192 g/t Silver (News Release of Aug 28, 2017). The second batch of drill core samples also returned significant gold and silver values including a broad intersection in hole COD17-14 grading 4.59 g/t Gold and 38.64 g/t Silver over 16.03 meters core length with a high grade core grading 10.96 g/t Gold and 89.86 g/t Silver over 5.97 meters core length (News Release of Sept 7, 2017).

Drill core is being geologically logged and sampled at the Greenwood facility. Drill core is sawn in half with half core samples submitted for analysis and remaining half core stored in a secure location. Core samples were delivered to the ALS Minerals laboratory in Vancouver to be analyzed for gold by Fire Assay – AA. The samples are also being analyzed for 48 Elements by Four Acid and ICP-AES / ICP-MS. Quality control (QC) samples are inserted at regular intervals.

Not all of us can make a living as professional gamers in the Overwatch League. But Justin Choy’s gig may be the next best thing. He’s the content marketing manager in charge of videos and social media for Gen.G, the esports organization that operates multiple teams — such as the Seoul Dynasty, one of the franchises in Activision Blizzard’s new Overwatch League.

It’s the kind of job that didn’t exist a generation ago, and the 28-year-old Choy is one of the few people who could do something like this, according to his boss, Arnold Hur, chief growth officer at Gen.G, which was formerly known as KSV eSports. As esports grows from $906 million in 2018 to $1.65 billion by 2021 (according to market researcher Newzoo), new kinds of jobs are being born in its ecosystem.

I think of it as the Leisure Economy, where we all will eventually get paid to play games. Besides people like Choy and Hur, the Leisure Economy already includes people like esports athletes, cosplayers, influencers, YouTubers, livestreamers, shoutcasters, and modders. There’s a broader group of accountants, lawyers, and other professionals who work for esports and game companies, and they’re also using their knowledge of games to prosper. The parents of these people probably cursed their obsession with video games, but that obsession has paid off handsomely for those who use it to become celebrities in our attention-based society.

People like Choy are still a rare group. Hur said it hasn’t been easy scouting for people in Los Angeles — the epicenter of esports, or playing games for money — who have the combination of skills that Choy has: online video skills, social media savvy, and a deep interest in games and esports. These weren’t the kinds of skills that Choy could pick up in college.

Rather, he developed the skills based on his own passions. Before he took the job at Gen.G, Choy was an online game fan and music-marketing expert. He is now in charge of managing a team of videographers and editors who shoot video footage of the Seoul Dynasty team. Their job is to capture amazing, cool, or funny gameplay and lifestyle videos of the pro gamers. They edit them down into snippets, share them on social media, and hope that they go viral.

“My job is less about video editing and more ideation on content pieces that will go viral,” said Choy in an interview with GamesBeat. “We try to tell the story of the team.”

For Gen.G, it’s all about generating a new revenue stream. Every week, the Seoul Dynasty plays competitive esports tournaments for the Overwatch League, which draws millions of views every week. Those viewers are mostly millennials who have a lot of disposable income but aren’t easy to find on traditional media channels, such as television.

Nielsen recently compared the esports demographic — about 70 percent male, ages 13 to 40 — to soccer fans, and it said they are “irresistible” to brand advertisers. But they’re hard for advertisers to target, as they only watch about four hours of TV per week. They spend twice as much time playing games.

But esports is still looking for its big revenue stream. Players, team owners, game publishers, investors, venues, and startups alike are looking for revenue from sponsorships, merchandise sales, media rights fees, game-publisher fees, advertising, and ticket sales. And if they can accumulate enough of an audience — one of the goals that Hur and Choy have been hired to make happen — the revenues will likely come.

“With traditional sports, an average fan spends about $50 per year,” Kent Wakeford, cofounder of Gen.G, said during a fireside chat at the GamesBeat Summit in Mill Valley, California, today. “With esports, it’s an average of $5. There’s this big gap, and if you can come in and close it. It’s this 10x opportunity.”

The video crew captures film in mini-documentary style so that fans can see what it’s like to be a competitive gamer at the highest level. The five-member starting squad plays every day at a team house, but they consume so much bandwidth that Choy can’t upload videos from the house. They go through roughly a terabyte of data in a week. And yes, they spend a lot of their time uploading and editing. That’s because they have to go through that sea of data and whittle it down to digestible bites.

Choy disperses the video team to their home locations, and they upload video to the cloud so that he can review it. Then, he offers his editing tips for finding the funniest videos and directs the video editors to chop down and edit the videos for publication. Once everything’s done, the team uploads the video to the social media sites, and Choy shares it as widely as possible on YouTube, Twitter, Facebook, Twitch, and Instagram.

The social media sites can magnify the awareness and influence of the team at relatively little cost. SuperData estimated that Twitch had more than 666 million viewers in 2017, more than Netflix or HBO.

The videos feature in-game coverage, lifestyle features on the players, matches, and match previews. The idea is to get fans exposed to the behind-the-scenes views of the players and their personalities.

“We try not to make it like reality TV, so it is as organic as possible, and the players are comfortable,” Choy said. “The common view is the players tend to be hermits. We need to tap into the personality that the internal staff knows that they have. They are funny and can spark up the room, and you need the right videographer to do that.”

It may seem like a bizarre subculture, but Choy was already part of it. Finding people like that with the talent to bring great attention to the sport is difficult, Hur said.

“There are a lot of people who say they love esports, but the rest of the resume has nothing,” Hur said. “For things like handling Twitch payments, there is almost zero experience in this field. It’s a huge challenge hiring people. We look for people who are good at what they are do and are super passionate. In L.A., there are talented video editors, but do they know what to show the audience? They aren’t teaching people how to do this in school.”

It helps that Hur speaks Korean, and Choy speaks some as well, as all of the star players are Korean on the team. South Korea is known as the birthplace of esports, and it’s the rare place where esports players are known as media superstars. The Overwatch League’s player base is about 40 percent Korean.

The videographers shoot the team in their own team house where they practice. Those videographers have to be in sync with the team on an emotional level, as they don’t want to air videos that make the team members upset and throw them off their game.

If the videos are captured while the players are speaking Korean, then the team has to write subtitles. Multitasking is a valuable skill. The pay could start at $50,000 for good editors, and then, it ramps up from there.

Choy tries to capture what the team is really like, and his gamer background helps with that. He has also applied his music background, getting the players to put out their own playlists for gaming music on Spotify.

“I understand the struggle where they start out low, grind through it to make it to the pros,” he said. “It’s not all about making a direct return on video investments. I want to make engaging content that the fans can connect with and show a different side of the players that the fans don’t see.”

Choy is part of a team that has about seven full-time and part-time people. There are other jobs coming. Gen.G is building an esports center in Seoul, and it is looking for people like interior designers, and it will likely have to figure out how to shoot videos of its other esports teams as well.

“Every big game or intellectual property will [need] its own social media manager and production team,” Hur said.

Eventually, sponsors will come into the picture, and that adds a layer of complexity to the “authenticity” of the social sharing, as brands don’t always like gamer footage that is too raw.

Overall, Choy and Hur like what they’re doing because they are pushing the edge of social media by embracing technology.

“We know there’s some interesting technology out there to identify highlights in videos,” Hur said. “New industries can be born. You have to be adept at the latest tech platform.”

Choy added, “It’s part of a passion. It doesn’t [feel] like work.”
